Bank of Ireland today reported that almost 60% of shareholders have taken up their rights to buy new shares under the bank's rights issue.

This includes shares which the State was entitled to buy under the share issue, through the National Pensions Reserve Fund.

The share issue goal was to raise €1.9bn and BOI said today that the Joint Bookrunners will use reasonable endeavours to procure subscribers for 7,716,202,599 units of New Ordinary Stock, being the balance for which valid acceptances were not received in the rights issue, at a price per unit which is at least equal to the aggregate of the rights issue Price and associated expenses of the sale.  

On Monday, the Government announced an agreement for overseas investors buy €1.1bn worth of the bank's shares.
Eamonn Hughes of Goodbody commented: "Bank of Ireland has announced this morning that it has received acceptances of 59.55% in its rights issue offering. Presumably, the State tendered acceptances for its 36% shareholding, so this would imply that the bank received 37% acceptances on the other private shareholders. Our previous expectation was that this latter figure would have been c.25%, though the announcement earlier in the week about additional third party interest in the bank, which will result in a number of institutions targeting a 14-37% stake in the bank, is likely to have seen acceptances move up in the final days of the rights offer period. The rump shares are to be placed today and the bank will then be in a position to tally the final shareholding of the State and the new group of investors, led by Fairfax Financial.

By our estimates, the bondholders will have about 19% of the bank, with existing shareholders (ex the State) diluted back from 64% to 26%. This leaves a 55% stake to be carved up between the new investors and the State, bearing in mind the intention is to deliver at least a 25% stake for the new investors.

Press reports earlier in the week of a consortium of up to 10 investors has been tempered a little by some reporting this morning of a figure closer to 5, but nonetheless, the €1.1bn investment as we indicated in the last 2 days is a positive development for the bank (and the State). Nevertheless, it doesn’t change our fair value of 8.0-8.5c, but we recognise that anyone seeking such a large investment wouldn’t have had many opportunities to garner such a large stake."  

Results of the Rights Issue Rump Placement

The Governor and Company of the Bank of Ireland ("Bank of Ireland" or the "Bank") announced earlier today that, as at 11.00 a.m. on 26 July 2011, being the latest date for receipt of valid subscriptions, it had received valid acceptances in respect of 11,361,686,433 units of New Ordinary Stock representing approximately 59.55 per cent. of the total number of units of New Ordinary Stock offered to Qualifying Stockholders pursuant to the Rights Issue announced by the Bank on 18 June 2011.

Bank of Ireland now announces that in accordance with the arrangements set out in Part IX of the Prospectus dated 18 June 2011, the Joint Bookrunners have today procured subscribers for 1,432,343,038 units of NewOrdinary Stock for which valid acceptances were not received in the Rights Issue (the "Rump"), at a price of 10.10 cent per unit of New Ordinary Stock, a premium of 0.10 cent to the Rights Issue Price of 10 cent per unit of New Ordinary Stock.

The net proceeds from the sale of the Rump of approximately 0.08 cent per unit of New Ordinary Stock sold (after deduction of the Rights Issue Price of 10 cent per unit of New Ordinary Stock and associated costs, including any brokerage and commissions and taxes) will be paid (without interest and rounded down to the nearest cent) to Qualifying Stockholders who have not taken up their entitlements pro rata to their lapsed provisional allotments. This will amount to a payment of approximately 0.01 cent in respect of each unit of New Ordinary Stock not taken up in the Rights Issue.

Therefore, as placees have not been procured for all of the units of New Ordinary Stock not taken up pursuant to the Rights Issue, in accordance with the arrangements set out in Part IX of the Prospectus, the NPRFC, under the Transaction Agreement, will be subscribing for the remaining 6,283,859,561 units of New Ordinary Stock at the issue price of 10 cent per unit of New Ordinary Stock. These remaining units of New Ordinary Stock are additional to the 6,876,725,140 units of New Ordinary Stock that the NPRFC has subscribed for as part of its pro-rata entitlement pursuant to the Rights Issue.

Resultant State Shareholding

As announced on 25 July 2011, the State has agreed to sell c.4.2 billion units of Ordinary Stock to a group of significant institutional investors and fund managers. In addition, these investors have agreed with the State that, to the extent that the State acquires ordinary stock pursuant to the Transaction Agreement and subject to certain conditions being satisfied, these investors will purchase up to a further c.7.0 billion units of ordinary stock from the State, at a price of 10 cent per unit.

On the basis that the NPRFC is subscribing for 6,283,859,561 units of New Ordinary Stock pursuant to the Transaction Agreement and subject to the satisfaction of regulatory and other certain conditions, the State will sell a total of 10,510,960,981 units of ordinary stock to these investors. Following these transactions, the State's stockholding in the Bank will be 15.1 per cent.* of the Bank's fully diluted ordinary stock while the combined stockholding of these investors in aggregate will be 34.9 per cent. As the resultant combined stockholdings of these investors will, subject to regulatory approvals, exceed 29.9 per cent. of the Bank's fully diluted ordinary stock, the acquisition of any ordinary stock in excess of this threshold will require the prior approval of independent stockholders. The Bank expects to convene an Extraordinary General Court for this purpose in due course.

As set out in the announcement of 25 July 2011, the Bank agreed, subject to stockholder approval, to place additional stock up to a maximum of approximately 6 per cent. of the Bank's then fully diluted ordinary stock, with these investors and the State, at 10 cent per unit where their stockholdings following these transactions are less than 25 per cent. and 15 per cent. respectively. Based on the results of the Rights Issue and the Rump Placing, the State's and these investors' aggregate stockholdings on a fully diluted basis will exceed these thresholds and hence the Bank will not be proceeding with any placing.

Bank of Ireland nun bekannt, dass in Übereinstimmung mit den Regelungen in Teil IX des Prospekts vom 18. Der Nettoerlös aus dem Verkauf des Rump von etwa 0,08 Cent pro Einheit der New Stammaktien verkauft (nach Abzug der Bezugsrechtsemission Preis von 10 Cent je Einheit der New Stammaktien und die damit verbundenen Kosten, einschließlich etwaiger Vermittlung und Provisionen und Steuern) wird gezahlt werden (ohne Zinsen und abgerundet auf den nächsten Cent) bis Qualifying Aktionäre, die nicht aufgegeben haben, ihre Ansprüche im Verhältnis zu ihren erloschen vorläufige Kleingärten übernommen. Dies wird zu einer Zahlung von etwa 0,01 Cent für jede Einheit der New Stammaktien nicht in die Rechte Ausgabe entnommene Betrag.

Deshalb haben als BotSpot nicht für alle Einheiten von New Stammaktien nicht aufgrund der zur Bezugsrechtsemission im Einklang mit den Bestimmungen in Teil IX des Prospekts, der NPRFC unter dem Transaction Agreement festgelegt worden beschafft werden Anmeldung für die restlichen 6283859561 Einheiten der New Stammaktien zum Ausgabepreis von 10 Cent pro Einheit des New Stammaktien. Resultierenden Zustand Beteiligung

Auf der Grundlage, dass die NPRFC ist für 6283859561 Einheiten der New Stammaktien gemäß dem Transaction Agreement und unterliegt der Erfüllung von aufsichtsrechtlichen und sonstigen bestimmten Bedingungen abonniert, wird der Staat insgesamt 10510960981 Einheiten der Stammaktien zu diesen Investoren zu verkaufen. Nach diesen Transaktionen wird die staatliche Lagerhaltung in der Bank 15,1 Prozent .* von der Bank voll verwässerten Stammaktien während der kombinierten Lagerhaltung dieser Investoren in Summe 34,9 Prozent sein wird. Da die resultierende kombinierte Aktienbesitz von diesen Investoren wird, vorbehaltlich der behördlichen Genehmigungen, mehr als 29,9 Prozent. der Bank vollständig verwässerten Stammaktien wird der Erwerb von Stammaktien über diese Schwelle bedarf der vorherigen Zustimmung der unabhängigen Aktionäre. Die Bank rechnet damit, eine ausserordentliche Generalversammlung Gerichtshof zu diesem Zweck einberufen zu gegebener Zeit.

Wie in der Ankündigung der 25. Juli 2011 gesetzt, einigten sich die Bank, vorbehaltlich der Zustimmung der Aktionäre, um zusätzliche tanken Ort, um ein Maximum von rund 6 Prozent. von der Bank dann vollständig verwässerten Stammaktien, mit diesen Investoren und der Staat, bei 10 Cent pro Stück, wo ihre Aktienbeständen folgenden Transaktionen sind weniger als 25 Prozent. und 15 Prozent. jeweils. Bank of Ireland reveals names of investors

The investors are led by Fairfax Financial Holdings and include WL Ross, Capital Research (part of The Capital Group), Fidelity Investments and Kennedy Wilson.

Bank of Ireland said the investors are long-term value investors.

It said they have recognised how the bank has faced up to and focused on dealing with its challenges, have endorsed its strategy and share its view that the economy in Ireland will come through a difficult period of adjustment and return to growth.

The bank said after the completion today of the rights issue and 'rump' placing exercise, the combined shareholding of these investors will be 34.9%.

This is still subject to the satisfaction of certain regulatory and other conditions.

Bank of Ireland also said the State's stake holding in the bank will fall to 15.1%.

In a statement this evening, the bank said the sale of the stake to the investors will require the approval of independent shareholders and added that an EGM will be held on this matter 'in due course'.
