For decades, the laser industry has been a fragmented collection of small players. There was, in fact, no laser-like focus. But a wave of mergers is changing the dynamic, creating long-term opportunities for investors.

For now, though, investors don’t know how to account for it all. Industry leader II-VI (ticker: IIVI) recently earned the winning bid for optical component maker Coherent (COHR). Rival offers from competitors Lumentum (LITE) and MKS Instruments (MKSI) forced II-VI to raise its offer several times and ultimately pay about $7 billion in cash and stock. II-VI’s stock dropped from a high of nearly $100 to the mid-$60s when the bidding war came to a close.

That was an overreaction, and II-VI stock has rebounded to about $76 in recent days. But there’s even more compelling value in the combination of II-VI and Coherent than the market is crediting. The stock should regain the $100 level and continue moving higher from there.

The tie-up is just the latest move in a wave of laser consolidation, following II-VI’s acquisition of Finisar in 2019 and Lumentum’s takeover of Oclaro in 2018. All of II-VI’s products are in photonics, or the science of light, for a wide range of applications. They include 3-D sensing technologies known as VCSEL and Lidar, which allow an Apple iPhone to recognize a user’s face and help a self-driving car avoid obstacles. The companies also supply key components used in data centers and fiberoptic telecom networks, as well as industrial cutting lasers, reminiscent of the weapon that supervillain Auric Goldfinger used on agent 007—“No, Mr. Bond, I expect you to die!” II-VI’s lasers are also used for actual weapon systems, including missile targeting.

Despite the recent turbulence for the stocks, industry consolidation is making the core players into more-diversified businesses better able to protect and develop their highly technical intellectual property. Increased scale also gives II-VI and Lumentum greater bargaining power with a concentrated group of customers. Apple (AAPL), Nokia (NOK), Cisco Systems (CSCO), Huawei, and Samsung Electronics (SSNLF) make up a critical mass of the industry’s customers.

Pennsylvania-based II-VI will fork over $220 in cash and 0.91 of its own shares for each Coherent share. The combination will nearly double the size of II-VI, which recently had a market value of about $8 billion. (As of now II-VI remains in the small-cap Russell 2000 index.) Its name, pronounced “two six,” refers to two groups in the periodic table used to make many of its laser products.

Adding Coherent will give II-VI greater exposure to end markets like life sciences, semiconductor capital equipment, and advanced laser-welding applications.

The deal is straight out of the company’s time-tested playbook. II-VI has completed some two-dozen mergers and acquisitions over the past 20 years, from small tuck-ins to the Finisar deal.

CEO Chuck Mattera, who holds a doctorate in chemistry, came to II-VI as a board member in 2000 after a 25 year career at Bell Laboratories and Alcatel-Lucent. Since then, II-VI has grown from about $150 million in annual revenue to an estimated $3 billion for this fiscal year, which ends in June.

“Acquisitions are a part of our strategy,” says Mattera, who took over the top job in 2016. “Putting together these two companies creates a global leader in photonics and complements our underlying capabilities. We believe that there’s just a tremendous and compelling opportunity that the combined companies will be uniquely positioned to pursue.”

II-VI and Coherent had combined sales of over $4 billion in 2020. The deal is scheduled to close by the end of this year, pending regulatory approval in the U.S. and China, which are home to the majority of II-VI’s employees and manufacturing facilities. Management expects the merger to eventually save $250 million a year in expenses—more than 6% of combined 2020 revenues—and to boost earnings per share in year two.

Most of II-VI’s and Coherent’s end markets are growing, as smartphones, cars, and trucks get more complex, fiber-intensive 5G networks are rolled out across the globe, and the digital world continues to migrate to the cloud. Wall Street analysts estimate 30% sales growth for stand-alone II-VI in pandemic-boosted fiscal 2021, followed by 10% growth next fiscal year. Coherent is seen growing revenues by about 15% in its fiscal 2021 and 2022, which end in September.

A more diversified portfolio should better insulate II-VI from the ups and downs of its customers. No single industry will represent more than 50% of the combined company’s sales, and investors may reward the shares with a higher valuation multiple as a result; II-VI stock trades for about 18 times estimated earnings over the coming year.

The average price target on II-VI stock is $106, or some 40% above current levels, with 75% of analysts rating the stock at Buy, according to FactSet.

The II-VI/Coherent deal also has a vote of confidence from private-equity firm Bain Capital, which took the unconventional step of purchasing at least $1.8 billion of equity in the combined company. Bain’s co-chairman, Steve Pagliuca, will also join II-VI’s board of directors.

Bain’s investment reduces II-VI’s required borrowing, with net debt of $4.9 billion anticipated at closing. That’s a manageable 3.8 times the combined company’s earnings before interest, taxes, depreciation, and amortization, or Ebitda. II-VI aims to get below three times within two years.

The market was too quick to dismiss the logic of a II-VI/Coherent tie-up. Investors now get a second swing at the shares.

ohne die ausgegebenen wandelaktien müsstens 125 mio aktien rum sein.

bei 60 dollar also knapp 8 mrd. marketcap.

4 mrd. combined umsatz iivi und coherent.

spannend wird sein, wie das apple geschäft anläuft. der ausblick auf den herbst bei den nächsten zahlen könnte da schon etwas schub bringen.

nach coherent deal und wandelung der aktien wäre

so 180 mio aktien. also 10 mrd. marketcap bei 4 mrd. umsatz.

schon ne nummer, aber wenn das apple wachstum kommt, dann ist der erste doppler im kurs drinne.

meiner meinung nach. im aktuellen umfeld, kann natürlich ein kurseinbruch auch nicht ausgeschlossen werden.

aber dann bin ich weiter auf der käuferseite

ich schreibe jetzt aber nicht meine Monologe vom anderen Fred wieder ab.

Ist bei Deinen 180 mio Aktien auch der mögliche Tausch der Bain Capital Unterstützung dabei  ?
Und was hat es mit der ominösen  US9021043065 auf sich ?

Der Coherent Zukauf versetzt II-VI in die Lage bei den Laserbearbeitungsmaschinen Fuß zu fassen.
Netürlich eine sehr interessante Diversifizierunggeschichte vor allem mit dem Hintergrund, dass UV-Laserbearbeitungsmaschinen bei der Herstellung von Micro-LED-Diplays unverzichtbar sind.
Der Wink mit dem Zaunpfahl, was Apple mit den Displays vor hat ;-)

Weiterhin hat II-VI natürlich Zugang zu CO2,Festkörper-Lasern, Eximer usw. usw.
Das komplette Spektrum an Laserhardware sozusagen.

Interessant ist auch, wer bereits in Coherent eingeflossen war : Rofin Sinar , Laser Optotronic (war an Leopard Zielsteuerung beteiligt) , Lambda Physik und Lumera Laser.
Man hat folglich, außer Trumpf die komplette German Laserkultur eingekauft (wie dämlich wir sind)

Man kann folglich fast behaupten: Mit II-VI hat man einen Laserhersteller der fast alles vereinigt, was Rang und Namen hat (kommt ja noch Finisar und etliche kleinere Zukäufe dazu.

Okay. And now to my question. So Alan, it's not surprising that ASPs were coming down. Our checks had indicated that ASPs will come down as your lead customer moves to a combined projector and flood illuminator module. But if our checks are also right and the next generation of this customer, presumably they're going to move to behind-the-glass model, and there I think your technology is significantly far better or more advanced than some of your peers. So to that extent you expect acceleration in fiscal 2022, is that based on an assumption of, one, your share gains? Or is that based on an assumption that there is primarily more proliferation of 3D sensing across more SKUs with this customer and also, generally speaking, more broader adoption by Android? If you could pass that comment about reacceleration in fiscal 2022.

Sure. Well, I think from reacceleration in fiscal 2022, what we had intended to say or what we had expected to really message was a lot of design wins happening now for different industries, whether that be automotive, security, biometrics and access control and things like that are happening now, that should accelerate through fiscal '23. We're still hopeful that Android comes online in fiscal '23. But I think our outlook is really more around added customers, added markets.

And as far as next generation of devices for our lead customers, we're working on many, many different things. And until they get close to deciding what's the plan of record, we're working on many, many different things without knowing what is actually going to be the plan of record for fiscal '23.

And so we're just making sure we're the design source for them, and we will lead them, whether that's a continuation of existing designs or new designs when they choose to put them in.

bisher liefern sie nur die vcsels für das iphone, sie machten andeutungen, dass es dieses jahr mehr content ist.

was war genau ams anteil an der faceid?

Apple will apparently achieve this notch downsizing by combining the currently separated infrared flood illuminator, sensor and dot projector, which make up the iPhone 12's Face ID unlocking system, into a single module. With two fewer sensors required, we should see a much narrower notch on the iPhone 13.

PHONE 13 WILL HAVE SOME GOOD INTERNALS
According to sources, in 2021, the VCSEL chips used by Apple’s ToF LiDAR, in addition to the products jointly developed by Apple and American firm Lumentum, will also be added to II-VI as the second supplier. The source of Lumentum Lei chips is still the British IQE. In addition, II-VI will use its own Lei chips.

Furthermore, Winmao is expanding its purchase of ToF-specific VCSEL testing and measurement equipment. There is an increase of about 20 to 30%. Also, case practitioners have indirectly confirmed that the number of holes in the rear lens of the iPhone 13 is increasing. According to Apple’s supply chain, there is a significant change in the Apple iPhone 13 3D sensing device. With this information, we expect the iPhone 13 to reduce the volume of the structured light 3D sensing module (the notch).

There are predictions that Apple would streamline 1 VCSEL chip in the front lens. The Face ID on the iPhone plus the number of VCSELs related to the ToF lens is expected to be reduced from 3 this year to 2. However, there is no confirmation of this and the number could still remain at three.

ANDROID MANUFACTURERS WILL ALSO USE D-TOF
The popular belief in the supply chain is that the Android camp will follow apple in using D-ToF technology. It doesn’t matter if Apple decides to use this technology in some or all models of the iPhone 13.

@ian: der Hinweis mit IQE ist schon mal sehr interessant und noch interessanter ist, dass II-VI zukünftig eine eigene Fab für die VCSEL-Laser haben wird und nicht mehr auf IQE angewiesen sein wird!

Die schreiben ja, dass praktisch JEDE VCSEL Laserdiode augenblicklich aus deren Fab stammt ! (Wusste ich gar nicht ;-)
Nun, das sind Briten und keine Amerikaner und eines ist klar wie Kloßbrühe: Die Tendenz, dass zukünftig Amerika alles Essentielle in Amerika produzieren lassen möchte hat sich durch Biden null verändert.

Alleine dieser Umstand wird II-VI bei Apple einen dermaßenen Push geben !

Bezüglich Content-Entwicklung bei Apple (ich habe es ja in dem Ursprungs-Fred mal beschrieben:

2021: möglicherweise kommt die Optik von II-VI, aber genauso gut könnte es auch vom bewährten Apple-Zulieferer Largan kommen (50/50 Chance ?). Sollte es Largan sein, dann wäre das möglicherweise sogar ein Contentverlust, weil (du hast es ja auch zitiert) möglicherweise vorne nur noch 2 anstatt 3 Laser-Arrays benötigt werden (im Vergleich zum jetzigen Structured Light, wo ja ii-VI gemeinsam mit Lumentum die Laser liefert)
Wird allerdings die Optik von II-VI kommen, dann zündet hier eine Rakete. Erstens dürfte der Content um ca. 2-3 $ ansteigen, zusätzlich würden dann jedoch sicherlich ALLE VCSELs von II-VI kommen und nicht mehr 50/50 mit Lumentum aufgeteilt werden (das wäre der viel stärkere Effekt).

Zusätzlich ist im world-face (also hinten) beim Iphone12 eine lächerliche Lidar-Technik implementiert. Das Dingens bringt augenblicklich fast null Mehrwert und ist lediglich eine Spielerei. Wie kann man die Auflösung des word-face signifikant erhöhen ? Mit deutlich mehr VCSEL Laserdioden plus bessere Empfangseinheiten (Sony oder STMicro) und spezielle Units im Prozessor. Wird vermutlich alles 3 kommen, da eigentlich zwingend notwendig, damit das Lidar auch Sinn macht.
Folglich world-face: Klare Contentsteigerung von II-VI (und Lumentum?)

in 2022 wird es allerdings fulminant werden, was II-VI betrifft. Da kommen (so hat es der CTO von II-VI ja angekündigt) extreme Content-Steigerungen durch die underDisplay Geschichte (natürlich in Konkurrenz zu AMS) und sicherlich wird auch auf der world-face Seite nochmals extrem aufgerüstet .
Zusätzlich dürfte ein galaktisches Potential auf der Maschinebauseite von Coherent lauern. In 2022 wird Apple sicherlich damit anfangen seine Micro-LED Display Produktion aufzubauen. Die werden dann möglicherweise mit den Coherent-Maschinen arbeiten.
Meine Vermutung ist allerdings (schade für AMS), dass wenn solch starken amerikanischen Hersteller verfügbar sind, dann wird Apple keinen Europäer oder Asiaten zukünftig in Erwägung ziehen, außer wenn sie wesentlich besser oder wesentlich günstiger sind (oder beides)

wenn mir die betriebswirtschaftlichen Fundamentaldaten endlich klar sind, dann werde ich möglicherweise deutlich mehr Pferde auf II-VI setzen.
Ich mach mal heute Nachmittag noch einen Versuch... Deine 180 mio Aktien sind mir zu wage ;-)
Das muss ich erst selbst verstanden haben.

achso, um AMS auch mal ein wenig schöner zu reden ;-)
AMS hat mit Osram natürlich bereits jetzt eine eigene VCSEL-Fab und benötigt IQE überhaupt nicht ;-)
Dass das so gebündelt abläuft (IQE oder Osram) mit den VCELS war mir nicht ganz klar vorher.

apple wird bei dual sourcing bleiben.

erklär mir mal was:

könnte iivi die face id genauso anbieten wie ams?
also nur anstelle dtof für sl?

die auswertung, oder wie du sagst empfangseinheiten, kamen auch beim face id nicht von ams?

kaufen wir uns wieder ein, wenn wir massig mäuse mit unseren anderen pferdchen gemacht haben.

aktienzahl: deine 108 mio für iivi (stimmt das?)
dann 0,91 aktien für alle coh aktien: nochmal 24 mio.
dann die wandelaktien: 21 mio? 1,8 Mrd bei 85 conversion price.

nochmal zurück zum fundamentalen:

Im Q3 Bericht von II-VI sthet ja Stand März:
104,76 mio Aktien und 116, mio Aktien (diluted). Sind das bereits inklusive der Bain-Capital Maßnahme (die diluted)... Kann ich mir ehrlich gesagt nicht vorstellen, da ja überhaupt nicht klar ist, ob Bain nach 4 Jahren das Cash möchte, oder lieber Aktien verrechnen möchte, oder ?
Außerdem wären die (116,3 minus 104,76 = ) 11,54 mio aktien viel zu wenig (das wäre ja augenblicklich ein Äquivalent von nur 703 mio $ .... Kann folglich nicht sein, dass die 2,1 Mrd $ die Bain Capital als equity in II-VI gepumpt hat/pumpen wird, dort enthalten sind.
Es kommen folglich möglicherweise (ist natürlich augenblicklich nicht exakt zu berechnen) schon möglicherweise 35 mio Aktien (plus X) alleine von Bain hinzu (falls die alle gewandelt werden).
Das wären folglich schon mal 116,3 mio + 35 mio = ca. 151 mio Aktien.

Dann kauft man ja Coherent für Cash 220 $ plus 0,91 shares zu. Coherent hat 24,3 mio shares augenblicklich also cash 5346 mio $ plus 22,1 mio shares.

Insgesamt wären wir folglich bei ca. 173mio shares nach der Übernahme und der Wandlung von Bain-Capital in Aktien (plus minus dickes X, weil Bain sicherlich höher wandeln wird als heute)

Von daher Respekt für Deine 180 mio Schätzung ... aber etwas mehr Infos beim Überlegen wären manchmal nicht schlecht, lieber Ian :-))

Gehen wir also wirklich von 180 mio Aktien nach der Übernahme und der späteren Wandlung Bains aus.
Macht augenblicklich eine virtuelle MK von 11 Mrd $ ,,,

Ursprünglich waren die Analysten (ohne Coherent) für 2021 von knapp 3 Mrd $ Umsatz ausgegangen. Von Coherent kommen nach nochmals (für 2021 geschätzt) 1,43 Mrd $ dazu.
Macht folglich für 2021 dann insgesamt knapp 4,43 Mrd $ Umsatz.
MK/Sales folglich augenblicklich = ca. 2,5
Das ist ein relativer hoher Wert (also sicherlich kein Schnäppchen), aber natürlich sind auch die Chancen für starkes Wachstum extrem hoch.
Die Netto-Verschuldung dürfte dann vermutlich bei knapp 4 Mrd $ in 2021 liegen (Cash-Betrag für coherent minus 2,1 Mrd$ von Bain plus augenblickliche Nettoverschuldung)


Hoffentlich liest das @dlg mal durch und korrigiert notfalls :-)

die bains sind nicht in den aktuellen dilutet enthalten.

je nachdem wieviel sie reinbuttern errechnet sich die neue aktienzahl.

fest zugesagt sind 1,8 mrd. dollar beim conversion price von 85.$

also 21 Mio dazu.

plus 22 mio cohr.

plus fully dilutet 116 = 160 mio

In fact, we're working on expanding the technology platform for sensing with electronics drivers, and the recently introduced multi junction, VCSEL and flood illumination module platforms. We expect the revenue for 3D sensing in Q4 fiscal year '21 to follow the usual seasonal pattern. While we're squarely focused on preparing for the run, that will begin in calendar Q3.

@ian, seither hatte ja AMS den Vorsprung durch Heptagon, die es geschafft hatten, diese Optiken auf einem wafer herzustellen. Inwieweit dieser Vorsprung jetzt aufgetilgt wurde, kann Dir wahrscheinlich keiner seriös beantworten. Sicherlich is alles immer denkbar nach einer solch langen Zeit. Kann durchaus sein, dass II-VI das bereits könnte/kann. Natürlich wäre es am Effektivsten, wenn das komplette Modul aus einer Hand käme ... VCSEL-Array direkt mit integrierter Optik als flood-modul . Beim structured light von AMS läuft es ja scheinbar so ab, dass die VCSELs von Lumentum und ii-VI kommen, die werden dann wohl bei AMS mit der Optik verheiratet (siehe CS-Bericht, wo einerseits die Optik für AMS verrechnet wird und in einem separaten Punkt die Verschmelzung, dann kommt das ganze zu einem Dienstleister, der Kameramodul und den Rest miteinander verheiratet. Wäre sicherlich effektiver, wenn weniger Firmen daran beteiligt wären.
Aber : Natürlich wäre es dann der Nachteil, dass man nicht mehr genügend auf 2 oder mehr Lieferanten streuen könnte, außer wenn Lumentum ebenfalls solche integrierte Komplettlösungen anbieten könnte (?)

Barclays analyst Tom O'Malley downgraded II-VI (IIVI) to Equal Weight from Overweight with a price target of $65, down from $105. The analyst believes the optical group "will struggle to work as a whole" until telco tenders this summer. II-VI's Coherent (COHR) deal is "very dilutive" and the first swath of the Bain investment will impact shares as early as September, O'Malley tells investors in a research note.

@ian : ein Nasdaq-Unternehmen steckt solch eine Investition deutlich besser weg, als ein an der schweizer Börse notiertes Unternehmen ;-)
Die Amis wollen wachsen um jeden Preis und dort wird das auch honoriert.
PS: Lumentum hatte ich wirklich nur wegen des Absturzes gekauft, aber wirklich fulminant wie schnell die sich trotz rauhem Technowind wieder aufstellen.
Lumentum ganz kurzfristig, II-VI kurz bis mittelfristig und AMS ganz langfristig könnte die Zauberformel sein ;-)

es wird ein geiler ritt hier. lumentum is ausgereizt. ich würde lieber jetzt switchen.

@ian: lumentum wird noch auf 70 Euro hochziehen, dann ist Schluss.
Brauch nicht zu switchen, denn ich bin bei Lumentum,II-VI und bei AMS drin.
Wenn ich bei Lumentum verkaufe, dann kommt der Erlös zusätzlich in ii-vi rein, wenn ich dann dort verkaufe, dann geht alles in AMS rein. So mein Plan :-))
