Technology Could Loosen Hold on Traditional Cable
Equipment Market
ST. LOUIS--(BUSINESS WIRE)--Jan. 9, 2003--Charter Communications Inc.
(Nasdaq:CHTR - News) and Sony Electronics Inc. have signed a licensing agreement
for Sony's Passage(TM) technology that could eventually bring more competition to the
set-top receiver market and provide more choices and features for Charter customers.
Charter hopes to use the Passage technology to allow set-top receiver, network and
headend equipment from different companies to work together on existing digital cable
television networks. The technology could result in increased competition among
set-top manufacturers, resulting in lower prices, more features and the ability for
consumers to use the same set-top in different cities.
"With Sony's Passage technology, cable operators will have the freedom to cost
effectively introduce alternative conditional access systems into their networks, which
should encourage new manufacturers to develop new products and accelerate
innovation in the industry," said Stephen Silva, executive vice president and chief
technology officer for Charter. "Opening up the cable industry infrastructure will most
certainly foster competition and result in more choices and better services for
consumers."

compelling content and services; a wide selection of familiar, user-friendly devices from
which to access that content; and a business model that makes sense for all parties,

Charter to Launch HDNet & HDNet Movies Networks

ST. LOUIS & DALLAS--(BUSINESS WIRE)--Jan. 10, 2003--Charter
Communications Inc. (Nasdaq: CHTR - News) and HDNet today announced an agreement to carry two around-the-clock, high-definition networks, HDNet and HDNet Movies. The initial deployments will be in University Park/Highland Park, Texas, located in the Dallas/Fort Worth area; and Glendale/Burbank, Calif. The agreement is the cable industry's first with HDNet and expands the growing lineup of programming now available to customers of Charter's High Definition Service.

"Through agreements such as this one, we intend to expand HDNet's distribution and deliver the incredible HDTV experience to more viewers across the country."

HDNet Movies delivers a commercial-free schedule of full-length feature films converted from 35mm to high-definition, including titles from an extensive library of Warner Bros. films from a deal recently announced between HDNet and Warner Bros. Domestic Cable Distribution. HDNet Movies will feature a mix of theatrical releases, made-for-TV movies, independent films and shorts.
The HDNet channel features a variety of HDTV programming, including live sports, sitcoms, dramas, action series, documentaries, travel programs, music concerts and shows, special events, and news features including the popular HDNet World Report. HDNet also offers a selection of classic and recent television series from a recently announced deal between HDNet and Paramount.
In order to receive HDNet on Charter, customers will need to have an HDTV set and subscribe to Charter Digital Cable® and Charter High Definition Service. Charter's High Definition Service is available for a monthly incremental charge. The monthly price for HDNet has not been determined.

UPDATE - Moody's cuts Charter deeper into junk, sees losses

NEW YORK, Jan 15 (Reuters) - Charter Communications Inc.'s (NasdaqNM:CHTR -
News) ratings were cut deeper into "junk" territory on Wednesday by Moody's Investors
Service, on concern that bondholders are more likely to lose money if the No. 3 U.S. cable
TV operator restructures its $21 billion of debt.
Moody's said there was a "growing
probability of expected credit losses"
from an "increasingly likely" near- to
medium-term debt restructuring
involving Charter, which is controlled
by billionaire and Microsoft Corp.

Charter shares fell as much as 16
percent on Wednesday, and its bonds
also fell. The company, based in St.
Louis, did not immediately return a
call seeking comment.
Moody's cut Charter's senior
unsecured issuer rating two notches to "Ca," its second lowest grade, from "Caa2," and cut
Charter Communications Holdings LLC's senior unsecured notes four notches to "Ca" from
"B3." It also cut Charter's liquidity rating to "SGL-4," its lowest, from "SGL-3." Moody's
rating outlook remained "negative."
The downgrade may make a restructuring more difficult or costly, at a time Charter is
already fighting subscriber losses, heavy competition, and a federal grand jury probe of its
accounting practices.
Charter last month fired Chief Financial Officer Kent Kalkwarf and Chief Operating Officer
David Barford. The latter had been put on paid leave in October because of issues
surrounding the accounting investigation.
Moody's said Charter's "operational weakness may be more severe than anticipated,"
based in part on the dismissal of Kalkwarf and pending restructuring charges.
Charter said in November it would reaudit and restate its financial results from 2000
through the first half of 2002, after underreporting costs and tax liabilities from purchases in
1999 and 2000. It also said fourth-quarter operating cash flow would fall short of its
previously announced target. The company has about 6.7 million subscribers.
Charter shares traded Wednesday morning on the Nasdaq market at $1.24, down 24
cents, or 16.2 percent. They closed one year ago at $13.40.
Its 8.625 percent notes maturing in 2009 fell 6.5 cents on the dollar to 45.25 cents, pushing
the yield up to 27.48 percent from 23.91 percent, according to TRACE, the NASD bond
pricing service. The higher yield means investors see more risk.
