hm, ich weiß nicht. werde meine (nicht 300 000) shares wohl behalten und abwarten was passiert. gut oder schecht?
Deine Frage kann ich Dir beantworten: Wenns steigt, gut, ansonsten schlecht... ;-)
Habe mir gestern gut 70 Seiten des "Memorandum of Law in Support of Settlement" von Pomerantz heruntergeladen, werde es mir aber erst heute Abend genauer durchlesen können. Vorweg: Es gab wider Erwarten wohl doch keine Objection des Querulanten, der gerne von ABAT direkt mit Bargeld abgefunden werden möchte. Insgesamt haben sich wohl zwölf Betroffene gemeldet, die vom "opt-out" Gebrauch machen, d.h., sie treten sozusagen aus der Sammelklage aus und erhalten kein Geld aus dem Vergleich, dürfen aber theoretisch selber Klage erheben. Erstaunlicherweise waren da viele Deutsche dabei. Lt. Pomerantz ist diese Zahl aber extrem niedrig, weshalb im Moment wohl einiges drauf hindeutet, dass das Settlement abgesegnet werden könnte. Alles wie immer ohne Gewähr und IMHO, heute Abend evtl. mehr dazu...
so wie ich das verstanden habe, entscheidet das gericht beim hearing darüber.
kläger und beklagte fordern, dass das gericht den einspruch gegen den vergleich ablehnt.
wie das gericht entscheidet ist fraglich, denn der einspruch ist nicht unberechtigt und macht durchaus sinn, denn es ist ein versuch abat haftbar zu machen, sollten sie sich nicht an die vereinbarten klauseln, innerhalb eines bestimmten zeitraums, in der derivative law suit, halten.

ausserdem wurde die objection auch im yahoo board erwähnt. wenn du genaueres über den einspruch erfahren möchtest, bleibt nur pacer.
So, habe eben noch einmal etwas auf Pacer recherchiert:
Bez. Class Action: Offenbar gibt es keine Objection. Zwölf Leute haben vom "opt-out" Gebrauch gemacht, der überwiegende Teil davon kommt aus Deutschland. Ich bin jetzt einmal ein wenig "gehässig": Die haben - obwohl fast alle mind. einen Dr. im Titel tragen - schlichtweg nicht verstanden, dass das Ganze kostenlos ist, wenn sie dabei sein möchten, und dass sie einfach nur nichts tun müssen, wenn sie nicht dabei sein möchten. Das "opt-out" macht ja nur Sinn, wenn man selber klagen möchte, und das ist bei denen definitiv nicht der Fall, schon auf Grund der geringen Anzahl der Shares und der Begründungen. Ebenso wie ein paar Amis haben sie das ganze Prozedere schlichtweg nicht verstanden. Deshalb sehe ich im Moment keinen Grund, warum das Settlement nicht durchgehen sollte.
Bez. Derivative Action: Tja, ehrlich gesagt, bin ich ein wenig ratlos. Ich habe Pacer gleich zwei Mal gecheckt, ich kann im Docket beim besten Willen keine Objection (und auch nicht die angeblichen 80 Seiten Anhang) von Joel Kaplan finden. Das Einzige, dass im Docket abgelegt wurde, ist ein Fax von Kaplan, in dem er um eine Verlängerung der Einspruchsfrist gebeten hat. Handschriftlich hat die Richterin darauf vermerkt (so ging es offenbar als Rückfax raus), dass sie die Objection nebst Anhängen akzeptieren würde, wenn diese den Poststempel vom 24.01.2014 tragen würden. Da nichts im Pacer-Docket zu finden ist, gehe ich eigentlich davon aus, dass diese Sachen nicht rechtzeitig angekommen sind und demzufolge nicht akzeptiert wurden. Das Einzige, dass von Kaplan noch zu finden ist, ist eine "Notice of Intention to appear", in der er ankündigt, am morgigen Freitag persönlich vor Ort zu sein und gleichzeitig darum bittet, seine nunmehr nur noch 30 Seiten Anhänge mailen zu dürfen. Das wurde wohl erlaubt, ins Docket kam aber nichts. Seltsamerweise gibt es von den ABAT-Anwälten jedoch eine Antwort auf die Kaplan-Objection, die dieser offenbar per E-Mail und/oder Fax den Anwälten hat zukommen lassen. Meines Erachtens wäre eine solche Objection schon rein formell ungültig. Davon ist in der Antwort jedoch nicht die Rede, stattdessen wird ihm
1. bad faith vorgeworfen, weil er mit der Objection nur seine eigenen Interessen (Rückkauf seiner Shares durch ABAT) "durchdrücken" will
2. sei die Objection grundlos, da ein Settlement (das kann ich aus einem anderen Fall bestätigen), lediglich darauf zu prüfen ist, ob es fair, begründet und angemessen ist, und nicht etwa darauf, ob es die beste bzw. bestmögliche Lösung darstellt
3. habe Kaplan noch nicht einmal dargelegt, ob er überhaupt Shareholder sei. Alle Depot-Auszüge tragen nur handschriftlich seinen Namen. Ich habe sie mir (sofern es überhaupt seine sind) angeschaut: Von seinen 300.000 Shares hat er nur einen Bruchteil vor dem Absturz von ABAT erworben, den Großteil in 2012 und 2013!
Alles in allem gehe ich nach den vorliegenden (oder eben auch nicht vorliegenden Docs) davon aus, dass seine Objection entweder gar nicht erst behandelt oder "overruled" werden wird. Wäre ich die Richterin, würde es von mir eine Rüge oder sogar eine Anzeige wegen versuchter Nötigung geben, aber das ist nur meine persönliche Meinung... ;-)

Wie anhand des schwachen Umsatzes zu vermuten war, ist die Geschichte offenbar verschoben worden. Leider gibt es kein abrufbares Transcript, so dass ich über die Gründe nichts sagen kann. Die Formulierung "...whether they would like to go forward with their settlement..." klingt aber sehr irritierend...

PROPOSED AMENDMENTS

a) That ABAT issue an international 'Performance Bond' for $5 million dollars, for a period of two years, to show good faith in compliance with the Corporate Governance Reforms and the proposed Amendments below.
b) That a date be set within 4 months of the Fairness Hearing (February 21 2014), for ABAT to file independent audited financial statements and become current with the SEC to avoid potential SEC deregistration and to take sincere steps to get off the “toxic tier’ of the Pink Sheets
c) That given the ongoing discrepancy, after nearly 30 months between ABAT’s defense and the plaintiff’s persistent allegations of fraud, ABAT release a forensic accounting which verifies cash. (See http://www.prnewswire.com/news-releases/...ing-review-126762748.html)

meine vermutung: joel konnte beim hearing wohl plausibel erklären warum die klauseln in der derivative laws suit abgeändert werden müssen, um abat haftbar zu machen, sollte abat nach einem ende der rechtsstreitigkeiten keine finanzberichte veröffentlichen.
deshalb jetzt wohl die weiteren verzögerungen ( Counsel in the shareholder derivative suit (11-cv-4383) have 10 days to make any additional submissions to the Court in support of their settlement.).
sollte abat sich darauf einlassen, dann würde sich tatsächlich die lage aller aktionäre verbessern, wenn nicht, dann bliebe nur das blinde vertrauen darauf, dass abat finanzberichte nach einem möglichen ende des rechtsstreites, irgendwann (wann auch immer?), veröffentlicht.... blindes vertrauen? ... nicht so schmackhaft ..., denn ein vergleich klärt ja nicht die schuldfrage... und warum dann abat blind vertrauen? (m.m.)
