ICP Solar Announces Letter of Intent to Acquire Ibersolar of Spain

A Leading Provider of Solar Photovoltaic & Thermal Systems

MONTREAL, QUEBEC, CANADA – October 21, 2008 – ICP Solar Technologies Inc. (OTCBB: ICPR.OB, FRANKFURT: K1U.F), a developer, manufacturer and marketer of proprietary solar panels and products, today announced that it has entered into a binding Letter of Intent (“LOI”) to acquire Ibersolar Energía, S.A., a leading European manufacturer and supplier of solar photovoltaic systems, solar thermal systems, and absorption units.

The private company, established in 1999 and headquartered in Spain, has annualized sales of approximately €120 million and has been profitable since 2005.  Ibersolar photovoltaic modules provide clean electrical energy for residential, commercial and industrial applications worldwide.

Under the terms of the LOI, ICP will acquire 100% of the shares of Ibersolar.  The Parties agree and undertake to enter into a mutually agreeable definitive share purchase agreement and any other documents necessary for the acquisition within six weeks of the signing of the LOI, or as soon as practicable thereafter.  In addition, the closing of the acquisition is contingent upon financing by ICP of a minimum of $15 million on terms acceptable to both parties.  A financing plan (i.e., term sheet) must be arranged before December 15, 2008; additional terms are outlined in a Form 8K filed with the SEC. The new company structure after the acquisition, but before the financing, will be owned 20% by existing ICP shareholders and 80% by existing Ibersolar shareholders on a fully diluted basis.

Ibersolar Energía offers a wide range of PV modules, grid-connected and off-grid inverters, mounting systems, solar trackers and monitoring equipment, as well as complete solar thermal systems, including high performance collectors, solar boilers, controllers, and thermal siphons.  The company has developed a roof system which integrates flexible amorphous silicon modules with waterproof membrane solutions, providing the highest guarantee of impermeability in a roof while achieving maximum energy production from the photovoltaic modules.

Zakdirosa. Die welt braucht idealisten wie du einer bist. Ich hoffe so sehr dass du recht behälst denn ich sitze im gleiche boot. Und ich rede von echte euros keine virtuelle. Bei ICP blicke ich überhaupt nicht durch habe aber ein gutes gefühl!

zum thema idealist:
man muss auch mal gegen den strom schwimmen! Ich bin sehr gut investiert - und ich kann es mir leisten, (wenn cosmic recht behält und ICP ist Schrott!- who cares?)
Die allgemeine Marktsituation lässt zur Zeit keine grossen Sprünge zu, aber! und das gilt nicht nur für ICP, die Kurse  sind günstig und so werde ich auf jeden Fall mein Depot noch vor dem 31.12. kräftig ergänzen.

Bei ICP ist trotz allem zu bedenken, der Deal mit Ibersolar muss gestemmt werden und die ganzen Bemühungen müssen sich im nächsten Jahr in den Bilanzen sehr positiv ausdrücken.  Da ist dannn auch meine Spekulationsfrist
abgelaufen. Dann seh ich weiter! Aber vorerst bleib ich LONG und STRONG BUY!

Shave to save...

By now many of you have read today's announcement about operational efficiencies at ICP Solar. Its quiet obvious to me that while we add business left, right and center, to our bookings for next year, it is incumbent on me to bring this company to profitability, as deserve our shareholders to receive a return on their investment.

It is indeed a challenging financial environment, yet we are lucky to have set down some good developments in 2008 which are going to catch big waves in 2009. Our cost of product acquisition will fall drastically as will our cost of operations, thanks to the addition of David Stein. His history at Future Electronics has already helped us shaves several dollars on the costs of new products about to be introduced and his savvy operational sense is helping to make us a leaner and faster acting company.

It reminds me a bit of the ICP Solar of old, where delivery and operational efficiencies were as much a focus as topline sales. We had extraordinary internal people as well as extraordinary sales team members. I am seeing quite a bit of that in this year, and with the added innovations about to be launched, I am very very bullish on the upcoming period.

And all this in the most challenging economic environment we have ever seen...go figure!

klammheimlich verschwinden liess, sind auch alle Verlustbringer abgetaucht. Leider gehoert ICP auch dazu. Bei Kurs 2 wurde die Aktie empfohlen, empfohlen...bla,bla und jetzt ist sie  um 0.2.
Schon mal in deren Homepage geschaut??....Was die da anpreisen, gibts in jedem Baumarkt...Kommt mir vor als machen da jemand  Werbung fuer Taschenlampen....
Wo ist eigentlich der Solar-Dachziegel...dass sollte doch das Herausragende an der Firma sein....Wo ist der im Angebot...??? D I E  Idee waere Klasse, aber sicher nicht das andere Peanut-Zeug.

Es kommt aber noch mehr von ICP. Wenn es wieder Baumarktartikel sind? Hauptsache das Zeug verkauft sich.
Allerdings!:
Klappt die Übernahme von Ibersolar  spielt Peress in einer anderen Liga. Hast du dir scchon mal die Homepage und die Produkte von denen angeschaut?
Klappt die Übernahme nicht, dann wird  ICP  auf lange Sicht  wohl ein Pennystock bleiben.
