Des Weiteren kann die Aufspaltung in Horisont Karbon AS, Horisont Infra AS und Horisont Ammoniakk AS eine bessere Fokussierung auf die einzelnen Projekte mit sich bringen und sollte im worst case szenario davor bewahren, dass das ganze Unternehmen in Mitleidenschaft gezogen wird.
Finde es auch gut, dass der Demerger ohne Verwässerung der Aktionäre vollzogen wird. Hat jemand eine Meinung dazu?

announces that the Norwegian Ministry of Energy has approved PGNiG Upstream
Norway as operator and partner with Horisont Energi in Polaris (CO2 exploration
licence EXL003) the only CO2 storage located in the Barents Sea.
Horisont Energi and PGNiG Upstream Norway (PUN) on 11 December 2023 announced a
sales purchase agreement making PUN a licence partner. The governmental
appointment of PUN as operator and approval as licensee represent a key
milestone in the development of the Polaris project.
“With PGNiG Upstream Norway now in place as operator and partner, we have a very
strong fundament to unlock the potential of Polaris as a vehicle to reduce
emissions on an industrial scale. We have had excellent cooperation with the PUN
team so far and look forward to developing this great partnership going
forward,” says Bjørgulf Haukelidsæter Eidesen, CEO of Horisont Energi.
“We are glad to see the Norwegian authorities supporting the rapidly developing
CCS industry in Norway and Europe. The Polaris carbon storage project is a
significant emission management initiative in Europe with expected ripple
effects far beyond the Norwegian Continental Shelf. We strongly believe that our

regional leader of the low carbon transition. Polaris will enable us to launch
carbon management services to support our customers on their own way to net zero

PGNiG Upstream Norway is a subsidiary of ORLEN.
Horisont Energi and PUN each have a participating interest of 50% in the EXL003
CO2 licence Polaris, which will provide CO2 storage for Horisont Energi’s and
Fertiberia’s Barents Blue project as well as other CO2 customers. The
advancement of the Polaris project to handle sequestration of CO2 from multiple
customers further strengthens the commercial basis for the carbon storage
business case in Northern Norway, and the development of a European carbon value
chain. Horisont Energi is currently in advanced dialogues with E.ON on CO2
storage capacity for the Polaris carbon storage licence and has as previously
disclosed agreed to develop and share the costs of shipping CO2 from Central
Europe to Norway.
Horisont Energi has made considerable progress in developing pioneering projects
towards a carbon neutral future. Within CCS, this now includes storage, capture
technology, a planned CO2 terminal, CO2 supply, and the establishment of strong
partnerships. The Polaris carbon storage development started in February 2020.
The Polaris exploration licence EXL003 was applied for in 2021 and awarded on
June 10, 2022.

2023 kicked off with a rough start, but this year have also been a year for great development as several milestones has been accomplished. The hard work and dedication put down by all the people at Horisont Energi the past year is nothing short of extraordinary. I am so proud of the team and how well positioned our projects are for 2024.
I said it last year, and I’ll say it again: Norway needs a company like ours. Pushing the boundaries as a scale up energy company with industrial scale plans to tackle the ever-pressing climate crisis. The world is really running out of time, and the time to wait for small scale innovation has passed. We still believe that building a company straight onto industrial scale is achievable in Norway, and I am confident that 2024 is the year that we will prove everyone right.
To reach the net zero target and replace fossil fuels we need to decarbonise hard-to-abate industries. We need to stop using labels such as green and blue, and rather focus on the product quality, emission rate and the overall carbon footprint. My wish for 2024 is that more will see the potential Norway has for large scale production of clean hydrogen and ammonia.
2023 has been an interesting year for our Barents Blue-project in Hammerfest. With the entering of the Spanish ammonia expert, Fertiberia, we have matured the project further. Teaming up with a leading ammonia supplier on the European continent really showcases the demand for clean ammonia in the global market. Being both energy efficient and with a record low carbon footprint we are setting the standard for clean ammonia production.
In 2022 we were awarded the first licence for CO2 storage in the Barents Sea with our Polaris storage project, and this fall we signed an SPA with PGNIG Upstream Norway for partnership in the Polaris project, with PGNIG intending to become operator, all subject to governmental approval. This showcases the European interest for storages on the Norwegian Continental Shelf and will enable storage in Polaris for several customers.
The Gismarvik CO2 Hub has been transformed from a single-storage terminal to a terminal for several storage projects offshore. The annual planned capacity has increased from 4-6 million tonnes to up to 24 million tonnes. Working closely with both local partners and customers in Haugalandet and continental customers, the cost-efficient project is expected to be an important part of the European CO2 infrastructure. The Gismarvik CO2 Hub enable us to move one step closer to reaching the commitments made in the Paris Agreement.

the activity level to a dynamic business environment, adopted a sharper cost
focus, organized around a clean ammonia team and a CCS team supported by
commercial and technical teams to optimize resource use at the beginning of the
second half of 2023.
Over the last six months Horisont Energi has progressed its business activities
and its main projects. For this, at the end of 2023, the necessary decisions
were taken to adapt a company group structure by adding respective business line
subsidiaries. Now, further actions must be taken in the pursuit of a sustainable
future for the company, particularly with respect to commercial agreements and
financing.
These various planned activities will require a substantial part of only one
CEO’s time and efforts. Building on the experiences made over the last six
months, and considering how Horisont Energi may best deliver, the board has
decided to strengthen the governance of the company by implementing a dual CEO
structure.
For this purpose, the board will call an extraordinary general meeting to update
the articles of association to allow for the appointment of two CO-CEOs.
Subject to approval by this general meeting and the pursuing formal appointment
by the board, it is planned that Bjørgulf Haukelidsæter Eidesen will continue as
a CO-CEO, whereas the current CFO, Leiv Kallestad, will also take on the role as
CO-CEO.
Haukelidsæter Eidesen will focus on strengthening existing and building new
external relationships, whereas Kallestad will focus on enhancing project
delivery capabilities and continue with responsibility for financing.
The board acknowledges all the work that has been done in 2023 and the results
that have been achieved and is convinced that strengthening the governance will
enable and secure key deliveries while continuing focus on efficiency of
operations and cost control.

This is not directly an impact on Horisont, but it proofs the strong position of the Orlen Group in Norway and maybe somewhat will link to a project for HRGI when it comes to CCS.

January this year regarding proposed changes to the top management in Horisont
Energi (EURONEXT: HRGI), the company will as a follow-up hold an extraordinary
general meeting on Monday 5 February at 09:30.
The Extraordinary General Meeting will take place at the company’s main office
at Grenseveien 21, Sandnes, Norway. Please find the Notice attached with
practical information about the Extraordinary General Meeting.
Yesterday Ula Linkute-Schrooyen and Kaja Elisabeth Paulsen attended the EFTA conference on the development of CCS together with key industrial players, policy makers and stakeholders. An interesting agenda on the policy development with the EU Commissions work with the Net Zero Industry act and the new proposal on the Carbon Management Strategy due next week.
Do we have the right framework for this industry to meet the set targets for 2030? Are the targets realistic? And will the storage capacity for CO2 on the Norwegian Continental Shelf pose an opportunity for even higher ambitions for the CCS industry in Europe?
The goals are high both on a policy level and from the industry - but the stakes are even higher. CCS is key to reach the EU 2040 climate targets and the net zero targets by 2050.
A thank you to the panelists for sharing valuable insight and EFTA for organizing such an important and relevant event.

Great news for the CCS community!
The EU commission proposed their Industrial Carbon Management Strategy yesterday, along with new and ambitious climate targets for 2040.
Key highlights of the 2040 EU target are:
90% net GHG emissions reduction by 2040 climate target.
Recognition that CCS and carbon removal solutions are necessary to reach 2040.
Norway will naturally contribute significantly to the European CCS market with our offshore storage capacity.
Horisont Energi is developing European CCS value chains, as well as domestic value chains with our Polaris CO2 storage project and our CO2 infrastructure project with Gismarvik CO2 hub.

extraordinary general meeting (EGM) on 5 February formally approved the
amendment of the Articles of Association which allows the board to appoint two
CEOs as a collective body.
Following the EGM and in line with the announcement on 17 January of the board’s
intent, the board yesterday (8 February) has resolved to implement the co-CEO
body effective 9 February 2024. The board thereafter appointed the following as
co-CEOs (alphabetical order):
- Bjørgulf Haukelidsæter Eidesen
- Leiv Kallestad
The adoption of a co-CEO structure reflects that Horisont Energi has adapted a
new company group structure with several business line subsidiaries. The
strengthening of the governance structure will both enable and secure key
deliveries and maintain the focus on efficiency of operations and cost control.
Going forward, Mr. Haukelidsæter Eidesen will focus on the strengthening of
existing and building of new external relationships, whereas Mr. Kallestad will
focus on enhancing the project delivery capabilities while maintaining his
responsibilities related to finance.
Dr Gabriël Clemens, chair of the board of Horisont Energi, welcomes these
decisions and wishes both co-CEOs success in their new roles.

(EURONEXT: HRGI) press release of 22 December 2023 following the extraordinary
general meeting of the same date. At the extraordinary general meeting it was
resolved to carry out a corporate restructuring, transferring all rights and
obligations related to clean ammonia, CO2 transportation and storage and CO2
infrastructure into three separate and wholly owned subsidiaries. The formal
side of the restructuring has now been registered in the Norwegian Register of
Business Enterprises as completed. Some practical implementation steps remain
but will be completed by early March 2024.
