GLG files Chinese IP patent for monk fruit sweetener

2014-02-03 12:07 ET - News Release

Dr. Luke Zhang reports

GLG ANNOUNCES FILING OF LUO HAN GUO (MONK FRUIT) PROCESS AND FORMULATION PATENT

GLG Life Tech Corp. has filed a patent with the State Intellectual Property Bureau of the People's Republic of China for its proprietary process for extraction and production of high-purity luo han guo (LHG) extracts as well as luo han guo formulations used in food and beverage applications. The company also plans to seek international patent protection under the Patent Co-operation Treaty for this patent.

The patent filing has two components, the first addresses GLG's proprietary industrial-scale purification processes for LHG, and the second addresses LHG formulations. Both components lever the company's patented and proprietary techniques developed for purification and formulating high-purity stevia extract products. GLG expects that its proprietary LHG technology covered in this patent will result in higher yields of mogroside from the fruit and greater purity of extracts. The company is currently capable of producing LHG extracts up to 60-per-cent mogroside V purity and is working on 70-per-cent to 80-per-cent mogroside V extracts. These products are expected to be the highest available in the marketplace. Formulations in the patent cover a range of formulations including stevia/LHG blends.

Dr. Luke Zhang, GLG chairman and chief executive officer, comments: "We are delighted to make this announcement about our new patent filing. After a concerted effort by the GLG production and technology teams, we are extremely satisfied with our results of higher efficiency in extraction of mogroside from the LHG fruit, and superior purification technology that results in higher levels of extract purity and efficiencies in the production process. Customers can expect a better grade of LHG extracts to work with in their food and beverage formulations, and efficiencies are expected to drive lower production costs."

GLG has a strong record for receiving patents in the People's Republic of China, and previous patents have been awarded in the areas of stevia agriculture, stevia primary and secondary processing, waste water management and formulations.

Dr. Zhang states that with the LHG business opportunity, "GLG's goal is to be the vertically integrated leader in luo han guo agriculture and production" within the next few years.

The company has completed the majority of work to establish its fully integrated supply chain for luo han guo including obtaining high-quality LHG seedlings, contracting with LHG growers and storage facilities, and developing patent pending processing technology for high-purity LHG extract, and quality assurance/quality control processes. GLG plans to utilize its Runyang stevia processing facility to produce the extracts. Key remaining activities include the commencement of LHG planting this spring and minor modifications to its Runyang facility to enable LHG production. Production using this year's LHG crop is expected to start in the third quarter of 2014. GLG is currently working through the United States Food and Drug Administration GRAS self-affirmation process for its LHG high-purity extract products.

GLG's mogroside V extract product samples are now available. For more information, please contact Shaun Richmond or refer to the GLG Naturals website.

GLG Life Tech secures dismissal of lawsuit

2014-02-03 14:51 ET - News Release

Mr. Stuart Wooldridge reports

GLG ANNOUNCES DISMISSAL OF US SHAREHOLDER LAWSUIT

The class action lawsuit filed against GLG Life Tech Corp. for alleged failures to disclose certain information has been dismissed.

Earlier today, the company secured a dismissal with prejudice of a securities class action filed against it and two of its officers (chief executive officer Dr. Luke Zhang and president and chief financial officer Brian Meadows) in the United States District Court for the Southern District of New York. In granting the company's motion to dismiss the class action, the court held that the company had previously disclosed "substantial information [to] the market that suggested precisely that which plaintiffs alleged defendants failed to disclose" under the United States securities laws. The court further found that "plaintiffs have failed to allege that defendants had a plausible motive to defraud investors," and noted the fact that Dr. Zhang "purchased a significant number of shares during the putative class period." Significantly, the court also ruled that the company "persuasively argue[d]" that it had also "disclosed all that was required" under Canadian regulations.

GLG Life Tech launches organic stevia product line

2014-03-07 09:08 ET - News Release

Mr. Shaun Richmond reports

GLG ANNOUNCES LAUNCH OF ORGANIC STEVIA LINE - ORGANIPURE

GLG Life Tech Corp. has launched its new line of stevia sweeteners organipure.

The organipure line includes purity levels that pair the clean finish and rounded sweetness that GLG stevia extracts are known for with organic certifications that are recognized both in North America and Europe. GLG offers the largest portfolio of stevia-extract-based sweetener solutions globally, providing a number of options within the organic line that allows for the use of organipure stevia extract in both high-end and cost-constrained formulations, aiming to provide providing consumers with an organic certified premium finished product.

organipure was a natural step in the evolution of GLG's stevia offerings after extensive consultation with its customers and distribution partners. organipure represents a premium-quality organic product that has an exceptional taste profile.

According to Market Dynamics, seven in 10 (consumers) or more shop for natural and organic products at supermarkets, local health food stores, Whole Foods Market and regional specialty food outlets (source: The 2013 Mambo Track annual natural and organic product survey among 1,003 health and ecoconsumers by Market Dynamics).

GLG is an exhibitor at Natural Products Expo West at Anaheim Convention Center in California, which takes place from March 7, 2014, to March 9, 2014, and will be presenting its new organipure line as well as its stevia and GLG Naturals-plus product lines.

GLG files recognized-as-safe notice to FDA for reb M

2014-04-14 09:07 ET - News Release

Mr. Stuart Wooldridge reports

GLG ANNOUNCES HIGH PURITY REB M GRAS NOTIFICATION WITH FDA

GLG Life Tech Corp. has submitted a generally-recognized-as-safe (GRAS) notification with the United States Food and Drug Administration (FDA) for its high-purity rebaudioside M stevia extract product.

This notification represents many months of work to develop the product and all required documentation under the FDA-administered GRAS process to demonstrate that GLG's reb M extract meets the FDA's criteria for safety. This included in-depth consultation with GRAS Associates LLC, which convened an independent panel of scientists to spearhead this safety assessment.

GLG has now prepared and submitted six GRAS filings related to its stevia extract products -- the largest number filed by any company in the world today. GLG has three other GRAS projects under way for additional high-purity stevia products and luo han guo products that are expected to be released for review by the FDA in 2014.

GLG has the largest number of stevia products certified under the GRAS process including rebaudioside A products ranging from purities of 50 to 97 per cent, high-purity stevioside (STV) and now high-purity rebaudioside M. Additional products currently under way for additional GRAS work include high-purity rebaudioside C and high-purity rebaudioside D. The company is also working on a GRAS application for luo han guo extracts. GLG is committed to ensuring that its ranges of naturally sourced sweetener products are fully documented to comply with the FDA GRAS process.

GLG is also working through its 2014 agriculture development program that is focused on developing new varieties of stevia leaf that will contain higher amounts of the scarcer glycosides such as rebaudioside C, D and M -- all through non-GMO (genetically modified organism) breeding. The company had very encouraging results with the 2013 program and plans to continue to develop some of the more interesting varieties in 2014. For example, in some of the 2013 seedlings, more than double the averages of rebaudioside C and rebaudioside D were achieved while still having high glycoside weight in the leaf and high rebaudioside A content. The company's products will always be naturally sourced from the stevia leaf.

GLG files recognized-as-safe notice for monk extracts

2014-05-22 15:43 ET - News Release

Mr. Stuart Wooldridge reports

GLG ANNOUNCES FILING OF GRAS NOTIFICATION WITH FDA FOR LUO HAN GUO (MONK FRUIT) EXTRACTS

GLG Life Tech Corp. has submitted a generally recognized as safe notification with the United States Food and Drug Administration for its luo han guo (monk fruit) extract products.

This notification represents many months of work developing the products and all required documentation for the FDA-administered GRAS process in order to demonstrate that GLG's luo han guo extracts meet the FDA's criteria for safety. This process included in-depth consultations with GRAS Associates LLC, which convened an independent panel of scientists to spearhead the safety assessment. The GRAS notification covers three distinct luo han guo extracts, MV30, MV50, and MV60, each containing a minimum level of mogroside 5 (30 per cent, 50 per cent and 60 per cent, respectively).

GLG has set up a vertically integrated supply chain, including agriculture and processing, for luo han guo in China. GLG differentiates itself from other luo han guo producers in three ways: (1) its competitive advantage in establishing agriculture systems in China, including the introduction of good agriculture practices by its luo han guo farmers, superior luo han guo seedlings and its proven methods to expand the amount of farming in other crops such as stevia; (2) its advanced processing and extraction technology, which will enable GLG to more efficiently and economically produce luo han guo extracts; and (3) its large industrial processing capacity, which well positions GLG for anticipated growth in the luo han market driven by international food and beverage companies. GLG is expecting its first fruit to be harvested at the end of the third quarter and to commence processing in late 2014. GLG is currently working with a number of international customers interested in its luo han guo products and expects initial sales to be finalized prior to the start of production.

GLG Life signs one-year monk fruit extract supply deal

2014-07-23 16:09 ET - News Release

Dr. Luke Zhang reports

GLG ANNOUNCES AGREEMENT TO SUPPLY GLOBAL FOOD INDUSTRY LEADER WITH LUO HAN GUO

GLG Life Tech Corp. has signed an agreement under which it will produce and supply luo han guo (Chinese monk fruit) extract products to one of the global leaders in the food industry. GLG expects revenues from this 12-month agreement to be in the range of $9-million (U.S.) to $12-million (U.S.), and notes that achieving these revenues will be dependent on both the market price for luo han guo fruit as well as the company's conformance to the customer's product specifications. While initially encompassing a one-year term corresponding to the 2014 growing season, harvest and subsequent production, GLG and the customer have the express option to extend the agreement over future years.

This agreement not only marks GLG's entry into the luo han guo production and supply space, it also immediately positions GLG to be a leading producer of luo han guo products and will enable the company to capitalize significantly on its efforts over the past year. GLG previously announced that it had developed a vertically integrated supply chain for the luo han guo business, including agriculture, and advanced processing and purification capabilities. Earlier this year, GLG filed in China a patent for its luo han guo processing technology. The company has also undertaken the GRAS (generally recognized as safe) self-affirmation of its luo han guo extract products and in May, 2014, submitted its notification to the U.S. Food and Drug Administration of self-affirmed GRAS status.

Company chairman and chief executive officer, Dr. Luke Zhang, shared his views on achieving this agreement: "We are very pleased to have concluded this important agreement with one of the world's leading food industry companies, and we believe that it reflects the strong potential of the luo han guo market opportunity for GLG. GLG expects to be in production starting in the fourth quarter of 2014, and we look forward to many years of future growth in the luo han guo business. This market opportunity leverages GLG's expertise in China agriculture, and extraction and refining capabilities."

Producing luo han guo products is a natural extension of GLG's core stevia product line; these product lines are each naturally sourced sweetener ingredients and luo han guo is often used complementarily. Furthermore, as Dr. Zhang noted, GLG's experience as a global market leader, agricultural expert and technological innovator in stevia has facilitated the company's entry into luo han guo, as much of the expertise gained in developing and optimizing its vertically integrated stevia operations has lent itself well to achieving the same for luo han guo.

GLG files recognized-as-safe notice to FDA for reb C

2014-07-21 12:53 ET - News Release

Mr. Simon Springett reports

GLG ANNOUNCES GRAS NOTIFICATION WITH FDA FOR HIGH-PURITY REBAUDIOSIDE C

GLG Life Tech Corp. has submitted a generally recognized as safe (GRAS) notification with the United States Food and Drug Administration (FDA) for its high-purity rebaudioside C stevia extract product.

This notification represents many months of work to develop the product and all required documentation under the FDA-administered GRAS process to demonstrate that GLG's rebaudioside C extract meets the FDA's criteria for safety. This included in-depth consultation with GRAS Associates LLC, which convened an independent panel of scientists to spearhead this safety assessment.

GLG believes that it is the first company to submit GRAS notification to the FDA for rebaudioside C. Consistent with its role as a leader in the sweetener industry, GLG continues to be at the forefront of stevia-related GRAS certifications. It has the largest number of stevia products certified under the GRAS process, including high-purity rebaudioside A and other rebaudioside A products, high-purity stevioside, high-purity rebaudioside M and now high-purity rebaudioside C. Additionally, GRAS work is currently under way for high-purity rebaudioside D.

Beyond stevia, the company has also submitted a GRAS application for luo han guo extracts of various purities, currently pending FDA review. These many submissions and certifications demonstrate GLG's commitment to ensuring that its full complement of naturally sourced sweetener products is compliant with the FDA GRAS program. GLG's stevia and luo han guo sweetener products will always be naturally sourced.

GLG noteholder CAHFC to convert note to shares

2014-09-12 08:10 ET - News Release

Mr. Simon Springett reports

GLG ANNOUNCES CHANGES TO CONVERTIBLE DEBT AGREEMENT

GLG Life Tech Corp. has finalized an agreement that is expected to result in conversion of a $4.3-million obligation into shares in the company. The obligation originated with GLG's disposition of its interest in the AN0C joint venture. Pursuant to that disposition, on Sept. 30, 2013, GLG issued a three-year convertible note to China Agricultural Healthy Foods Ltd. (CAHFC) with a principal amount of $4,295,532.65 due Sept. 30, 2016, or convertible into common shares of GLG at $1.80 per share.

The agreement recently signed by GLG and CAHFC will amend that note, such that the principal amount would be, upon final regulatory approval, immediately converted into common shares at $1 per share which would be at a premium to the Sept. 11 closing pricing of the company's stock of 435 per cent. Upon conversion, CAHFC would become an insider of GLG holding approximately 11.4 per cent of the issued and outstanding shares of the company. The Toronto Stock Exchange has granted conditional approval of the agreement and the amended exercise price, pending its final regulatory review and the clearance of the applicable personal information forms to be submitted by CAHFC. Once the TSX issues final approval, the signed agreement will thereupon become fully effective and the principal balance will be converted into shares at the new rate and the debt obligation will be eliminated.

With this accelerated conversion, GLG will remove from its books this substantial liability.

We seek Safe Harbor.
