Supplier helps Daimler AG realize numerous innovations in the new S-Class

Johnson Controls, a global multi-industrial company with established core businesses in the automotive and building industries, is supplying key components for the front seats and optional Executive rear seats, the rear-seat entertainment system, the headliner and the sun visors in the new Mercedes-Benz S-Class.

Johnson Controls has worked with Mercedes-Benz on designing the seats and is providing the automaker's own seat production plant with key seat components. Johnson Controls' seat structure is based on a modular solution that can be adapted to different vehicle segments. At 20 kg, the front-seat structure of the new premium vehicle weighs around 20 percent less than comparable conventional designs. This weight savings has been achieved with the aid of thin-walled, high-strength steels and the patented sandwich construction of the side sections.

Both the driver and front-seat passenger have 10 options for individual front-seat configuration according to stature and preferred sitting position, and an optional Memory package for saving the seat positions. The seat adjustment mechanisms and motors boast a compact, lightweight design. In order to adjust the seat height by 65 millimeters, Johnson Controls has come up with an all-new tandem solution. The patented, specially mounted actuator limits the forward adjustment range of the cushion base to only half, while lengthening the complete seat cushion and adapting the suspension to suit the size and weight of the passenger. This saves the driver and front-seat passenger from having to shift the seat again after adjusting the seat height. Depending on the model, the Johnson Controls head restraints can be adjusted electronically both vertically and horizontally.

Innovative rear-seat structures for outstanding comfort

For the optional Executive seats in the rear, Johnson Controls has developed extremely flexible individual seat structures including special adjustment mechanisms and motors. A most upright backrest position of 19 degrees can be achieved for working purposes. The backrest of the Executive seats can also be adjusted rearwards, giving it the largest inclination in the executive segment and enabling a torso angle of up to 43.5 degrees. In addition, the seat behind the front passenger seat can be fitted with a calf support, which is adjustable in length, and an all-new heel rest.

If the optional Chauffeur package is ordered, the structure of the front passenger seat supplied by Johnson Controls also enables it to be placed in an extended-recline position for the rear-seat passenger behind. Thanks to Johnson Controls' patented height adjustment, the reclined front passenger seat can be brought level with the rear reclining seat at the touch of a button. The folding head restraint for the passenger seat was designed to be completely removed.

The FaserTec upholstery on the backrests is made from 100% natural materials, which positively impact the climate in the vehicle interior. This very thin, stable layer also optimally facilitates the massage functions.

A variety of entertainment options in the rear thanks to internet and TV

Johnson Controls has also designed the optional entertainment system for the rear of the new luxury sedan. The two 10.2-inch TFT screens are mounted on the front-seat backrests. Unlike systems that are integrated into the backrest, rear-seat passengers can individually adjust the position of the displays. The 16:9 format can be comfortably enjoyed at a viewing angle of up to 160 degrees. If the backrest of the front seat is adjusted, an interface integrated into the passenger seat automatically adjusts the position of the screen. The position of the screen on the driver's seat is adjusted manually. Rear-seat passengers can control the entertainment system themselves and make full use of the radio, TV, internet, navigation system and DVD player. A light sensor automatically adjusts the brightness of the quarter high-definition (qHD) displays in the vehicle interior. Headphones ensure an uninterrupted audio experience.

Headliner and sun visors by Johnson Controls

The headliner of the luxury sedan is characterized by good sound absorption properties and energy-absorbing materials. Two versions are available for the new standard- and extended-wheelbase S-Class, with and without mounting for the optional panorama sunroof.

Johnson Controls has also developed a new module solution for the sun visors. Compared to previous models, the expanded polypropylene (EPP) sun visor is bigger yet lighter. EPP is soft to the touch and can be covered with fabric or a microfiber material. The version with an illuminated vanity mirror can be swiveled to the side and clipped to the roof structure without the need for screws.

In a move that will create one of the world's three largest suppliers of vehicle cockpit electronics, Visteon Corporation (NYSE:VC) has agreed to purchase the automotive electronics business of Johnson Controls (NYSE:JCI) in a cash transaction valued at $265 million, subject to adjustment. The acquisition is subject to certain regulatory and other consents and approvals and is expected to be completed in the second quarter of 2014.

The acquisition will enhance Visteon's competitive position in the fast-growing vehicle cockpit electronics segment by strengthening its global scale, manufacturing and engineering footprint, product portfolio and customer penetration. The combined business will be a $3 billion global electronics enterprise with a No. 2 global position in driver information and above-average growth rates for the segment, supplying nine of the world's 10 largest vehicle manufacturers.

In the fiscal year ended Sept. 30, 2013, the business to be acquired by Visteon generated approximately $1.3 billion in revenue and about $58 million in EBITDA (earnings before interest, taxes, depreciation and amortization). This EBITDA includes a deduction of approximately $12 million for corporate allocations that will not transfer with the transaction. Visteon will assess the necessary addition of resources at its corporate center to support this operation. The transaction offers opportunities for long-term margin expansion through economies of scale, with estimated annual cost synergies reaching more than $40 million by 2017. The transaction will not impact the company's previously announced $1 billion share repurchase program, for which $875 million remains authorized.

Visteon President and CEO Timothy D. Leuliette said the transaction reinforces Visteon's commitment to cockpit electronics as one of Visteon's two core businesses, along with Halla Visteon Climate Control, the world's No. 2 automotive climate control supplier.

"We look forward to continuing on our path of value creation for customers and shareholders by integrating this highly regarded business into the Visteon Electronics family," Leuliette said. "This is a strong strategic fit with our existing electronics portfolio and gives us the worldwide scale and cost efficiencies needed to support vehicle manufacturers' global platforms and programs. The business to be acquired from Johnson Controls provides automakers with driver information, infotainment, connectivity and body electronics products. The transaction involves about 4,800 employees, including about 1,000 engineers, electronics specialists and designers at seven research and development centers in Europe, North America and Asia. The business has a diversified customer base, with BMW, Honda, Renault-Nissan, PSA Peugeot-Citroen and Ford representing about 72 percent of its annual revenue.

By leveraging the combined strengths of the businesses, Leuliette said, Visteon will create a new global electronics market leader, capable of growing profitably as an enterprise that is "ideally positioned at the intersection of consumer electronics and the connected automobile of today and tomorrow."

MILWAUKEE, Jan. 13, 2014 /PRNewswire/ -- Johnson Controls, (NYSE: JCI), a global multi-industrial company with established core businesses in the buildings, automotive and energy storage industries, today announced that it has signed a definitive agreement to sell its automotive electronics business to Visteon Corporation (NYSE: VC) for $265 million. Under the terms of the agreement, Visteon will acquire Johnson Controls' instrument cluster, infotainment, display, and body electronics products. The company previously sold the HomeLink® product portion of its electronics portfolio to Gentex Corporation in September 2013.

This transaction will complete Johnson Controls' divestiture of the automotive electronics business which in aggregate realized total proceeds in line with original expectations of over $965 million.  As previously communicated, the company elected to move away from automotive electronics as part of its broader strategy to focus on core businesses and reallocate capital to further diversify its portfolio and maximize shareholder value.

Johnson Controls, ein globales Industrieunternehmen mit Kerngeschäftsfeldern in der Automobil-, Gebäude- und Batteriebranche, hat eine automatische Sitzvoreinstellung entwickelt, die an Hand der individuellen Körpergröße den Fahrersitz in eine bequeme und sichere Position bringt.

"Viele Menschen stellen ihren Fahrzeugsitz nicht richtig ein. Insbesondere auf längeren Fahrten kann dies zu Rückenschmerzen und schweren Beinen führen. Zudem ist die richtige Sitzeinstellung wichtig für die Sicherheit. Das betrifft zum einen die Wirkung der Kopfstütze, aber auch für das Zusammenspiel mit Airbags und Sicherheitsgurt ist die richtige Sitzposition ausschlaggebend", sagt Dr. Andreas Eppinger, Group Vice President Technology Management von Johnson Controls Automotive Seating. "Daher haben wir eine Technologie entwickelt, mit der sich Fahrzeugsitze unkompliziert automatisch voreinstellen lassen."

Eine automatische Voreinstellung der Sitzposition ist immer dann sinnvoll, wenn mehrere Personen dasselbe Fahrzeug steuern. Das fängt beim von mehreren Personen genutzten Familienwagen an, geht über die Poolfahrzeuge eines Unternehmens bis hin zu den Fahrzeugen von Mietwagenfirmen und Car-Sharing-Anbietern.

Die Ergonomieexperten von Johnson Controls haben einen Algorithmus entwickelt, der anhand der Körpergröße die korrekte Sitzposition ermittelt. Die Verstellmotoren bringen mithilfe dieses Algorithmus den Sitz automatisch in eine für die jeweilige Person sichere und komfortable Sitzposition. Es muss unter Umständen nur noch die Feinanpassung an persönliche Präferenzen vorgenommen werden.

Die Experten von Johnson Controls haben die Sitzpositionen von über hundert Menschen untersucht. "Wir haben herausgefunden, dass die richtige Position der Sitzschiene nicht direkt von der Beinlänge abgeleitet werden kann und die Höheneinstellung des Sitzes nicht direkt von der Länge des Oberkörpers. Der menschliche Körper verhält sich vielmehr als komplexes System. Verändert man einen Parameter hat dies Einfluss auf andere Einflussgrößen", sagt Dr. Eppinger.

"Uns ist es gelungen, den Algorithmus so zu programmieren, dass die Körpergröße als entscheidendes Einstellkriterium genügt, um eine genaue Vorjustierung zu erzielen, die von den Teilnehmerinnen und Teilnehmern der eigens durchgeführten Testreihe als gut bewertet wurde. Nach einer kleineren manuellen Nachjustierung haben sie die Position sogar als sehr gut bewertet", erklärt Dr. Eppinger. Eine große Mehrheit der Probanden hat die Voreinstelltechnologie an sich als komfortabel und benutzerfreundlich beurteilt.

Zur Bedienung des Systems hat Johnson Controls eine App entwickelt, über die die Passagiere ihre Körpergröße unkompliziert per Smartphone eingeben können. Die Eingabe kann jedoch auch in die digitalen Bedienelemente des Fahrzeugs integriert werden. Möglich ist es auch, dass eine fahrzeugeigene Kamera vor dem Einsteigen automatisch die Körpergröße misst und der Sitz dann automatisch in die richtige Position gebracht wird. Bei Mietwagen und Car-Sharing ist außerdem denkbar, dass die Körpergröße im Kundenprofil hinterlegt ist. Die Information wird dann bei Anmietung an das Fahrzeug weitergegeben, so dass der Sitz beim Einsteigen bereits voreingestellt ist.

Developers have validated pre-adjustment technology with more than 100 test subjects

Johnson Controls, a global multi-industrial company with established core businesses in the automotive, building and energy storage industries, has developed an automatic seat pre-adjustment system that brings the driver's seat into a comfortable and safe position based on an individual's size.

"Many people do not position their vehicle seat correctly. This can lead to back pain and stiff legs, particularly during longer journeys," said Andreas Eppinger, group vice president technology management at Johnson Controls Automotive Seating. "The right seat adjustment is important for safety. This relates not only to the effectiveness of the head restraints, but also to the interaction with the airbags and safety belts. Therefore, we have developed a technology that allows vehicle seats to easily be pre-adjusted automatically."

Automatic pre-adjustment of the seat position is especially useful when more than one person drives the same vehicle. This applies to family cars that are driven by more than one family member as well as to vehicles in company fleets and from rental companies and car-sharing service providers.

The ergonomics specialists at Johnson Controls developed an algorithm that determines the optimal seat position based on the driver's size. Based on this algorithm, the adjustment motors automatically move the seat to a position that is both comfortable and safe for the respective individual. In some cases, the driver may still need to fine-tune the seat position to suit his personal preferences.

The experts from Johnson Controls examined the seat positions of more than 100 people.

"We discovered that correct positioning of the seat track cannot be derived directly from leg length, nor from height adjustment of the seat derived directly from the torso length. Rather, the human body is more like a complex system. If you change one parameter, this has an impact on other variables," explained Eppinger. "We were able to program the algorithm so that size was sufficient as the decisive adjustment criteria. This enabled very precise default adjustment that was rated as good by the participants in the series of tests we performed. Following minor manual readjustment, they rated the position as very good."

A large majority of the test group found the pre-adjustment technology to be convenient and user-friendly.

To operate the system, Johnson Controls has developed an app that allows drivers to input their size via smartphone. Alternatively, this information can easily be entered into the vehicle's digital control console. It is also possible for an on-board camera to automatically measure body size before the driver even enters the vehicle and for the seat to move into the correct position.

It is also conceivable that the driver's size could be stored in the customer profile for rental cars and car-sharing services. This information would be forwarded to the vehicle upon hire so that the seat can be adjusted before the driver enters the car.

"Connectivity in vehicles means far more than just access to the Internet and email. By networking the vehicles, comfort and safety can also be increased. The automatic seat preadjustment is a good example of intelligent interfaces between humans and machines," said Eppinger.

Die Visteon Corporation (NYSE:VC) hat der Übernahme des Geschäftsbereichs cockpit electronics von Johnson Controls (NYSE:JCI) vorbehaltlich gewisser Anpassungen gegen eine Barzahlung von 265 Millionen USD zugestimmt. Durch die Transaktion wird das Unternehmen zu einem der drei größten Zulieferer von Cockpit electronics der Welt. Der Vollzug der Übernahme hängt von bestimmten behördlichen Genehmigungen sowie weiteren Einwilligungen und Zusagen ab. Es ist davon auszugehen, dass die Transaktion im zweiten Quartal 2014 abgeschlossen wird.

Durch die Übernahme verbessert Visteon seine Wettbewerbsposition im wachstumsstarken Segment Cockpit electronics und stärkt neben seiner globalen Präsenz auch den eigenen Entwicklungs- und Fertigungsbereich, das Produktportfolio sowie die Kundendurchdringung. Aus dem Zusammenschluss geht ein 3 Milliarden USD schweres globales Elektronikunternehmen hervor, das bei Fahrerinformationssystemen weltweit den Rank 2. belegt, im gesamten Segment überdurchschnittliche Wachstumsraten erzielt und neun der 10 weltgrößten Automobilhersteller beliefert.

Im Geschäftsjahr zum 30. September 2013 erwirtschaftete der nun vor der Übernahme durch Visteon stehende Geschäftsbereich einen Umsatz von etwa 1,3 Milliarden USD und ein EBITDA (Ergebnis vor Zinsen, Steuern und Abschreibungen) von 58 Millionen USD. Unternehmensinterne Verrechnungen in Höhe von 12 Millionen USD, die im Zuge der Transaktion nicht übernommen werden, sind bei der Berechnung des EBITDA nicht berücksichtigt worden. Visteon wird prüfen, ob zur Unterstützung des Betriebes weitere Ressourcen in der Firmenzentrale erforderlich sind. Die Transaktion bietet Aussicht auf langfristige Margenverbesserungen durch Skaleneffekte, wobei sich die jährlichen Kostensynergien laut Schätzungen bis 2017 auf über 40 Millionen USD belaufen. Das zuvor angekündigte Aktienrückkaufprogramm des Unternehmens im Gesamtumfang von 1 Milliarde USD, für das nach wie vor ein autorisiertes Kapital von 875 Millionen USD zur Verfügung steht, bleibt von der Transaktion unberührt.

Visteon-Präsident und CEO Timothy D. Leuliette erklärte, durch die Transaktion setze Visteon verstärkt auf den Bereich Cockpit electronics als eines von zwei Visteon-Kerngeschäften. Hinzu kommt Halla Visteon Climate Control, der zweitgrößte Zulieferer im Bereich Fahrzeugklimatisierung der Welt.

Der zur Übernahme vorgesehene Geschäftsbereich von Johnson Controls beliefert Automobilhersteller mit Fahrerinformationssystemen, Infotainment- und Konnektivitätsprodukten sowie Karosserieelektronik. Die Übernahme betrifft etwa 4.800 Mitarbeiter, darunter 1.000 Ingenieure, Elektronikspezialisten und Designer aus sieben Forschungs- und Entwicklungszentren in Europa, Nordamerika und Asien. Der Geschäftsbereich verfügt über einen vielfältigen Kundenstamm, wobei 72 Prozent des Jahresumsatzes mit den Kunden BMW, Honda, Renault-Nissan, PSA Peugeot-Citroen und Ford erwirtschaftet werden.

Leuliette zufolge wird Visteon die Stärken der beiden Geschäftsbereiche gezielt nutzen und so einen neuen Weltmarktführer im Elektronikbereich etablieren. Als Unternehmen, das „an der Schnittstelle zwischen Unterhaltungselektronik und den vernetzten Fahrzeugen von heute und morgen ideal aufgestellt ist", sei es zudem in der Lage, profitables Wachstum zu generieren.

Aktuelle Meldung zur Veräußerung des Fahrzeuginnenraum-Geschäfts

Vorbehaltlich der Unterzeichnung verbindlicher Vereinbarungen ist geplant, drei eigenständige Transaktionen mit drei unterschiedlichen Käufern durchzuführen.

In Kombination werden diese potenziellen Transaktionen voraussichtlich wertneutral sein.
