Johnson Controls announces three-year $3.65 billion share repurchase program; Increases quarterly dividend by 16 percent

MILWAUKEE, Nov. 20, 2013 /PRNewswire/ -- Johnson Controls, (NYSE: JCI), a global multi-industrial company with core businesses in the building and automotive industries, today announced a multi-year share repurchase program and an increase in its quarterly dividend, reflecting the company's strong financial position and confidence in its long-term business prospects.

The company's board of directors has approved a $3 billion increase in its share repurchase program, which now totals $3.65 billion. To date in fiscal 2014, Johnson Controls has spent approximately $400 million on repurchases. In addition, the company is announcing an $800 million accelerated stock repurchase (ASR) agreement with Goldman, Sachs and Co. that will be funded in November 2013.  The remainder of the repurchase program is expected to be utilized in fiscal 2015 and 2016.

In implementing the program, the company said the repurchases may be made through a variety of methods, which could include negotiated block transactions, accelerated share repurchase transactions or open market purchases. The stock repurchase program does not have an expiration date and may be amended or terminated by the board of directors at any time without prior notice.

Additionally, the Johnson Controls board of directors increased the regular quarterly dividend to $0.22 per share of common stock, an increase of 16 percent. The newly increased quarterly dividend will be paid on Jan. 6, 2014 to shareholders of record as of the close of business on Dec. 16, 2013. Johnson Controls has increased its dividend in 33 of the past 35 years and has paid a consecutive dividend since 1887.

(collectively referred to as Hitachi) announced that the companies have signed a non-binding memorandum of understanding for a transaction in which Johnson Controls will obtain a 60% ownership stake in Hitachi Appliances' global air conditioning business, excluding sales and service operations in Japan and certain other assets. The companies expect the joint venture to begin operations in 2014, subject to final due diligence and board approvals, definitive agreement on terms, required regulatory approvals and other customary conditions.

Building on the leadership of both companies, the partnership will include key products such as variable refrigerant flow (VRF) and inverter technologies supporting both the commercial and residential markets. The joint venture will combine Johnson Controls' global reach with Hitachi's technology expertise.

Johnson Controls liefert intelligente Lösungen für neue Luxuslimousine / Johnson Controls unterstützt Daimler AG bei der Realisierung zahlreicher Innovationen in der neuen S-Klasse

Burscheid / Neuss (ots) - Johnson Controls, ein globales Industrieunternehmen mit Kerngeschäftsfeldern in der Automobil- und Gebäudebranche, liefert für die neue Mercedes-Benz S-Klasse wichtige Komponenten für die Vordersitze und für die optionalen Executive- Sitze im Fond, das Rear-Seat-Entertainment-System sowie den Dachhimmel und die Sonnenblenden.

Johnson Controls hat an der Entwicklung der Sitze mitgearbeitet und liefert wichtige Sitzkomponenten an die eigene Sitzfertigung des Automobilherstellers. Die Sitzstruktur von Johnson Controls basiert auf einer modularen Lösung, die für verschiedene Fahrzeugsegmente adaptiert werden kann. Mit einem Gewicht von 20 Kilogramm wiegt die Vordersitzstruktur des neuen Premiumfahrzeugs rund 20 Prozent weniger als vergleichbare konventionelle Konstruktionen. Die Gewichtseinsparungen konnten sowohl mit besonders dünnwandigen hochfesten Stählen als auch mit patentierten Seitenteilen in so genannter Sandwich-Bauweise erzielt werden.

Fahrer und Beifahrer können die Vordersitze über zehn Verstellwege individuell auf Körpergröße sowie Sitzvorlieben einstellen und mit dem optionalen Memory-Paket die Sitzpositionen auch speichern. Die Sitzverstellmechanismen und -motoren zeichnen sich durch eine kompakte und leichte Bauweise aus. Für die Sitztiefenverstellung von 65 Millimetern hat Johnson Controls erstmals eine Tandemlösung entwickelt. Der patentierte und speziell gelagerte Antrieb sorgt dafür, dass die Kissenschale lediglich die Hälfte des Einstellweges nach vorne fährt, während sich gleichzeitig das gesamte Sitzkissen in die Länge zieht und sich die Unterfederung an Größe und Gewicht des Passagiers anpasst. Das erspart Fahrer und Beifahrer das Nachrutschen nach Betätigen der Sitztiefenverstellung. Die Kopfstützen von Johnson Controls lassen sich je nach Ausführung optional auch in Höhe und Tiefe elektrisch verstellen.

Innovative Rücksitzstrukturen für höchsten Komfort

Für die optionalen Executive-Sitze im Fond hat Johnson Controls eigens äußerst flexible Einzelsitzstrukturen inklusive besonderer Verstellmechanismen und -motoren entwickelt. Zum Arbeiten lässt sich eine mit 19 Grad sehr steile Sitzposition einstellen. Die Lehne der Executive-Sitze kann aber auch mit der größten Lehnenneigung im Oberklasse-Segment nach hinten verstellt werden und ermöglicht einen Torsowinkel von bis zu 43,5 Grad. Zusätzlich kann die Beifahrerseite des Fonds mit einer längenverstellbaren Waden- und erstmalig auch Fersenstütze ausgestattet werden.

Die von Johnson Controls gelieferte Struktur des Beifahrersitzes ermöglicht es im Rahmen eines optionalen Ausstattungspakets zudem, diesen zu einer erweiterten Liegefläche für den dahinter sitzenden Fondpassagier umzufunktionieren. Mit einer patentierten Höhenverstellung von Johnson Controls kann der umgeklappte Beifahrersitz auf Knopfdruck in eine Ebene mit dem hinteren Liegesitz gebracht werden. Die Klappkopfstütze wurde auf dem Beifahrersitz so ausgelegt, dass sie sich komplett entfernen lässt.

Die Fasertec-Polsterung der Rückenlehne besteht vollständig aus natürlichen Materialien, die das Raumklima im Fahrzeuginnenraum positiv beeinflussen. Zudem bietet diese besonders dünne und formstabile Auflage eine optimale Unterstützung für Massagefunktionen.

Abwechslungsreiche Unterhaltung im Fond dank Internet und TV

Johnson Controls ist außerdem Entwickler des Entertainmentsystems, das für den Fahrzeugfond der neuen Luxuslimousine optional verfügbar ist. Die beiden 10,2 Zoll großen TFT-Bildschirme sind an den Lehnen der Vordersitze angebracht. Im Gegensatz zu Systemen, die in die Lehne integriert werden, können die Fondpassagiere die Position der Displays individuell ausrichten. Das 16:9-Format lässt sich so in einem Betrachtungswinkel von bis zu 160 Grad bequem genießen. Wird die Lehne des Vordersitzes verstellt, sorgt eine integrierte Schnittstelle im Beifahrersitz automatisch für die entsprechende Anpassung der Bildschirmposition. Beim Fahrersitz wird die Bildschirmposition manuell verstellt. Die Fondpassagiere können das Entertainment-System eigenständig steuern und auf Radio, TV, Internet, Navigation oder das DVD-Laufwerk zugreifen. Ein Lichtsensor passt die Quarter-High-Definition (qHD)-fähigen Displays automatisch an die Helligkeit im Fahrzeuginnenraum an. Kopfhörer ermöglichen ein ungestörtes Audio-Erlebnis.

Dachhimmel und Sonnenblenden von Johnson Controls

Den Dachhimmel der Luxuslimousine zeichnen eine gute Geräuschabsorption und energieabsorbierende Materialien aus. Für die neue S-Klasse mit normalem und verlängertem Radstand werden jeweils zwei Varianten produziert, mit und ohne Aufnahme für das optionale Panorama-Schiebedach.

Für die Sonnenblenden hat Johnson Controls zusätzlich eine neue Modullösung entwickelt. Im Vergleich zum Vorgängermodell ist die Sonnenblende aus expandiertem Polypropylen (EPP) größer, aber gleichzeitig leichter. EPP sorgt für eine weiche Haptik und wird wahlweise mit Stoff oder einem Microfasermaterial überzogen. Die Konstruktion mit beleuchtetem Kosmetikspiegel ist seitlich schwenkbar und schraubenlos in die Dachstruktur geklippt.
