Net loss for the full year of Yelp ended December 31, 2012 was $19.1 million, or $0.35 per share, compared to a net loss of $16.9 million, or $1.10 per share, for the comparable period in 2011. Adjusted EBITDA of Yelp for the full year 2012 was approximately $4.6 million compared to an Adjusted EBITDA loss of $1.1 million for the prior year.

Maybe correct is the 4-fold or 5-fold valuation of Yelp, but not the 41-fold.

• Revenue – Record revenue of $97.8 million for the year ended Dec. 31, 2012, was a 25 percent increase over $78.3 million in 2011.

Adjusted Net Income (Loss) – Adjusted Net Loss was $553,000, or ($0.03) per diluted share, for the year ended Dec. 31, 2012. This compares to an Adjusted Net Loss of $1.7 million, or ($0.08) per diluted share, for the year ended Dec. 31, 2011.

Die ID letitgrowknows hat auf Yahoo in den letzten Wochen schon circa 10-mal die Falschmeldung verbreitet, dass eine Ausgabe zusätzlicher Aktien stattgefunden habe (nicht etwas nur, dass man vermute, dass eine bald stattfinde, was nch keine Fälschung wäre). Aber seltsamerweise reagieren auf derartige gezielte Falschmeldungen weder SEC oder Finra und schon gar nicht Yahoo, die vereinzelt sogar schon Postings, die diese Falschmeldungen kritisierten, blockten.

Dazu zunächst einmal Grundsätzliches: Eine Ausgabe von neuen Aktien auf dem momentanen Kurs-Niveau würde zukünftige Kurschancen beschränken, da der Fair Value der Aktie höher ist und die neuen Aktien zu billig verkauft würden. Dabei käme es aber darauf an, wieviel Aktien im Verhältnis zu den momentan vorhandenen 22 Millionen hinzukämen. Wären das beispielsweise 2 Millionen, wäre das fast ein Nonevent, wären es dagegen weitere 22 Millionen, wäre das wesentlich gravierender. Durch die gewonnene Liquidität würde das Unternehmen aber sicherer.

Ich gehe davon aus, dass Local Corp bei dem jetzigen Kurse keine Aktien begeben wird, da die Liqudität zwar nicht berauschend, aber ausreichend ist, und die Verwässerungseffekt durch den momentan zu niedriger Kurs bei einer Kapitalerhöhung vom Management als negativer angesehen wird als der positive Effekt des Liquidiätszugewinns.  

hat, andererseits aber auch sehr gering verschuldet ist, bis vor ca. zwei Jahren überhaupt nicht. Dass Local Corp überhaupt mit ca. 10 Millionen verschuldet ist, hängt mit dem Einstieg in Daily Deal-Geschäft zusammen, von dem man sich mehr erhofft hattte, als man damals Spreebird für ca. 12 Millionen kaufte - glücklicherweise nicht mehr, denn ein Earn Out, der den Kaufpreis auf 32 Millionen gehievt hätte, wurde nicht fällig.

Ende des Jahres war der Kassenbestand auf ca. 4 Millionen gesunken - und das war dann der Anlass für die Spekulationen über die Ausgabe zusätzlicher Aktien. Das hat sich aber bisher als Fehlspekulation der nackten Shortseller erwiesen und wird sich auch als solche erweisen (wobei außerdem nicht einmal ein Grund für sinkende Kurse vorhanden wäre, sellbst wenn eine Kapitalerhöhung stattfinden würde). Denn man will das ganze Jahre über in allen vier Quartalen ein positives Adjusted Net Income schreiben - und ab dem zweiten Quartal einen positiven operativen Cash Flow. Wenn also der operative Cash Flow trotz positiven Adjusted Net Income im ersten Quartal minimal negativ wäre, würde der vorhandene Kassenbestand ausreichen, zumal die Kreditlinie von 12 Millionen nicht ganz ausgereitzt ist und man diese um 3 Millionen und zeitweise sogar 5 Millionen überschreiten darf. Diese Bank-Kreditlinie hat man vor nicht allzu langer Zeit gerade für zwei Jahre verlängert, und zwar zu Topkonditionen von etwas mehr als 5% Zinsen, was auch etwas über die gute Bonität aussagt.  

The Street Sweeper gelungen ist, so viele kleine Naked-Shortselling-Lemminge hinter sich zu sammeln (obwoh der Crime hinter The Street Sweeper in der Summe schon zu covern und erste Positionen zu bilden versuchte), die erst geglaubt haben, dass Local Corp trotz sehr niedriger Verschuldung bald pleite ist, und dann, als das nicht mehr glaubhaft zu vermitteln war, dass bald zusätzlich neue Aktien ausgegeben würden, die den Kurs weiter nach untern schleusen würden, hängt vor allem mit einem negativen operativen Cash Flow von 8,9 Millionen in der US-Definition dieses Begriffes zusammen.

Denn die US-Definition umfasst nicht nur das Betriebsergebnis plus Abschreibungen plus Veränderungen der Rückstellungen, wie das bei uns vorherrschend ist, sondern in den USA fließen bei der meistens gewählten Definition auch noch Veränderungen der Forderungen gegenüber Kunden (noch nicht bezahlte Rechnungen von Kunden) und Veränderungen der Verbindlichkeiten gegenüber Lieferanten (noch nicht bezahlte Rechnungen von Lieferanten) ein.

6,4 Millionen der verbrauchten 8,9 Millionen operativer Cash, das sind 73% der verbrauchten Cash, flossen aber allein in Reduzierung dieser Verbindlichkeiten gegenüber Lieferanten, weil man insbesondere im vierten Quartal den Zukauf von Traffic massiv zurückfuhr. Einem kleinen Shortselling-Lemming des Criminal Crime ist eine solche Feinheit nicht zu vermitteln - und das schon gar nicht, wenn hunderte vom Crime hinter The Street Sweeper betriebene ID's das auf Message Boards als Verbrennen von Geld brandmarkten.

Und schon gar nicht wurde dann von diesen Lemmingen ein noch komplexerer Sachverhalt durchschaut. Immerhin schienen auch die die Forderungen um 0,4 Millionen gefallen zu sein, aber diese waren dann bei genauerem Hinsehen um 1,1 Millionen gestiegen, da man aus Vorsichtsgründen eine Korrektur der Forderungen von 1,5 Millionen vorgenommen hatte, weil man beim Forderungseinzug die Organisation änder nmusste (nicht mehr über die Telcos wie jahrelang zuvor). Und so kam es, dass neben den 6,4 Millionen für die Reduzierung der Verbindlichkeiten gegenüber Kunden auch noch 1,1 Millionen für die Ausweitung der Forderungsbestände durch Cash abgedeckt werden mussten = 7,5 Millionen der verbrannten 8,9 Millionen operativer Cash oder 84%, die im strengeren Sinne eigentlich gar kein Cash-Verbrauch sind.

sogar dankbar sein, dass er die Änderung der Geschäftsstrategie beschleunigt hat, die sowieso vermutlich unausweichlich geworden wäre.

Der Einstieg ins Daily Deal-Business sollte mit dem Aufbau eines direkten Vertriebs verbunden werden - vermutlich sogar flächendeckend über die USA. Dass das Unternehmen umbringen kann, haben die Erfahrungen bei Groupon gezeigt und bei LivingSocial muss laufend Kohle nachgeschossen werden. Dieses Geldverbrennen mit einem ausufernden Direktvertrieb hat Local Corp glücklicherweise relativ schnell erkannt und bei Spreebird arbeiten heute vermutlich weniger als ein Zehntel der 60 Personen, die dort beim Kauf von Spreebird angesiedelt waren. Die Kosten für diesen direkten Vetrieb sollten dadurch tragbar werden, dass man auch Produkte von Rovion, die inzwischen verkauft sind, und Produkte von Launch by Local über diese Schiene verkaufen wollte.

Inzwischen fährt man Spreebird auf Sparflamme - die sind inzwischen ganz leicht in der Gewinnzone und verkaufen mit einem Zehntel der früheren Beschäftigten mehr als früher und Rovion hat man verkauft, weil man hierzu eigentlich einen Direktvertrieb braucht. Und bei Launch for Local hat man den teuren Direktvertrieb aufgegeben. weil man nicht mehr wie angedacht in Kombination mit Spreebird und Rovion landesweit verkaufen kann. Allein die Aufgabe des Direktvertriebs für Launch byLocal spart 6 Millionen im Jahr. Ob das jetzt eine gute oder schlechte Entscheidung war, muss an dieser Stelle nicht diskutiert werden - es blieb Local Corp nichts anderes übrig, weil sie die Kasse nicht durch eine Kapitalerhöhung bei diesen niedrigen Aktienkursen füllen konnten, ohne die Aktionäre zu schädigen. Mit genügend Geld in der Kasse wäre es vielleicht richtig gewesen, den Direktvertrieb für Launch by Local durchzuziehen und weitere ein oder zwei magere Jahre durchzustehen - vielleicht aber auch nicht.

Die Diskussion darüber ist jetzt müßig, denn Fakt ist, das Local Corp seine Fixkosten massiv gekürzt hat und dadurch auch seine Gewinnschwelle schon sehr früher erreicht, als wenn man die hohen Fixkosten beibehalten hätte. Man hat also zu Gunsten des Faktors "Sicherheit" die Gewinnchancen reduziert, weil die momentane Kassenlage hier ohne die Ausgabe neuer Aktien keine andere Wahl ließ.

Ich finde das war eine gute und ausgewogene Entscheidung. Und dass der momentane Aktienkurs lächerlich niedrig ist, wiederhole ich an dieser Stelle trotzdem noch einmal, aus wenn ich das schon mehr als 100-mal vorher getan habe.

Zillow has only three out of four Monthly Unique Visitors of Local Corp, but the 45-fold market-cap with 1,740 million against the idiotic low market-cap of Local Corp of 39 million.

Zillow says it expects first-quarter sales of $36 million to $37 million, better than the $35.4 million analysts had been expecting, according to Thomson Reuters. That are about 160 million in 2013.

Fiscal 2013 Financial Guidance of Local Corp with 39 million market cap

Revenue - The company expects 2013 revenue of between $93 million and $95 million, which at the mid-point, is an increase of 12 percent, over the fourth quarter 2012 exit run rate.

Adjusted Net Income – Adjusted Net Income for 2013 is expected to be at least $5 million, which would result in approximately $1 million in debt-free cash flow. The company defines debt-free cash flow as cash provided by operating activities, less capital expenditures.


Zillow has with 160 million revenues in 2013 against the 94 million of Local Corp only the 1.7-fold revenues, but with 1,750 million market-cap against the idiotic low 39 million o Local Corp the 45-fold market-cap.  

As Google puts more focus on providing hyper-relevant results, local search listings are taking up more and more real estate on search engine results pages. This is wonderful for small business owners, because by optimizing your webpages properly, your brand can jump to the top of the rankings when people within your area are looking for your types of products or services.
