Die Veröffentlichung/Widergabe aus Posting #377 ist nur eine Auflistung der in der Gerichtsakte vorhandenen Dokumente, chronologisch angeordnet, beginnend am 2. Januar und derzeit endend am 26.03., also vor 2 Tagen.
Ein wichtiger Punkt vorweg: Chapter 7 ist FREIWILLIG beantragt worden. Um die Abwicklung des freiwillig herbeigeführten Zustandes, Chapter 7, geht es darin.
Es sind folgende Parteien mit dem Fall betraut:
a) Genta Inc (als Schuldner), vertreten durch Donald J. Bowman, Jr. und
als Trustees:
b) George L. Miller, vertreten durch John T. Carroll, III und Cozen O'Connor
c) U.S. Trustee (also der amerikanische Staat)
Die Direktoren stellen Ansprüche und wollen, dass Genta diese erfüllt. Genta kann diese aber letztendlich nur erfüllen, wenn es Assets gibt, die man zu Geld machen kann, damit die Ansprüche befriedigt werden. Das Anspruchdenken der Direktoren liesse sich somit nur indirekt damit erklären, dass sie genau wissen, was in der Firma schlummert. Denn die Direktoren wissen ja, an was sie vorgeblich gearbeitet haben, bevor der Zusatnd "Chapter 7" FREIWILLIG erzeugt wurde. Wenn es nichts gabe, worauf die Direktoren Anspruch hätten, würden sie wahrscheinlich keine Anspüche stellen. Es ist also nur der indirekte Rückschluss darauf, dass es bei Genta sehr wohl Assest gibt, die zwar nicht hier genannt sind, aber die sich zur Befriedigung der Ansprüche eignen würden. Wenn als die Direktoren, die ja sogar selbst auch Aktien halten als Insider, Ansprüche geltend machen, dann müsste dies auch für die normalen Aktionäre gelten.
Prinzipiell könnten sie Ansprüche stellen als
a) Teilhaber (Aktionär)
b) Direktor (Angestellter), infolge eines (Angestelletn)-Vertrages mit Genta.
Egal wie, in beiden Fällen ist klar ersichtlich: Die Direktoren wollen Cash haben.

Via financing and cash proceeds received from licensing, Dr. Warrell raised more than $550 million during his tenure. Genta’s clinical programs were broadly conducted in patients with both hematologic cancers and solid tumors, including acute and chronic leukemias, lymphoma, melanoma, and cancers of the lung, breast, prostate, stomach, bladder, and other conditions.

So, why did they go bankrupt?
Es geht um die Bezeichnung "Nunc Pro Tunc", also darum, dass die Anwältin Cozen O'Connor angestellt wird, als Vermögensverwalter/Treuhänder für George L. Miller handelt:

A corporation may have been created by an individual, but since a corporation has the standing in law of a person (although not a natural person), it is possible for its human creator to go bankrupt and for the assets of the corporation to be seized to satisfy unpaid taxes. Then, if others bought the assets from the tax authority and the corporation shell passed into other hands, it is possible for the person who bought the assets to also buy the corporation shell and, after paying corporate franchise taxes, for that person to claim that the corporation is the original corporation with the original assets.

Im gleichen Sinne tritt der Amerikanische Staat als Trustee auf.
Man möge also annehmen, dass es Assets gäbe.
Das könnte man daraus folgern. Ob diese Schlussfolgerung richtig ist, weiss ich nicht.
Aber Aktien der Fa. Genta gehören zu den Assets der Firma, auch wenn der Besitzer jemand anders ist. Hauptbesitzer sind die Investoren und die Direktoren und ein paar Aktionäre. Über den Wert kann der Trustee entscheiden, wenn er den Wert kennt.
