Kodak silent on reports of joint Google/Apple patent acquisition

Reports have emerged that tech heavyweights Apple and Google are putting together a joint bid for more than $500 million in digital imaging patents currently up for sale by Kodak.

But the manufacturer refused to comment on the rumour, citing restrictions tied to its efforts to emerge from Chapter 11 bankruptcy.

The joint bid was first reported by Bloomberg News, which cited "people familiar with the situation". The Bloomberg story went on to suggest Google and Apple decided to work together after each headed a different bid this past summer for the more than 1,000 patents in the Kodak portfolio, many of which are considered applicable to the smartphone industry.

Kodak recently said it had received commitments from its debt holders for $830 million in funding to exit bankruptcy protection next year, but stressed that financing was contingent on the sale digital imaging patents for at least $500 million.

In an interview this week with PrintWeek, Chris Payne, Kodak director and vice president of commercial marketing said: "Because the court has ordered strict confidentiality requirements throughout the patent sale process, we cannot offer any comment on the speculation.

"However, we have stated generally that monetization of our non-strategic intellectual property is one of the four key objectives of our Chapter 11 restructuring."

Apple and Google did not respond to PrintWeek requests for comment on the Bloomberg story.

After filing for bankruptcy protection in January, Kodak initially said in court documents that the patents relating to the capture, manipulation and sharing of digital images could be worth more than $2.5 billion, noting it had already generated more than $3 billion over the past decade licensing the patents to host of companies.

But the fact the patents have been so widely licensed has ended up impacting the value of the overall portfolio, according Bloomberg.

Kodak Executives Meet With Employees, Expect To Clear Bankruptcy 2013 (siehe Video)

Kodak workers locally and worldwide got to hear from Kodak executives on Thursday including from CEO Antonio Perez.

The meeting, held in the 9th floor auditorium of Kodak's downtown headquarters, was not open to the media.

But the company did release this statement about the day's meeting.

"He [Perez] and other members of the management team just provided an update on our progress in reorganization, and used the forum to thank employees for their efforts during a challenging year. He noted that we have a clear path to emergence for chapter 11 in the first half of 2013 and urged them to stay focused on achieving what we need to do for this to happen," wrote Chris Veronda, Kodak spokesperson.

Insiders at the meetings today, gave News 8 some insight into what was discussed.

They say Perez said the company is close, "very close" to a patent sale and told employees to await for more details to be announced.

Last week, the Wall Street Journal reported that a group of unidentified buyers planned to give Kodak more than $500 million for its digital imaging patents.

Other reports suggested that Apple and Google may be involved.

Kodak would not comment.

According to insiders, executives also said they were working to resolve its UK pension problems but did say that the document and imaging businesses which are up for sale may be struggling a bit.

"It sounds to us that management is trying to prep employees that they may not have an easy time in meeting that third condition which is the sale of those businesses so they can get their loan," said George Conboy, President of Brighton Securities.

Kodak is hoping to secure a $380 million loan to help it emerge from bankruptcy.

To get it, the company needs to sell those patents for at least $500 million and successfully sell its document and imaging businesses.

Kodak has a 10am hearing in U.S. Bankruptcy Court in Manhattan on Friday

Letztgenannte legt z. Zt. zu.

ALEXANDRIA, Va., Dec. 14 -- Eastman Kodak, Rochester, N.Y., has been assigned a patent (8,330,870) developed by four co-inventors for a "dynamic illumination control for laser projection display." The co-inventors are Michael A. Marcus, Honeoye Falls, N.Y., John A. Agostinelli, Rochester, N.Y., James G. Phalen, Rochester, N.Y., and Marek W. Kowarz, Henrietta, N.Y.

The abstract of the patent published by the U.S. Patent and Trademark Office states: "A method for improving image contrast for a display apparatus obtains a frame of image data having one or more code values for each pixel in the frame of image data, analyzes the frame of image data to identify a distribution of dark regions therein. The method further adjusts at least one of the one or more code values for the frame of image data according to the distribution of dark regions in the frame of image data and attenuates a brightness level available for the image frame according to the distribution of dark regions in the frame of image data."

The patent application was filed on Dec. 8, 2009 (12/632,854). The full-text of the patent can be found at http://patft.uspto.gov/netacgi/nph-Parser?Sect1=PTO2&Sect2=HITOFF&p=1&u=%2Fnetahtml%2FPTO%2Fsearch-bool.html&r=1&f=G&l=50&co1=AND&d=PTXT&s1=8,330,870&OS=8,330,870&RS=8,330,870

11:09 AM, Dec 14, 2012

For once, Eastman Kodak Co. is a hot commodity, as a growing list of financial firms is willing to invest in the company’s turnaround efforts.

A U.S. Bankruptcy Court judge on Friday signed off on Kodak entering into an $830 million agreement to help keep it afloat through and after its current Chapter 11 bankruptcy case. The deal replaces a $793 million package of loans the company had tentatively lined up a month ago.

And the $830 million package might not last long, as British banking giant Barclays also has a financing proposal that Kodak is looking into, said an attorney for the Rochester company.

“There seems to be a lot of parties willing to invest in or lend money (to Kodak), which is nice,” Judge Allan Gropper said Friday during a brief hearing held in his Manhattan courtroom. “It all sounds very positive ... for the debtor’s future and getting out of bankruptcy sooner rather than later.”

The $830 million in financing is coming from a variety of hedge fund and private equity firms, including Contrarian Capital Management, D.E. Shaw & Co., and GoldenTree Asset Management.

While the judge signed off on the loan package, there are a number of conditions before Kodak actually can borrow any of the money, including sale of its digital imaging patent portfolio for at least $500 million.

Google Inc. and Apple Inc. have reportedly jointly bid in excess of that amount for the intellectual property.

A Kodak attorney said Friday the company is in the midst of putting together business projections that will be part of its emerging-from-bankruptcy plan. Those projections, along with the financing, will be cornerstones of the company actually ending the Chapter 11 protection that began in January. The attorney said Kodak may make those projections public by year’s end.

Kodak expects to emerge from bankruptcy during the first half of 2013
