The consents represented more than the required 75% of the aggregate amount of notes due 2016 and 2017. They were received prior to the consent expiration at 5pm on December 11 in New York.
Bumi received consent from 84.38% of bondholders on the USD300m 2016 notes and from 89.68% of bondholders on the USD700m 2017 notes.
Payment of the fee of USD10 per USD1000 or principal amount held by those who tendered their consent is expected on or before January 31, 2014. Deutsche Bank handled the consent solicitation.
The consent was a key part of a deal that Bumi achieved with China Investment Corporation. China's sovereign wealth fund last month agreed to convert USD1.35bn of a USD1.9bn bilateral loan into equity of subsidiaries of the Indonesian miner.
Some USD950m of that debt is being converted into a 19% stake in Bumi coal producer KPC.
The equity stake could have triggered change of control covenants on the outstanding dollar bonds which would allow existing bondholders to request immediate payment of the full principal amount.
The completion of the consent solicitation avoids the early repayment of the bonds.

The country’s biggest coal miner, PT Bumi Resources, failed for the second time on Friday to secure shareholders’ approval for the company’s US$1.3 billion debt to equity swap with Chinese sovereign wealth fund China Investment Corporation (CIC)."

Shareholders of Indonesia's Bumi Resources, Asia's biggest thermal coal exporter, approved on Friday a proposed $1.3 billion debt-for-equity swap deal with China's sovereign wealth fund, CIC, despite the absence of a key shareholder.
"I hope the deal will be final before Chinese New Year, this month," said Andrew Beckham, a director at Bumi Resources.
A collapse of the Chinese deal would have been disastrous for Bumi Resources, which has suffered downgrades from ratings agencies and faces bloated debt even as coal prices remain soft.
Asia Resource Minerals, the London-listed company previously known as Bumi Plc and which owns 29 percent of Bumi Resources, said late on Thursday it would not attend the Indonesian company's shareholder meeting on Friday.

"Under a complex separation deal, the Bakrie family has to sell its ARM stake of 24 percent for $223 million to outgoing chairman Samin Tan — who in turn would become the single largest shareholder with 47.6 percent.
ARM granted the Bakries extra time twice in January to complete the deal, which originally had a final deadline of Jan. 24. They now have until Feb. 21 to enable the split or lose the $50 million they have already committed to the process.
“ARMS announces that it has been informed by the Bakrie Group that it is not able to complete the separation transaction in accordance with the current February 2014 timetable and a request has been made by the Bakrie Group to extend the timetable to completion,” Asia Resources said in a statement to the London Stock Exchange on Wednesday.
“The company is engaged in discussions with the Bakrie Group to understand the reasons for this further delay and how long that delay needs to be and will consider this request for an extension based on those reasons.”"

ARMS Chief Executive Nick von Schirnding said he felt ‘vindicated’.
He said: ‘There were a number of stakeholders saying this would never happen. I can't say it has been easy, it was a complicated transaction, but to have achieved this is excellent for our shareholders.
"With the split completed, ARMS will now focus on turning around its other main Indonesian subsidiary, Berau Coal, while giving up a stake in Asia's top thermal coal exporter PT Bumi Resources."
"‘There were a number of stakeholders saying this would never happen. I can't say it has been easy, it was a complicated transaction, but to have achieved this is excellent for our shareholders."
"‘We want the business ... to be run as efficiently as possible and for all dividends to be passed through to shareholders."
