LONDON (AFX) -- General Electric said Wednesday it reached an agreement with
France's Vivendi Universal to merge Vivendi Universal Entertainment into GE's
NBC unit, creating a $43 billion movie studio and television network colossus.
GE will control 80 percent of the venture, and will pay $3.8 billion in cash to
Vivendi Universal Entertainment shareholders, 86 percent of which was owned by
Vivendi .
GE fell 25 cents to $30.48 in U.S. trading on Wednesday while Vivendi's stock
rose 39 cents to $19.60.
In addition, NBC Universal will assume approximately $1.7 billion of debt. For
Vivendi, the deal was an attractive one because it enables the company to reduce
its crippling debt load.
The deal will create a "very good, powerful and profitable business," said
Jean-Rene Fourtou, chairman and chief executive officer of Vivendi Universal
during a conference call in the U.S.
The companies have identified $400 million to $500 million in potential
synergies, including both cost savings and revenue growth, GE said.
The deal is fraught with risks. The television business in the U.S. is fractured
between network and cable operations, making it difficult for a network to
dominate the TV ratings. Further, the deal is being struck at a time in the U.S.
when advertising is in the grip of a severe slump that has hurt the large media
companies. Finally, GE is counting on Universal's movie studios to maintain
their winning streak in an industry that is notoriously volatile since Hollywood
depends entirely on getting results from a famously fickle audience.
GE believes the deal will be a winner because it can expand its cable TV
offerings. GE can now shuttle its hit TV shows to the Universal cable outlets.
The deal is occurring at what could be an opportune time for GE, which welcomes
the additional cable distribution. GE's NBC unit owns the TV broadcasting rights
to the next several Olympic Games, and the network intends to show many events
on its cable channels.
In addition to Universal studios and the NBC television network, the combined
NBC Universal will have cable channels USA Network, Sci-Fi Channel, CNBC,
partly-owned MSNBC, Bravo and Trio, 14 owned-and-operated NBC affiliates,
Spanish-language broadcaster Telemundo and interests in five theme parks.
Vivendi said its debt will be cut below 5 billion euros by the end of 2004.
Vivendi , whose shares advanced 2.3 percent in Paris trade, will have 3 of 15
seats on the NBC Universal board.
In a conference call, Vivendi admitted that some of the cash it will receive
from GE will end up in Barry Diller's hands, as the group resolves its
cross-shareholdings in each other companies. Those talks have not yet commenced.
Vivendi executives also said that it would keep its Universal music operations
and plans to grow its remaining media operations.
Vivendi added that USA and the Sci-Fi networks were too small to be competitive
in the U.S. cable market.
