Liquidity and Capital Resources

At March 31, 2012, we had $5,160 in cash, as opposed to $2,482 in cash at December 31, 2011. Total cash requirements for operations for the three month period ended March 31, 2012 was $39,432. As a result of certain measures implemented to reduce corporate overhead, management estimates that cash requirements through the end of the fiscal year ended December 31, 2012 will be between $2.0 million to $5.5 million. As of the date of this Report, we do not have available resources sufficient to cover the expected cash requirements through the end of the second quarter of 2012 or the balance of the year. As a result, there is substantial doubt that we can continue as an ongoing business without obtaining additional financing. Management's plans for maintaining our operations and continued existence include selling additional equity securities and borrowing additional funds to pay operational expenses. There is no assurance we will be able to generate sufficient cash from operations, sell additional shares of Common Stock or borrow additional funds. Our inability to obtain additional cash could have a material adverse effect on our financial position, results of operations and our ability to continue its existence. If our losses continue and we are unable to secure additional financing, we may ultimately be required to seek protection from creditors under applicable bankruptcy laws.

We had total current assets of $180,160 as of March 31, 2012. This was a decrease of $2,185, or 1%, as compared to current assets of $182,345 as of December 31, 2011. The decrease was primarily attributable to expense of the Company's prepaid expenses.

We had total assets of $554,816 as of March 31, 2012. This was a decrease of 20,535, or 3.6%, as compared to total assets of $575,351 as of December 31, 2011. The decrease was primarily attributable to depreciation on fixed assets of $18,350.

We had total current liabilities of $2,254,012 as of March 31, 2012. This was a decrease of $192,113, or 8%, as compared to current liabilities of $2,446,125 as of December 31, 2011. The net decrease was attributable to a decrease in Notes payable due to the conversion of loans into common stock.

Our financial condition raises substantial doubt about our ability to continue as a going concern. Management's plan for our continued existence includes selling additional stock through private placements and borrowing additional funds to pay overhead expenses while maintaining marketing efforts to raise our sales volume. Our future success is dependent upon our ability to achieve profitable operations, generate cash from operating activities and obtain additional financing. There is no assurance that we will be able to generate sufficient cash from operations, sell additional shares of common stock or borrow additional funds. Our inability to obtain additional cash could have a material adverse effect on our financial position, results of operations and our ability to continue as a going concern.

(OTCBB: ECOS), a technology company focused on utilizing advanced nanotechnology to design, develop, manufacture and sell alternative energy products, is pleased to announce that it has signed an non-binding letter of intent with GFE Global Inc. (www.gfeglobal.com) to operate and distribute its diesel/water emulsion (M-Fuel) production NPUs as well as its proprietary additive. The products will be sold in certain Central American countries as a first step, and then extend to other areas based on established penetration targets. Each NPU-60, with a production capacity of 60 metric tons of M-Fuel/day (18,000 gallons), sells for $850,000 and each of these NPUs consume $4,500 a day of additive when in full production.

The Non-Binding Letter of Intent is subject to further discussion and the execution of a definitive binding document. We plan to sign the definitive agreements by July 25, 2012.

bevor verträge unterschrieben sind bzw entgültig in kraft treten . der ceo hat mich enttäuscht als er im april schon verträge mit fei in aussicht gestellt hatte. doch davon hört mann gar nix mehr.

nun angeblich neue verträge in vorbereitung mit einer ganz anderen firma die sich verpflichten will bis zu 4 npu pro jahr zu kaufen. das will ich erst mal schwarz auf weiss sehen.

(OTCBB: ECOS) is pleased to announce that it has signed a distribution/operation agreement with GFE Bio Fuels S.A a company organized under the laws of Costa Rica and having its principal office at Liberia, Guanacaste to operate and distribute ECOS diesel/water emulsion (M-Fuel) production equipment (NPUs) as well as EcoloCap's proprietary additive, to initially cover certain countries of Central America, and then extend to other areas based on minimum target achievement.

meiner meinung nach das jetzt endlich mal verträge unterschrieben sind und der angestrebte umsatz 7,5 millionen hört sich ja auch mal nicht schlecht an.

vielleicht kommt ja auch nochmal was mit fei zustande das wäre dann natürlich nochbesser meiner meinung nach. mal abwarten.

hoffnung ist jetzt wieder da das ecos was auf die beine bringt hab auch nicht damit gerechnet das die noch mal was auf die beine bekommen hatte die ecos aktie schon fast abgeschrieben.

mal sehn wie es so weiter läuft bei denen.

immerhin ist auf der webseite von fei auch noch ein bild von der npu 60 zu sehen.ich denke der ihr problem ist das sie nach investoren suchen und kapital, nur meine meinung.

also ich glaub schon das die auch noch dran sind um mit ecos geschäfte zu machen brauen halt noch zeit fei hatte ja auch knapp 200k anfang des jahres für das stand still agreement bezahlt an ecos.

NOTE 9 – STANDSTILL AGREEMENT

The other incomes were generated by fees received according to Standstill Agreements signed by the Company with Fuel Emulsions International Inc. (FEI). The Company signed a first Standstill Agreement that gave FEI the exclusivity to negotiate with potential investors and third party customers with respect to the sale of fuel emulsion technology and associated additives According to the Standstill Agreement, FEI had to pay two instalments of $50,000 (January 20 and February 10, 2012) to keep its negotiation exclusivity on the M-Fuel technology. After the expiration of the first Standstill Agreement on February 29, 2012, the Company signed a second Standstill Agreement that expired on March 31, 2012. According to the second Standstill Agreement, FEI had to pay two instalments of $50,000 (February 29 and March 15, 2012) to keep its negotiation exclusivity on the M-Fuel technology.

sieht gut aus.. geht mit realativ wenig volumen nach oben seit einer woche war anfang etwas skeptisch aber nach der news von gestern scheint ecos das vertrauen zurückzugewinnen wollen . jetzt ärgere ich mich nur das ich nicht ein paar gekauft habe auf den tiefstnden in den letzten 2 monaten aber die aktie sah ziemlich tot aus zu der zeit und man hatte nix gehört von der firma.

hoffentlich ist das comeback diesmal ein bisschen von dauer und schmiert nicht nach ein paar tagen wieder ab.
