To meet EU goals, green hydrogen production must scale quickly and a hydrogen pipeline infrastructure is key to reaching Denmark’s vast hydrogen potential
This is the core message that Everfuel’s CEO, Jacob Krogsgaard, and Crossbridge Energy Refinery’s CEO, Finn Schousboe, delivered to the Danish Minister for Climate, Energy and Utilities, Lars Aagaard. Everfuel is completing the hydrogen production facility hashtag#HySynergy, which will provide green hydrogen to Crossbridge Energy A/S. Crossbridge produces up to 40% of the Danish fuel consumption and will potentially need up to 500,000 tons of hydrogen per year in the future.
A rapid expansion of a hydrogen pipeline infrastructure is needed for national and international hydrogen consumption to scale.
The infrastructure investment currently being discussed by politicians was the key topic for today’s visitors; Minister for Climate, Energy and Utilities, Lars Aagaard, Member of Parliament Henrik Frandsen, Mayor Steen Wrist, Mayor Johannes Lundsfryd Jensen, Municipal Director Thomas Jaap and Director of Triangle Energy Alliance (TEA), Søren Schmidt Thomsen.

"""""""""""""Herning, Dänemark, 1. März 2024 - Everfuel A/S informiert heute über die Inbetriebnahme des 20 MW HySynergy 1 Elektrolyser.
Die Haupt-Elektrolyser-Anlage ist startbereit, aber das Unternehmen hat ein Qualitätsproblem bei Hochdruckbeschlägen im Oxidationsmittel erlebt, der Sauerstoff und Feuchtigkeit aus dem Wasserstofffluss als Teil des Hochdruck-Hilfssystems des Elektrolysers entfernt. Diese Einheit ist Teil des Elektrolyser Lieferantenlieferpakets.
Die Zulassung des Desoxidisers ist der letzte verbleibende Meilenstein vor der Zertifizierung der PED (Druckgeräterichtlinie). Nach einem fehlgeschlagenen Test Ende des 29. Februars wird die Einheit einen Umbau vor Ort benötigen, der sich auf den Zeitplan für die Fertigstellung der HySynergy 1-Anlage auswirkt. Die Inbetriebnahme wird nun Mitte des zweiten Quartals 2024 erwartet.
Everfuel schreitet fort die Kommission der anderen Hochdrucksysteme voran, die nicht vom Oxidationsmittel betroffen sind. Die Einrichtung HySynergy 1 gehört dem Everfuel Hy24 JV. Everfuel wird am 5. März bei der Ergebnispräsentation des vierten Quartals weitere Details liefern.

Agreement with intention to launch an unregulated recommended voluntary cash
offer of NOK 13 per share to the shareholders of Everfuel A/S
Everfuel A/S (the "Company" or "Everfuel", and, together with its subsidiaries,
the "Group") and Faro BidCo ApS (the "Offeror"), a newly incorporated Danish
private limited liability company with registration (CVR) no. 44 98 99 99, and
an indirect subsidiary of infrastructure investment funds managed or advised by
Swiss Life Asset Management AG ("Swiss Life AM"), announce today that they have
entered into a transaction agreement ("Transaction Agreement") whereby the
Offeror, subject to certain terms and conditions, shall launch an unregulated
recommended voluntary tender offer to acquire all issued and outstanding shares
(the "Shares") in the Company except for Shares owned by the Rollover
Shareholders (as defined below) or held in treasury by the Company (the
"Offer").
A cash consideration of NOK 13 (the "Offer Price") will be offered per Share,
which values the total issued share capital of the Company at approximately NOK
1.12 billion based on 86,279,960 issued and outstanding Shares as of today. The
Offer does not comprise any financial instruments issued by the Company other
than the Shares.
Barring unforeseen circumstances or any extensions of the acceptance period of
the Offer, it is currently expected that the Offer will be completed during
fourth quarter 2024, following satisfaction or waiver of all conditions for the
Offer.
If, as a result of the Offer or otherwise, the Offeror acquires and holds, alone
and not calculated together with any other parties, Shares representing more
than 90% of the total issued Shares and voting rights in the Company (excluding
any Shares held by the Company in treasury), then the Offeror intends to
initiate a compulsory redemption (squeeze-out) of the remaining Shares not
already owned by the Offeror. Also, if, as a result of the Offer or otherwise,
the Offeror holds a sufficient majority of the Shares, the Offeror intends to
propose to the general meeting of the Company that an application is filed with
the Oslo Stock Exchange for the delisting of the Shares from Euronext Growth
Oslo.

Oder werden die Aktien quasi genullt, wenn man nicht rechtzeitig vorher verkauft?
Bei dem angegebenem Preis und der Tatsache, dass ~75% der Aktienhalter (die größten Investoren) bereits dem Angebot zugestimmt haben, muss man sich ja doch Gedanken machen wann man seinen Verlust nun am geschicktesten realisiert.
