The Merger Agreement contains a number of conditions to closing that each of Titan, Merger Sub and iHookup have made to each other,
including no law or governmental order prohibiting the transaction, representations and warranties being true and correct, and each party
receiving all documents and instruments , among others. The conditions to closing contained in the Merger Agreement were made for purposes

Miscellaneous Provisions
The Merger Agreement contains a number of miscellaneous provisions, including the representations and warranties surviving for a period of
12 months from the closing date, among others.
Conversion of Debt
As of January 31, 2014 and prior to the Effective Time, Titan had $585,754 of debt. Certain creditors of Titan agreed to convert $291,034 of
the debt to our common stock at a price of $.015 per share for a total issuance of 19,402,267 shares of common stock. Titan continues to have
debt in the amount of $294,720
Changes to the OTCQB Venture Stage Marketplace OTC Markets Group is making changes to OTCQB® to make it a better venture stage marketplace. Beginning this year, OTCQB companies will be required to meet new eligibility standards aimed at improving the information available to investors. Companies will be required to meet a new $0.01 bid price test, provide additional information, and submit an annual OTCQB Certification signed by the CEO or CFO. For the first time, International Reporting companies listed on a Qualified Foreign Stock Exchange will be eligible for OTCQB.

Moves Expedite Transition to iHookup Social, Inc.

Additionally a symbol change with FINRA to (OTCQB: HKUP) is in process, along with the company's latest 14C filing of its reverse stock split with the Securities and Exchange Commission. The Company's new name will be iHookup Social, Inc. when the market opens on April 11, 2014.

Möchte niemanden ins Gewissen reden, dennoch bleibt ein bitterer Beigeschmack. Und nein, ich bin nicht dabei und werde auch nicht für diesen komischen CEO Geld locker machen. Das stinkt nach Betrug.

TFER is currently steered by a person called Robert Rositano and this is not his first attempt to create a massively successful dating application. He is still listed as the CEO of a penny stock company called Mobile Matchmaking (OTCMKTS:MLOV) and, as the name would suggest, MLOV and TFER's business plans are pretty much identical. The former, however, isn't doing too well. The stock hasn't been actively traded for quite a while and the latest financial report is dated February 2011.
Auch garantiert ein gutes Produkt nicht automatisch den Erfolg ! Viele Faktoren spielen da eine Rolle und hier kann ich sie nicht einschätzen. Deshalb bleibe ich erst einmal nur beim Beobachten. Vor dem Aktiensplit Ende April wird sich sowieso nichts tun.
