Exercise of EMI Options

EnCore Oil plc (LSE: EO.) announces that on 4 and 5 October 2010, Directors and staff
exercised options over 2,008,184 ordinary shares awarded under the Enterprise Management Incentive Plan (“EMI”). Due to the forthcoming extended period of drilling activity at Catcher, combined with the close period relating to statutory financial results, it was possible that the EMI options, awarded in March 2006, might have lapsed without the opportunity for the holders to exercise. It was not clear if extension of the term of the EMI Plan, which would have been the preferred route, would have enabled these options to retain the associated benefits under the rules of the Plan as governed by HM Revenue and Customs. The exercise of the options has raised £633,332 for the Company.

Here are our tips for today

ENCORE Oil

This is an exploration company with a difference with a great track record for finding oil, and lots of it, in the North sea.

We here at STG have invested heavily into this company believing that  it's future is sealed with an excellent profitable opportunity for the  private investor to reap rewards that would be very difficult to find in  other AIM stocks.

Encore has a management team that has proven that it can and will  continue to find oil.  There are certain members of this team that were  responsible for the amazing Buzzard find in the North Sea. Listening to  the talk/whispers in the city, we believe that it's only a matter of  time before the company is taken over by a larger oil company - we are  talking within 6 months, possibly sooner. Rumours are circulating that  there are on-going talks, regarding a bid based on Encore's results from  Cladhan/Catcher/commerciability once they have proven oil in place, as  of yet they still have to reach oil/water contact which is proving  difficult due to the size of this find now having to do further drills  - on this basis alone we believe a commercial find is inevitable.  Remember this is in the North sea with political stability  and infrastructure already set in place, but this is a company with a  difference: look further into their finances to see they are debt free,  they have cash in the bank, have a 30% stake in Egdon Resources, they  have light oil which commands a $2  premium on US crude, gas storage  facilities which are yet to be valued.

If the rumours are correct that are coming out of the city of London,  then catcher is almost certainly a contender if not larger  than Buzzard. As for Cladhan - this also has the potential, from what we  are hearing, to compete with the Buzzard field which is producing in  excess of 280,000 barrels of oil a day. Management have made it quite  clear they are up for sale: we ask what exactly is up for sale and this  is what the city is also asking. Are the management team included? We  expect so - the feeling here is that there is no point buying just the  company's name/assetts, that would be like buying a Yacht with no  sails.  Oil companies would rather have the very experience Encore team  working with them rather than against them, thus taking the competiton  out and bringing them on board makes perfect sense.

The value of this company is obvious in our opinion

  • 15% stake in Catcher and being the operators, possibilty of in excess of 1 Billion barrels of light oil
  • holding 16.5% in Cladhan which has been described by operators,  Sterling Resources, as a Magnus type field which could hold up to 1  billion barrels of light  oil
  • looking forward to the Tudor rose (heavy oil) discovery with a 40%  stake and being the operators, with estimates up to 500 Million barrels  and being in partnership with Nautical Petroleum (heavy oil specialists  holding a 20% stake)

With this in mind  we would be amazed if Encore were still trading by  next April meaning an offer could come at any stage of the game and  when it does it will start a snowball reaction for all the North sea  competitors to jump on board.  The likes of Premier oil and Wintershall  will have to battle this one out - we know Alan Booth has the best  interests of shareholders at heart putting himself into the same  category as them, stating he is not working for a salary. 

This company will make some private investors very rich indeed - we  here at STG will wait for an offer of anywhere between £4 and  £6 to buy  Lock Stock and Barrel.  In the mean time we will be increasing our  holdings until the end of play is in sight - the city do not want you to  know the secrets we are telling you, especially for free!

We see the current share price being very undervalued at the moment.  We give it a £1.80 valuation.

Schoen, dass Du wieder da bist und danke fuer die ganzen News....die letzten beiden Wochen war ich unterwegs, den Kurs aber stets im Auge.
Ich habe nochmal nachgelegt, da ich davon ueberzeugt bin, dass bei den Funden eine Uebernahme in nicht mehr allzu langer Zeit bevorsteht.
Den kleinen Rücksetzer bewerte ich auch nicht ueber, geht bald weiter, wenn die Appraisalbohrungen weitere Abschaetzungen zum O/W contact erbringen.
Also, weiter so...

Am 11.10. ist die Firma in die Baker Street umgezogen. Nach dieser Nachricht kamen gleich wieder schöne Erinnerungen an meine 10-jährige London-Zeit hoch. Dort befand sich unser Lieblings-Italiener "La Loggia". Sicher gibt es den nicht mehr, es hat sich in den letzten 20 Jahren so vieles verändert.

Der kleine Rücksetzer betrübt mich auch nicht. Bis auf gestern waren die Umsätze an der AIM die letzten Tage nicht besonders hoch.

Heute nachmittag findet ja das AGM statt. Eine persönliche Einladung habe ich nicht erhalten, ob es die nur für Ansässige gibt? Ist wohl so wie bei den Schweizern. Da muss man sich ins Aktienbuch eintragen lassen, um zur Generalversammlung eingeladen zu werden.

Ich freue mich auf Deine News, du hast ja das Ohr am Geschehen ;-)

EnCore Oil plc (LSE: EO.) announces that the Transocean Galaxy II rig has yet to arrive on site at the Varadero location on Block 28/9 due to bad weather conditions at the Varadero location. The rig has been able to leave its previous location, and is en-route to Dundee where it will remain, hopefully for a short period only, until a suitable weather window is available to take it to the Varadero location. The Galaxy II rig has not yet been assigned to EnCore.

A further announcement will be made upon the spud of the Varadero well.

Ariva ist ja mal wieder von der besonders "schnellen Truppe".
Der noch angezeigte Kurs war gerade mal ein paar Minuten gültig. Hatte sofort geordert mit Limit 1,17, doch nun ist der Kurs in Stuttgart schon wieder auf dem Weg zur 1,40. Na gut, meine Order steht bis Ultimo drin, vielleicht kommt nochmal so ein plötzlicher Rücksetzer. An der AIM sehen wir schon wieder 119,25 pence bei einem Umsatz von über 7,4 Mio Aktien!

Nein, ich habe leider nichts konkretes gehoert. Nur wieder irgendwelche Geruechte. Wo hast Du Deine Info her? Ist die Quelle reliable oder auch nur rumors?
Dass der Kurs um 20% nachgibt wegen schlechten Wetters...naja ;-) wurde ja zum Glueck gleich wieder korrigiert.
Ich gehe auch davon aus, dass es die Einladung nur fuer dort ansaessige gibt. Auch wenn es mich sehr interessiert haette, eigens dafuer aus Suedamerika anzureisen, waere auch nicht wirklich eine Option gewesen.

Also das ist fuer mich quatsch. Das ist alles so confidential und meiner Meinung nach unmoeglich ueber ein Telefonat ein Uebernahmeangebot zu unter/verbreiten. Sondiert und ueberprueft werden solche Unternehmen natuerlich immer von groesseren Firmen, die haben ja alle eine eigene Abteilung "New Business" nur dafuer. Auch die Wintershall ist hinter solchen Aquirierungen hinterher...letzte war ja die Revus in Norwegen, was ein richtiger Erfolg gewesen ist. Von daher....

Alan Booth company Overview

• BOD are driven by shareholder value. They are the largest shareholder group and hold 32M shares and have 20M options. All shares have been bought with their own money.

• They prefer to take smaller equity stake to enable more wells to be drilled to prove up the assets entirely.

• Strategy is to monitise assets at the right stage of the lifecycle (eg. our 30% interest in Egdon now worth £37M)

• Focus is on North Sea because they understand it.

• No desire to bid for producing assets and not driven by newsflow

• As largest shareholder group, their eye is always on the exit strategy at the best price possible.

CATCHER

• One well drilled and 2 sidetracks. Up to 300Mbls OIP

• 2 to 4 wells planned when Galaxy II on site. Held up waiting for weather window so not on contract yet. They have appointed Paul Doble as Project director (of Buzzard fame)

• High porosity oil bearing sands “fairly confident” that he North has oil sands present.

• First drill will be Varadero. Caran sand objective, not expecting Cromarty sands to be involved.

• After Burgman will be drilled. Triple zone target – Caran, Cromarty and Jurassic (latter low chance of oil sands)

• After Carnaby will be drilled. Dual target but Health and safety an issure as shallow gas.

• If all 3 successful Catcher North after.

• If all Successful, it will be a VERY significant field and Paul Doble’s expertise is a confirmation of EO. Capability as operator.

CLADHAN

• Too early to estimate OIP, SLG need to complete data integration. Booth was pushed but wouldn't budge on this at all.

• Flowed 6000+ bopd, limited by equipment not field. He is confident of commerciality.

• Sidetrack found better quality sands than expected.

• They need to conduct site surveys, gain drilling approvals and then rig contract. Hoping for late Q4 2010 or Q1 2011 for return to Cladhan

TUDOR ROSE

• Heavy oil prospect. Confliting API from previous sampling 8.5 - teens

• 40% and operator, 450-600 Mbls

• Need another well to determine viscosity and commerciality

EnCore has investors shouting for more

From the queue of shareholders snaking onto the street to the deep blue hue that engulfed the decadent setting of Glaziers Hall, the anticipation was palpable.

For Thursday's annual general meeting came in the wake of a rapid rise to success for EnCore Oil (EO-)

Chairman Christine Wheeler took to the stage to welcome the attendees to the company's meeting and promptly hailed the past 12 months a "brilliant and exciting year".

And what a difference a year can make.

Aside from the fact that the board welcomed countless more attendees through its doors forcing it to change location, its share price sits today some 691% above where it was 52 weeks ago.

"In the last year we've made an effort to get the market to understand the value of our assets," chief executive Alan Booth told his enraptured audience.

"And on the whole we've had a reasonable stab at finding oil."

And a reasonable stab it has been with the company now boasting the lucrative Catcher and Cladhan discoveries to its name.

The widely publicised Catcher discovery has opened up a whole new play fairway for the company in North Sea waters, housing up to 300 million barrels of oil and sending its share price over 200% in the past three months.

But the fun doesn't stop here.

AIM-listed EnCore, which was first set up in April 2005, hopes to drill another four wells on the discovery by the end of this year.

"A lot of people were surprised by what we found at Catcher... I'll admit we were surprised too," Booth joked to rapturous laughter from his audience.

"We're lucky that we've appeared to catch most of this play already," he added.

The company is surely hoping for a repeat performance at its Caldhan discovery, offshore Shetland, which has become a major focal point for the group after it reported finding further oil just earlier this month.

EnCore has singled the discovery out for further attention, revealing that it was keen to go back and drill more wells.

However, it wasn't quite so keen to put a precise figure on how large the discovery might be, despite prying shareholders.

"If you were the operator, what would you say the figures are?" one shareholder shouted out from the audience.

"I'm not the operator," Booth dryly responded.

Others attempt to coax out of him what the company viewed as an acceptable asset value per share were equally unsuccessful.

Booth's calm and collected demeanour remained in perfect tact even when one shareholder declared that the company's shares were undervalued because it wasn't "exciting enough" to analysts.

But there was little doubt that this flock of shareholders found EnCore's story particularly exciting.

Private investor Lionel Mills stood to say that the group had been so successful of late, that it had "the bit between your teeth," and wouldn't give up until it had notched up further coups.

"We will continue to be opportunistic," Booth answered, "and will strive to get the market to realise the value of our assets."

The company couldn't answer whether it would consider a farm-out agreement further down the line when it explores new prospects Tudor Rose and Buffalo, but would say that it would do everything in its power to avoid looking "vulnerable to cash".

Oh and on the subject of cash, Booth was keen to point out that the company's recent office move was not to exercise its new found status, but simply to have a boardroom that could comfortably sit its guests.

"It's not plush don't worry - we got the furniture courtesy of Ikea," Booth declared jovially.

After all the resolutions were passed, Booth thanked his audience for attending the meeting.

"Thank you... we may or may not be here next year," Booth finished as he wrapped up the group's 2010 meeting.

But there's little doubt that if this year's momentum continues, shareholders will be crying out "Encore!"
