Das deutsche Unternehmen mit Sitz in Bingen am Rhein wird derzeit neu ausgerichtet. Bei einem aktuellen Kurs von nur 0,63 Euro kostet die Firma mit 1 Mio. ausstehenden Aktien lediglich 0,63 Mio. Euro. Am 5.11.2003 hat Life&Art eine Kapitalerhöhung mit 250.000 neuen Aktien zu einem Preis von 1 Euro angekündigt. Es wird keinen Bezugsrechtshandel geben und aufgrund des weit unter dem Ausgabepreis liegenden Börsenkurses wird wohl kaum ein Kleinaktionär seinen Aktienbestand erhöhen. Hier ein Auszug aus der Bezugsaufforderung, die unter http://www.ebundesanzeiger.de (Menüpunkt Aktiengesellschaften, Datum 5.11.) nachgelesen werden kann. Demnach kann der Vorstand die nicht bezogenen Aktien nach eigenem Ermessen vergeben. Und anschließend könnte die Neuausrichtung der Firma interessant werden. "Die neuen Aktien werden den Aktionären im Verhältnis 4:1 zum unmittelbaren Bezug angeboten. Im Falle, dass sich bei der Division keine ganze Zahl ergibt, wird auf die nächste volle Aktie aufgerundet. Zur Vermeidung des Ausschlusses fordern wir die Aktionäre der Gesellschaft auf, ihr Bezugsrecht auf die neuen Aktien in der Zeit vom 15. November 2003 bis einschließlich 15. Dezember 2003 bei der Gesellschaft anzumelden. Ein Bezugsrechtshandel findet nicht statt. Nach Ablauf der Bezugsfrist von den Altaktionären nicht gezeichnete Aktien können bis einschließlich 31. Dezember 2003 von den Aktionären über ihr Bezugsrecht hinaus und Dritten zu den vom Vorstand festgesetzten Ausgabebedingungen gezeichnet und bezogen werden." MANTELSPEKULATIONEN Börsennotierte Firmenmäntel werden dafür verwendet, Unternehmen schnell und unkompliziert an die Börse zu bringen. Das ist nichts für große Firmen wie z.B. Siemens, die ihre Beteiligungen Infineon und Epcos durch Milliarden-IPOs an den Mann gebracht hat. Vielmehr ist dies interessant für Listings von kleineren Firmen mit 5 bis 100 Mio. Euro Wert. Da die meist leere Firmenhülle (ohne Vermögenswerte und ohne Schulden) bereits die Handelszulassung besitzt, muss keine mehr beantragt werden. Während ein herkömmlicher Börsengang also monatelang vorbereitet werden muss und ein teurer Emissionsprospekt erstellt werden muss, sieht dies bei einer Einbringung in einen Mantel ganz anders aus. Der börsennotierte Firmenmantel kauft ein anderes Unternehmen gegen die Ausgabe neuer Aktien und der Besitzer der eingebrachten Firma ist der neue Hauptaktionär des börsennotierten (einstigen) Firmenmantels. Somit sind nur ein Wertgutachten und ein Hauptversammlungsbeschluss der börsennotierten AG notwendig, aber kein mühsames und zeitraubendes Listing. Wohl die weltweit bekannteste umformierte AG ist die Berkshire Hathaway Inc. Aus einer mäßig erfolgreichen Textilfirma wurde so die nunmehrige Investmentgesellschaft von Warren Buffet. Die Internetfirma wurde mit dem Telefongeschäft der Mutter MobilCom aufgewertet.
Im Vergleich mit anderen Firmenmänteln ist Life&Art relativ günstig bewertet. Denn selbst die Hüllen von Pleitefirmen wie Babcock, Holzmann, Infomatec, Softmatic, etc. sind an der Börse noch 2 bis 10 Millionen Euro wert. Und das obwohl diese völlig wertlos sind. Denn selbst wenn es bei diesen Firmen ein erfolgreiches Insolvenzplanverfahren geben sollte, so würden die Altaktionäre im Zuge eines Kapitalschnittes (fast) ihren ganzen verbliebenen Aktienkurswert verlieren. In eine solide und solvente Firma wie Life&Art könnte zudem rasch ein neues Projekt eingebracht werden.
FIRMENGESCHICHTE
Die Life&Art Holding AG wurde 1998 gegründet und ist seit dieser Zeit im Gastgewerbe aktiv. Dabei fungierte die AG als reine Finanzholding mit mehreren Tochtergesellschaften und Beteiligungen. Aufgrund der Insolvenz dreier Tochtergesellschaften kam auch die Life&Art Holding AG in den letzten Jahren in Schwierigkeiten, finanzierte sich aber ohne jegliche Bankkredite. Mittlerweile wurden auch die verbliebenen Beteiligungen des ursprünglichen Geschäfts "Trendgastronomie" bereits komplett abgeschrieben. Damit ist die Bilanz in dieser Hinsicht bereinigt und es stehen einige stille Reserven zu Buche. Im Geschäftsjahr 2002 konnten sämtliche laufenden Kosten der Life&Art Holding AG aus dem operativen Geschäft beglichen werden und der Cash Flow war positiv.
Die Aktien wurden rasch nach der Gründung vorbörslich im Telefonhandel gehandelt. Am 8.11.2002 wurde die Aktie in den Freiverkehr der Börse München eingeführt. Am 19.02.2003 erfolgte eine Handelsaussetzung aufgrund von Problemen in der Tochterunternehmen. Nach deren Lösung und einer Hauptversammlung am 25.8.2003 erfolgte am 1.9.2003 die erneute Notierungsaufnahme. In dieser Hauptversammlung wurden die Herren Volker Deibert, Henrik von Lukowicz, und Christian Werner zu Aufsichtsräten der Firma gewählt.
DIE AKTIE
Als im September bekannt wurde, dass es eine Kapitalerhöhung bei 1 Euro geben soll, kehrte wieder Leben in der Aktie ein. Der Kurs stieg rasch auf 0,87 Euro und konsolidiert aktuell um 0,60 Euro. Die Firma verfügt über eine solide Bilanz und ist durch eine wertvolle Finanzbeteiligung gut abgesichert. Life&Art soll 60.000 Aktien der Softwarefirma eMind AG besitzen. Der Wert dieses Investments soll 0,35 Mio. Euro bzw. 0,35 Euro/Aktie betragen. Die Beteiligung soll beim angestrebten Börsengang (mit Gewinn) verkauft werden.

Den Wert der Life&Art Holding AG sehen wir derzeit bei mindestens 1 Mio. Euro oder 1 Euro pro Aktie. Wäre der Wert geringer, würde die Kapitalerhöhung nicht bei 1 Euro Übernehmer finden, sondern eine Kapitalerhöhung würde erst nach einem Kapitalschnitt durchgeführt. Eine Ausgabe zu einem Preis unter 1 Euro ist gemäß §8 Aktiengesetz nicht möglich.
Wir erwarten deshalb, dass die Aktie im Umfeld der Kapitalerhöhung auf ein Niveau um 1 Euro steigen wird. Je nachdem wie die Neuausrichtung aussieht, kann der Wert in der Zukunft auch auf 3 bis 5 Euro klettern.
Die Gold-Fans sitzen nervös auf Ihren Stühlen, denn der Goldpreis nähert sich der physiologisch wichtigen Marke von 400 US$/Unze. In den letzten Handelswochen legte das Edelmetall eine beeindruckende Rally hin und erreichte seinen höchsten Stand seit 1996. Es scheint jetzt nur noch eine Frage der Zeit zu sein bis der Goldpreis die 400$-Hürde nimmt.

Der Chart zeigt Ihnen den deutlichen Aufwärtstrend des Goldpreises seit Juni letzten Jahres. Im September scheiterte das gelbe Metall an der 385$-Marke und im Oktober prallte der Goldpreis bei 384$ erneut ab. In den letzten Handelstagen gelang es dem Goldpreis jedoch (trotz der Bildung eines doppelten Tops) nach oben auszubrechen und sich ernsthaft der 400$-Marke zu nähern. Im Moment wird Gold für rund 396 $ gehandelt.
Wir denken, dass der Preis für den nächsten Anstieg noch eine kleine Verschnaufpause benötigt. Die Chancen stehen dann aber gut, dass der Goldpreis die 400$-Hürde überspringt, vielleicht schon in der nächsten Woche. Die meisten Goldanalysten gehen davon aus, dass wenn dies einmal geschafft ist, schnell ein Niveau von 413 bis 425$ erreicht wird. Wir könnten also in den nächsten Wochen eine verstärkte Nachfrage nach Goldaktien erwarten.

Bigger is not better for Gold Fields' growth

In a world where bigger is perceived to be better, Gold Fields strikes a contrary note.
The South African miner, currently the fourth largest gold producer in the world, has no desire to be No. 1.
"You want to be the biggest? That's great. But we are at this stage looking for alternative niches to compete in and attract a shareholder following that recognizes what we offer," John Munro, head of corporate development at Gold Fields, said in a recent interview.
"It does not rule out opportunities, but this is a market that you have got to play carefully if you want to maintain your following."
Gold Fields recently closed a deal to acquire a majority interest in the Cerro Corona gold and copper project in Peru and expects to start construction in the second quarter.
It also won support to take over Canadian-based Bolivar Gold, which has a gold project in Venezuela, despite a dissident shareholder's bid to block the deal.
The two deals pale in comparison to Barrick Gold's $10,4-billion quest for Placer Dome, though that doesn't faze Gold Fields.
"We have demonstrated a high level of acquisition discipline in the past, and shareholders expect us to maintain that going forward," said Munro.
The Bolivar acquisition is expected to help Gold Fields meet its target of increasing foreign output by 1,5-million ounces by 2009.
Gold Fields, like the other senior gold companies, faces the problem of growing in an industry where resources are few and far between.
A weak gold price in the 1990s translated into fewer exploration dollars and as a result, a handful of new gold projects worldwide.
Now, in order to replace reserves, a number of gold miners have found it cheaper to acquire other producers than to boost investment to look for them.
In 2004, there were six billion-dollar-plus takeover attempts involving North American gold producers. In 2005, there were at least 10 takeover attempts involving gold producers worldwide.
Another reason for the rationalization is costs.
Even though bullion has rocketed up to multiyear highs above $550 an ounce, many gold companies have found they are not making as much as money because of high energy costs.
"What these producers are looking for are scale; they really need a large size to get costs down. They need multiple jurisdictions because the countries they operate in are politically volatile," said James Parsons, a director with Middlefield Capital.
"The Barricks of the world are able to raise money more easily; their stocks trade at good multiples and so all of those things are driving consolidation in the industry."
Still, while analysts see the industry consolidating even more, Gold Fields is happy with its position.
"In a market that is so short of opportunities ... we are happy with the size that we are at, because these type of deals that we have done, which are not large market deals, are making a difference to our company," said Munro.
He said with the large-sized companies, "how you feed these sized companies is an interesting question."

Dividend policy:
Gold Fields’ dividend policy is to declare an interim and final dividend in respect of each financial year, based on 50 per cent of the earnings for the year before taking account of investment opportunities and after tax excluding impairments. Earnings are adjusted to exclude unrealised gains and losses on financial instruments and foreign debt, but adjusted to include cash payments and receipts in relation to such underlying financial instruments.
