Greystar Announces Definitive Agreement For International Finance Corporation Investment

Greystar Resources Ltd. ("Greystar" or the "Company") announces that, further to its February 4, 2009 press release, it has entered into a definitive agreement with IFC (International Finance Corporation), the member of the World Bank Group focused on private sector investments, for the subscription by IFC for 6,579,161 units at a price of C$1.83 per unit for gross proceeds of C$12,039,864. The transaction is expected to close before the end of March, 2009.
Each unit will consist of one common share and three-quarters of a transferable common share purchase warrant. A total of 6,579,161 common shares and 4,934,371 warrants will be issued to IFC at closing. Subject to the acceleration rights described below, each whole warrant will entitle the holder to purchase one common share at a price of C$2.47 per share for a period of five years from the closing date. If at any time following six months from the closing date, the closing price of the Company's common shares is above C$3.70 for 30 or more consecutive trading days, the Company can give notice accelerating the expiry date of 2,467,185 of the warrants (or less) to 60 days following the date of such notice. Additionally, if at any time following two months from the completion and delivery of a bankable feasibility study with respect to the Company's Angostura gold-silver project, the closing price of the Company's common shares is above C$3.70 for 30 or more consecutive trading days, the Company can give notice accelerating the expiry of 2,467,186 of the warrants (or less) to 60 days following the date of such notice.
Closing of the transaction is subject to a number of conditions. On closing of the transaction, application will be made to the Alternative Investment Market (AIM) of the London Stock Exchange for the common shares issued on closing to be admitted for trading.
The proceeds of the proposed financing will be used to advance the pre-development stage of the Company's Angostura gold-silver project in northeastern Colombia.

Conclusions
• Using a base case gold price of $700/oz in the first three years of operation and $650/oz
thereafter, the Study envisions average annual production of 511,000 ounces of gold and 2.3
million ounces of silver over a 15 year mine life;
• Base case pre-tax after government royalty Net Present Value (NPV) at a 6% discount is $558
million generating an Internal Rate of Return of 19.0%. Using a gold price of $750/oz for the life of
mine, the NPV at a 6% discount is $942 million with an Internal Rate of Return of 24.9%;
• The Study entails a 70,000 tonne per day conventional heap leach operation producing a total of
4.2 million ounces of gold over the mine life, plus a 5,200 tonne per day conventional milling and
flotation process producing a total of 3.5 million ounces of gold in concentrates over the mine life;
• The average cash operating costs for life of mine (LOM), excluding by-product credits is $391/oz;
• Start-up capital costs are $638 million, with an accuracy of +/- 25% with additional sustaining
capital of $307 million including the construction of a concentrator;
• Envisions the start of construction in 2010, with production commencing in 2012....

mit der verwässerung kann/muss ich leben, denn ohne moos nix los.
aber der erzielte kurs von C$4.01 ist beim aktuellen aktienkurs schon schwer in ordnung.

Greystar Resources Ltd. Launches Private Placement of Up to 12,500,000 Shares

Greystar Resources Ltd. (the "Company") announces that it has appointed a syndicate of agents led by Ocean Equities Ltd. including RBC Capital Markets and Scotia Capital Inc. (collectively, the "Agents") to act on a best efforts agency basis in connection with a marketed private placement of up to 12.5 million common shares (the "Offering") at a price of C$4.01 per share.
The Offering is anticipated to close on or about the week of April 20th, 2009.
The net proceeds from the Offering will be used to advance the Company's Angostura project in Colombia through final feasibility, and for general working capital.
The Offering is subject to certain conditions including, but not limited to, the execution of a definitive agency agreement with the Agents and the receipt of all necessary approvals, including the approval of the TSX. An application will be made to the London Stock Exchange to admit the common shares to be issued pursuant to the Offering to AIM at the Offering's close.
