Headliners to Offer Microsoft Content for It's Portable Media Centers

MONTCLAIR, N.J.--(BUSINESS WIRE)--Jan. 6, 2005--Headliners Entertainment Group, Inc. (OTCBB:HLNR - News) announced today that it will supply Microsoft Corp. (Nasdaq: MSFT - News) with content from it's library of stand up comic and to start taping the comics of tomorrow for Microsoft's new Portable media Centers. Microsoft Corp. (Nasdaq: MSFT - News) at 2005 International CES made three announcements yesterday about how it will significantly increase the flow of digital video to Windows Mobile(TM)-based devices, such as Portable Media Centers and select Smartphones and Pocket PCs.
The announcements highlighted a collaboration with TiVo Inc. (Nasdaq: TIVO - News) to deliver recorded television to Portable Media Centers and Smartphones and Pocket PCs equipped with Windows Media® Player 10 Mobile; an alliance with MTV Networks to deliver digital programming; and the unveiling of MSN® Video Downloads, one of the first portable TV services, which will make TV shows and other video clips available to Windows Mobile-based portable devices from more than a dozen sources including FOX Sports, CNBC, MSNBC and Food Network.

TiVoToGo(TM): TV Whenever, Wherever People Want It
On Jan. 3, TiVo began rolling out its TiVoToGo(TM) feature, allowing subscribers using a TiVo® Series2(TM) stand-alone digital video recorder (DVR) to transfer their recorded programs to a Windows® XP-based PC. An update coming soon to TiVoToGo will enable easy transfer and playback on Windows Mobile-based devices, including Portable Media Centers, Pocket PCs and Smartphones. TiVo expects TiVo Series2 subscribers to have access to the TiVoToGo software and be able to transfer to portable devices within the next 60 days.

By connecting a TiVo Series2 DVR to a home network, subscribers can transfer their favorite programs to a Windows XP-based PC, then use Windows Media Player 10 to transfer the shows to a Portable Media Center, Windows Mobile-based Smartphone or Pocket PC to take with them wherever they like.

MSN Video Downloads: One Stop for More Choices of Online Content
MSN Video Downloads is designed to keep people better entertained and informed no matter where they are. With great content such as sports highlights, news headlines, children's programming, music videos, independent films and comedy shows, MSN Video Downloads is the first online video download service dedicated to portable entertainment. Starting tomorrow, consumers can participate in a preview of the service and access videos from more than a dozen partners.

The video content is compliant with PlaysForSure(TM) devices, optimized for Portable Media Centers, and compatible with Smartphones and Pocket PCs that support video. On February 9, 2005 Headliners' Board of Directors agreed to issue 90,000,000 shares of Headliners common stock to The Rodriguez Family Trust and 75,000,000 shares of Headliners common stock to The Margolies Family Trust. The issuance was made in consideration of the services of Eduardo Rodriguez and Michael Margolies as officers and directors, and the agreement of the two Trusts to surrender the warrants to purchase 165,000,000 common shares that were issued to them in May 2004.
As a result of the issuance, the Trusts now own the following interests in Headliners:

Headliners Entertainment Rated 'Speculative Buy/4,' by Investrend Analyst Gary Vassalotti, Citing Microsoft Deal

NEW YORK--(BUSINESS WIRE)--Feb. 22, 2005--(Investrend Research Syndicate) Headliners Entertainment (OTCBB:HLNR - News) has been rated "Speculative Buy/4" by Investrend Research Analyst Gary Vassalotti, and assigned a 12-month target valuation of $0.04 in an Institutional Research Update.
Vassalotti said the company's new content distribution agreement with Microsoft (NASDAQ: MSFT - News) "will allow Headliners to capitalize on its large library of comic performances from many of today's big names. Many of today's popular comedians had performances at one of the Headliners clubs before they became famous."
Vassalotti further noted:
Headliners owns the rights to these early performances and will be providing them as content for Microsoft's steaming video service to Windows Mobile devices, such as Smartphones, Portable Media Centers, and Pocket PCs.
This deal has much potential. Microsoft has been trying to become more of a content provider as opposed to just being a software vendor. They have used MSN as one means to this end, and are always looking at ways to expand this effort. Headliner's material fits nicely into this model.
Vassalotti said estimated net sales are expected to rise from $3.5 million in 2004 to $4.9 million in 2005, with gross margin rising to 38.42% in 2005 from 29.64% in 2004.
He said earnings per share are expected to drop in 2005 to a loss of $(0.05) from $(0.06) in 2004, both far advanced from $(1.51) in 2003.
"I am maintaining the previous analyst's rating of Speculative Buy / 4. Given the new clubs that are coming on line, and the Microsoft deal, Headliners Entertainment presents an intriguing opportunity, along with the significant risks that are inherent in small cap investing," Vassalotti concluded.
