Die hier aufgeführten Schwarz marktierten Textstellen, sind Abteilungen die mir bisher gänzlich unbekannt waren, was sich hinter diesen Bezeichnungen stecken wird, werden wir bald herausfinden, vor allem COMS GLOBAL/COMS MOBILE klingt wie Musik in meinen Ohren!
Nach meinen ersten Recherchen, sind Teile dieser Abteilungen zwar erreichbar, aber noch nicht für die Öffentlichtkeit freigeben, aber Überschriften wie "Mobile WiFi VoIP Phones - Internet Calls on the Move!" deuten darauf hin, dass hier noch große Ankündigungen zu erwarten sind, und vielleicht erleben doch noch die Erwachung eines Riesen...

Wo will Coms hin? In Richtung Marketing Provider? Wo ist der Mehrwert fürs Cloud VoIP business? Vielleicht fehlt mir die Fantasie - aber das scheint nicht nur mir so zu gehen...
der alle relevanten IT-Dienstleistungen anbieten, fortan die Entwicklung von Programmen und die Bereitstellung von Speicherplatz für jedermann. Das Unternehmen gründet neue Tochtergesellschaften die unter der Marke COMS vermarktet werden, nähere Informationen zu COMS GLOBAL/MOBILE/-HOME-/ENTERPRISE/DIRECT gibt es noch nicht, einzig zu COMS MEDIA erhält man momentan umfassende Informationen, die die Expertise der dort arbeiten Fachkräfte unterstreicht, und zwar arbeitete COMS MEDIA schon mit vielen namhaften Größen aus fast allen Industriezweigen zusammen (Audi, Sony, Toyota, Rolls Royce usw...). Auch an zahlreichen Spiel-/Filmentwicklungen war COMS MEDIA beteiligt, beispielsweise halfen sie bei der Entwicklung von Bioshock 1 & 2. Dies stellt keine Kauf-/Verkaufsempfehlung dar, es spiegelt nur meine Meinung dar.

Coms (AIM: COMS), a leading organisation in the provision of end-to-end communication, connectivity and business services, is pleased to announce that it has agreed to acquire the entire share capital of Smarter Mobile UK Limited from the founding shareholders (the "Acquisition") for a consideration of £225,000 payable in cash used from the company's existing funds.

Smarter Mobile UK, trading under the brand name Family Mobile offers a great value mobile phone service that is simple to use and simple to understand. Many of its thousands of loyal customers have been using the service since 2008 when it was launched in partnership with Ikea Family, the loyalty scheme created by Swedish retail giant Ikea. It's shared 'family accounts' under which any number of individual phones can be managed have continued to prove to be innovative and cost effective to this day. Smarter Mobile has a current turnover of c.£240,000 and is EBITDA neutral with net assets of c.£55,000.
Dave Breith, Chief Executive Officer of Coms, commented:
"This is the last piece of the jigsaw for Coms and the company's telecoms offering, anything we do from here is building upwards. Although relatively small in size, this is an extremely strategic acquisition and one which will give Coms a much needed direct interconnection and commercial relationship with a national UK mobile operator, allowing it unparalleled network access. By bypassing third party aggregators allows Coms to build its own service offering without being restricted to marketing products that other people have already thought of. The additional revenue's that this transaction can bring to the company are potentially significant and a new budget and forecast has been drawn up on the back on this to give an idea on how strategic this actually is to the company.
With these building blocks added to the flexible solutions Coms Mobile has been offering since signing its first major customer with an order for an expected 50,000 SIMS in late 2013 Coms Mobile has found itself able to offer some of the most attractive mobile solutions from machine to machine, tracking, national and international roaming, loan worker solutions and business critical services. The Coms Mobile products break down the traditional boundaries of restricted network access, excess charging for out of bundle, international and non-geographic services allowing the user to make significant savings even against some of the most generous bundled packages available.
This acquisition will position Coms Mobile as one of the most innovative and attractive all round providers of mobile solutions and when added to the ability of the full suite of products from the wider Coms group our competitors from small MVNO's to the largest national operators should be beware that with a more comprehensive product portfolio than even the largest of telecoms companies Coms really are inspiring business with the solutions we deliver and will continue to shape the way telecoms and mobile is sold in the future.

The Benefits of the Acquisition
In the Board's opinion the Acquisition will be highly complementary to the Company's existing business by enhancing our mobile offering not only to our existing SME and Enterprise customers but also expanding our Coms Mobile customer base. The company will also acquire the software agreements that enable the company to fulfil its customer requirement, thus making integration immediate.
The Company will be able to target cross-selling opportunities and increasingly deliver some of Coms' services via any medium from landline, broadband, hosted seat, the cloud and mobile. Coms has already made significant investment in its Coms Mobile brand allowing it to offer innovative, tailored and unique feature rich mobile services rather than simply following the crowd into a mobile price war.
The Terms of the Acquisition
Under the terms of the acquisition Coms will take control of all of Smarter Mobile UK's services, its existing customer accounts and extensive SIM stock. During a short transition phase the products will be converted into the Coms Mobile brand under which the product portfolio will be merged with the existing mobile services. This will enable everything from pre and post-paid end user accounts, business and corporate mobile and converged telephony solutions to machine to machine, national and international roaming services via its existing sales channels and with an imminent launch of a new Coms APP that is anticipated during quarter 2 of this year.
In addition the sellers will sign an agreement with Coms and will continue to take further services from Coms and launch a new service of their own called "UK Forces Mobile" under an exclusive supply arrangement with Coms.

· Further to the Smarter Mobile UK acquisition, Coms Mobile is pleased to report the agreement for a lucrative contract for a prominent mobile phone supplier in India. An initial 4,000 SIM cards will be delivered to our customer, which will grow to a total of 35,000 SIM cards during the first year. In year two, an additional 70,000 SIM cards will be delivered and the base is expected to grow to a total of 150,000 by the end of the third year. These SIM cards are designed for subscribers travelling outside India, to enable them to call effectively and cheaply. As a result of this agreement, the revenue the Company will achieve is £700,000 in year one, £1.4 million in year two and £3 million in year three. Importantly our service use will expand in a fast growing market, our product is now global and ensures we can enlist new subscribers throughout the course of this period.
· A project with a leading law firm has seen Coms subsidiary Redstone awarded a further £235k in revenue for project work and support services. The additional revenue is significant for Redstone as it combines multiple areas of Redstone's service offering. The project calls upon Redstone's expertise in structured cabling, smart building technologies and support services.

The Company is pleased to announce that the targets set in relation to the awards made in 2013 have been substantially overachieved (by over 300% and over 1,000% run rate) and a total of 22.25 million Options have been awarded under the Scheme and these will vest over the next 24 months. The Company intends to make a block listing application in relation to these Options and will update shareholders every 6 months on any quantities that have been exercised.
As previously announced, the Executive Directors, David Breith (CEO) and Sue Alexander (FD), were both awarded 4 million Options within the 22.25 million Options issued pursuant to the Scheme.
The Company has and will continue to use the same employee incentive scheme, established in 2006, and will continue to incentivise and focus staff over the next 3 years, always keeping within an allocation to employees of approximately 10 per cent. of the prevailing issued share capital. It is intended that new joiners, alongside existing staff, will be awarded options upon their appointment, with the same vesting criteria focused on growth, profitability, departmental and individual performance continuing to be used. Subject to meeting these criteria the Options awarded are capable of vesting at the end of each of the financial years to 31 January 2015, 2016 and 2017 respectively.
The incentive scheme covers the Group (as enlarged by the recent acquisitions of Redstone and CloudXL) with potentially approximately 400 staff participants over the coming years. In addition, a number of Options have been reserved for attracting and incentivising the appropriate calibre of new staff to join the business.
Any future share option awards made to members of the Board will be subject to the same stringent criteria as any employee and will be announced to the market at the time of grant in the usual manner. David Breith has opted out of the scheme going forwards so that more shares may be made available to existing and new staff members.

The New Ordinary Shares will be issued from time to time in order to satisfy the future exercise of options over Ordinary Shares under the Company's management and Employee Incentive Scheme that was established in 2006.
These New Ordinary Shares will be issued and credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares of the Company.
It is expected that the blocklisting will become effective on 31 March 2014.

· Redstone has been awarded a number of new contracts ensuring £1.5m of revenue, including:
o £1.4m of projects installing structured cabling to a number of leading investment banks and NHS Trusts;
o £100,000 of maintenance assignments for leading providers of business services to global industry
· Following a recent concerted marketing campaign, Coms Wholesale has secured hosted telephony traffic contracts from two resellers totalling £260,000 per annum.
· The former CloudXL business - now branded as Coms - has secured the retention of a preeminent London authority to provide IT support and professional services. With a contract value of £94,000, this public sector offering is a reflection of the growth of the business.
· Contracts worth £65,000 have been secured with three leading blue-chip organisations to provide integrated telephony. The scope for each client is wide ranging but will provide a best-in-class solution for their voice communication needs.
· Coms Media are continuing their work with highly recognisable brands. They have secured a contract worth £30,000 with a leading drinks manufacturer. This work involves the production of highly creative computer generated imagery and graphics.

Und so sieht der Chart momentan aus, durch die Bildung von einem Star-Doji und einem Dragonfly-Doji, sieht es nun wieder besser aus, ersteres war nichtig, da die Indikatoren nicht übereinstimmten. Letzteres hingegen signalisiert einen Trendwechsel, die Indikatoren signalisieren und bestätigen dies, zudem ist der absteinender Keil ein weiteres Indiz dafür, dass es hier bald so richtig losgeht, wird dieser verlassen, wird der Aufstieg schnell von statten gehen, das erste Kursziel ist vornehmlich bei 8,9 GBX zu finden, dies dürfte nur der Anfang sein, da COMS PLC bald plant in den USA Fuß zu fassen.
