Proposal to reduce the capital of the Company by cancelling Shares held by the Company (voting item)
The Management Board proposes, with the approval of the Supervisory Board, and subject to the passing of the resolution to partially amend the Company’s articles of association under agenda item 6 above, to reduce the capital of the Company by cancelling 40,118,093 Shares, currently held by the Company (the “Cancellation Shares” and the cancellation of these Cancellation Shares, the “Capital Reduction”).
This Capital Reduction aims at optimising the Company’s equity structure.
The Company will deposit the resolution to cancel the Cancellation Shares with the Dutch Trade Register and will announce the Capital Reduction in a daily nationally distributed newspaper. The aforementioned resolution will only take effect after two months having passed since the abovementioned announcement has been made, provided that no creditor has opposed to the Capital Reduction during this period.
This resolution requires a simple majority of over 50 per cent. of the votes cast. If less than 50 per cent. of the Shares is (virtually) present or represented at the AGM, this resolution requires a majority of at least two-thirds of the votes cast, in accordance with Section 2:99, subsection 6, of the Dutch Civil Code, and article 11.4 of the Company’s articles of association.  

Proposal to authorise the Management Board to acquire Shares (voting item)
The Management Board proposes, with the approval of the Supervisory Board, to authorise the Management Board to acquire fully paid-up ordinary Shares from certain subsidiaries of the Company. The authority conferred by this resolution shall expire at the earlier of the conclusion of next year’s AGM or the date which falls 18 months from the date of this AGM.

The proposal is made in accordance with article 2:98, paragraph 4 of the Dutch Civil Code and article 9 of the Company’s articles of association. Ordinary Shares may be acquired at the stock exchange or otherwise, at a price for ordinary Shares between the nominal value and a price equal to the highest price at which ordinary Shares traded on the Frankfurt Stock Exchange or the JSE Limited on the preceding or trading day of the relevant acquisition. Ordinary Shares may be acquired from subsidiaries of the Company only and up to a maximum of 121,267,595 ordinary Shares.
This proposal aims at enabling the Management Board to repurchase its own ordinary Shares, currently held by certain subsidiaries of the Company, in order to optimise the Company’s equity structure.

Die wollen keine steinhoff international shares kaufen sondern die Aktien der Töchterunternehmen, zb Pepco und Pepkor ;)  

Sie müssen als Holding die Aktien der Töchter kaufen und halten. Pepkor halten sie schon und beim IPO werden sie 49% von Pepco kaufen.. 2 Mrd woher..? Trotzdem ist die HV nicht abgesagt, die Zahlen werden kommen und die Shares werden zurückgegeben. Wisst ihr wieviele Shares die halten außer den offiziellen paar Stück. Haben die über Dritte eingesammelt? Sehr spannend. Man kann alles negativ sehen , sollte aber auch das Positive sehen.

jährlich automatisch aufgestockt worden sind? Und wenn dann werden doch billige Shares vom Markt genommen oder? Also entweder haben Sie schon welche was ich vermute oder es wird noch billiger was ich nicht glaube. Das ist so ein großes Ü Ei diese Steinhoffbude. Hoffentlich mal in die Richtige Richtung NNO  

bedeutet jeder der long ist, hat bald abhängig vom Schlüssel z.b. nur noch 1/10 seiner Aktien...was ist daran positiv?

will, dann darf dieser ja keine Insiderinformationen gegenüber dem normalen Aktionär mehr haben. D.h., bis zum 28.07 muss der Vorstand ALLE Karten auf den Tisch gelegt haben.

Der (vermutlich positive) Effekt wird erst im AR2020 in den Zahlen sichtbar...

Die Aktien von Steinhoff, die Stand heute im Besitz der Töchter sind, werden nach oben geschoben und Geld wandert nach unten. Null Effekt auf die im Markt befindlichen Aktien.

 

 

... Was Dirty zu dieser Sache meint. Momentan sehen das manche positiv, andere wiederum negativ. "Steinhöffisch" ist zugegebenermaßen schon ne komplizierte Sprache.

Die Gesellschaft bittet unter Top 8 um Zustimmung zum Aktienrückkauf. Ein kleines aber weiteres sichtbares Zeichen für restore some Value (diesmal dann nur für den aktuellen Aktionär - also uns).

Beispiel:
Wäre der Unternehmenswert 500 Mio. € bei der aktuellen Sharezahl von rund 4.300 Mio. betrüge der theoretischer Sharepreis: 11,6 Cent.

Kauft jetzt SH 10% der Stücke, dann ergibt sich folgendes Verhältnis: 500 / 3.870 = 12,9 Cent.

Ergo ist dieser TO-Punkt begrüßenswert. Andere Diskuttanten gingen bislang davon aus, dass SH aufgrund der eigenen Verschuldung mit Sicherheit keine eigenen Stücke erwerben dürfte, da die Gläubiger immer vorrangig eine Schuldentilgung fordern würden. Des Weiteren wird erkennbar, dass das Management der Aktie einen Wert beimisst.

Es geht voran, wenn auch nur in kleinen Schritten!  

ich glaube du unterliegst gerade einem Denkfehler. Zuerst muss mal die Satzungsänderung durch gehen damit die Aktien gekauft werden dürfen. Das geschieht am 28.08.2020 und nicht schon am 28.07.2020
