Finanzdienstleistungsaufsicht (BaFin) geschickt.
In Kürze wird das Unternehmen weitere Details dazu bekanntgeben
Wer sich der Überprüfung der Bafin stellt, muß sich schon sehr sicher sein.
Questions:
1. When will the resolved dividend be paid?
Computer Share HMK’s registra is working on this; They need to setup the payment account with a bank and will send a payment schedule but we think it should be paid before last week in October 2012. The dividend is for 1st half of 2012 , and payment covers those who own stock as of 30th June 2012.
2. When does the share buyback program starts?
This strategy was planned earlier in the year before the changes that came up by the Frankfurt exchange, however it is something that we would consider implementing next year when we are well established on the entry standard.
3. On 20. August should be a new hotel opens. Once this is done?

4. What results (financials) have been certified?
Financial year is Jan 1 – Dec 31 ( the audited accts we have is for 2011) – and a copy is attached to this document

The Company Haldane McCall PLC (Company and Group) was incorporated in February 2011. Merrill Lynch provided the initial funding. HMK is a British Island Company, domiciled on the Isle of Man, a crown dependency. HMK was founded as a European holding for the existing Suru Group Ltd. (SGL). Suru Group Ltd. was incorporated in November 2008 as a private limited company, based in Ikeja G.R.A., a part of Lagos in Nigeria. SGL is mainly managing the operations of the Group in Africa. Since September 2011 HMK (ISIN IM00B3Z98S67, WKN A1JJA7, HMK) is listed on the Frankfurt Stock Exchange in the “Open Market” segment and applied for the upgrade into the Entry Standard segment. The management’s main business aim is creating a business with sustainability in the challenging home market: Africa.
South Africa and Nigeria play an increasingly important role in the in the worldwide economy with an above average growth rate of 7%. Therefore South Africa was honoured to become a member of the “BRICS” in 2011. “BRIC” was defined as an abbreviation by the chief economist of Goldman Sachs, Jim O’Neill, being used in his publications the first time in 2001. It originally stands for the four states: Brazil, Russia, India, China. Since 2011 the group includes also South Africa and is re-named in “BRICS”. Due to its extraordinary economic potential and meanwhile much more stability, Nigeria is supposed to follow this year. The Group is benefiting from this economic development for example with the increasing demand in the real estate sector based on the urbanization and also in its hotel business with a rising number of business travel guests.

Hotel industry (current investment as of December 2011 89 Mio. €) and real estate (37 Mio. €) are the two core business sectors SGL is currently operating in and HMK is mainly making its long-term valuable investments. Last year the hotel occupancy rate increased by 7%.

As a holding, Haldane McCall PLC owns and acts as the supervisor for operations of the Best Western Brand in Nigeria, Suru Express Hotels in West Africa and Suru Homes in Nigeria and UK, Suru Suites and Hotels Ltd., Suru Express Ltd., Suru Homes Ltd.), as well as the Independent Prolific Micro Finance Bank Ltd. and other entities.
The real estate business spans from creating concepts, economically build-up real estate and trading of these properties. As an example SGL has developed and built luxury residential apartments in the affluent neighbourhood of Ikeja G.R.A., an area of the Lagos metropolitan. HMK has also invested in hospitality and manufacturing. For instance SGL operates Three Star business hotels in Lagos State. Multiple own budget hotels (Suru Express Hotel) have been launched in Lagos, serving as a prototype for the future projects in Nigeria. 45 further hotels are currently planned. Matching their quality standards SGL has a strategic partnership with Best Western Hotels and is authorized to use the name as the exclusive partner in West Africa. In the medium term the Group plans to develop further five Three Star Hotels under the Best Western brand.

By building 900 units of low cost residential estates in a public private partnership to support the Federal Government’s ambition providing affordable housing for all is the first large project in the business plan. Aktiensplits bekannt.
Die Unternehmensleitung von Haldane McCall PLC hat am 23. August 2012 den
Beschluss gefasst, dass sämtliche Stamm- und Vorzugsaktien am Unternehmen
sowohl in zertifizierter als auch in elektronischer Form einem 2,5: 1
Aktiensplit unterzogen werden. Dies wird maximal 56.670.436 Stammaktien und
400.000 Vorzugsaktien im Umlauf belassen.

Haldane McCall PLC announced date for the payment of Interim dividend
Douglas, Isle of Man, October 5th 2012 - Haldane McCall PLC, a European company investing in emerging markets in Africa, today announced its intention to pay an interim dividend. Following the recent approval of a total dividend distribution of Euro 1,677,072 by the general meeting of the company, the company is pleased to announce that a payment of Euro 0.0125 per share will be made to qualifying shareholders as showing on its Shareholder Register per June 30th, 2012. This dividend warrant will be dispatched during the week of October 8th, 2012. Shareholders' dividend entitlements reflect their holdings as per the record date of June 30th, 2012.
Shareholders as of that date are invited to provide their current details to the company before October 8th, 2012 (to the email address below) in order for the company to verify the data on record on its Shareholder Register. Shareholders of electronic shares entitled to the dividend payment, who have bought shares through the market and do not directly appear on the Share Register under their own names, should provide their details directly to the company to enable expedient distribution.

Douglas, Isle of Man, 5. Oktober 2012 - Haldane McCall PLC, ein europäisches Unternehmen, das in aufsteigende Märkte in Afrika investiert, hat heute seine Absicht bekannt gegeben, eine Zwischendividende auszahlen zu wollen. Im Anschluss an die unlängst erfolgte Zustimmung zu einer Dividendenausschüttung in Höhe von insgesamt 1.677.072 Euro im Rahmen der Hauptversammlung des Unternehmens, freut sich das Unternehmen nun, bekannt geben zu dürfen, dass die Auszahlung an die zum 30. Juni 2012 im Aktienregister aufgeführten berechtigten Gesellschafter vorgenommen werde, wobei sich die Auszahlungshöhe der Zwischendividende auf 0,0125 Euro pro Aktie belaufen solle. Dieser Gewinnanteilschein wird im Laufe der am 8. Oktober 2012 beginnenden Kalenderwoche verschickt. Anhand der Dividendenberechtigungen der Gesellschafter lassen sich deren Anteile zum 30. Juni 2012, dem Tag der Eintragung im Aktienregister, ermitteln. EA: Nun, Nigeria ist zunächst einmal ein klassischer Emerging Market, also ein Land, das
sich in einer überdurchschnittlich starken Wachstums- und Entwicklungsphase befindet. Es ist
das bevölkerungsstärkste Land in Afrika und hat eine Wirtschaft, die auch im laufenden Jahr
wieder um 6% wachsen wird, weitaus stärker als beispielsweise viele Tigerländer Asiens. Das
sollte gerade für europäische Investoren interessant sein, denn das Wachstum in Nigeria ist
weitaus stärker als in jedem einzelnen Land Europas.
BI: Wie sieht es mit der politischen und wirtschaftlichen Stabilität aus? Zuletzt machte
Nigeria in den Nachrichten vor allem Schlagzeilen durch Unruhen im Zuge der gesenkten
Benzinsubventionen und immer wieder durch Anschläge von Islamisten insbesondere auf
