BHP, Worth $201 Billion, May Lure Private Equity

May 4 (Bloomberg) -- BHP Billiton Ltd., the world's biggest mining company, could be stripped and sold for $201 billion to provide a 34 percent return to any private equity groups that make a takeover bid, according to Merrill Lynch & Co.

Any bid would likely be at a 30 percent premium to Melbourne-based BHP's market value of $140 billion, analysts Vicky Binns and Duncan Hay said in a May 3 report. That would be more than three times the record $44 billion buyout offer made for TXU Corp. by a group led by Kohlberg Kravis Roberts & Co. and TPG Inc. this year.

Buyout firms have announced $312 billion of transactions this year. Commodity prices will likely stay high for ``years to come,'' ensuring mining companies such as BHP and rival Rio Tinto Group maintain the steady cashflows that attract private equity groups, the Merrill Lynch analysts said.

``It's not inconceivable that BHP and Rio could become takeover targets,'' said Tom Murphy, who manages $1 billion in Asian assets at Deutsche Bank AG in Sydney. ``What's new is that private equity players are able to band together and put together some very large deals. BHP and Rio are no longer considered to be too big to be taken over.''

Shares of BHP rose 71 cents, or 2.4 percent, to A$30.60 on the Australian Stock Exchange at the 4:10 p.m. close in Sydney, giving them a 21 percent gain for the year. Shares of Rio Tinto rose A$3.82, or 4.6 percent, to A$86.85.

Samantha Evans, a spokeswoman at BHP, said the company doesn't comment on rumors and speculation.

Not Imminent

``We are not proposing that BHP will be an imminent target of a private equity bid -- the risks may be too great,'' said Sydney-based Binns and Hay. ``However, our scenario analysis does illustrate that a private equity bid for the largest stock in our sector can deliver attractive returns.''

Smaller companies including Anglo American Plc., Rio Tinto, Freeport-McMoRan Copper & Gold Inc. could be more realistic targets, as a bid for BHP could involve too much debt and cash, Merrill Lynch said. Other targets could include Newcrest Mining Ltd. and Alumina Ltd.

Merrill Lynch listed five options for a buyout of BHP, assuming any bid would require $124 billion of debt and equity requirement for a further $54 billion. The private equity firms would likely put up only $4 billion in equity, they said.

Another mining company would likely need to join the bid to provide the equity, the analysts said, suggesting Xstrata Plc. and Cia. Vale do Rio Doce, the world's largest producer of iron ore, could be interested.

`Buyout Craze'

The private equity groups could sell BHP's mines and oilfields for $201 billion over three years, they said. The oil unit, which has a net present value of $20.3 billion, could fetch $47.3 billion, and the base metals unit, valued at $25.4 billion, might sell for $58.2 billion, the analysts said.

``The analysis illustrates than even a $140 billion market capitalization stock is not untouchable by the leveraged buyout craze,'' they said.

A five-year rally in commodity prices has swelled the coffers of BHP and Rio Tinto, spurring more than $123 billion of acquisitions last year.

Any private equity bid could face opposition from the Australian government as BHP is an ``iconic brand'', and the potential involvement of rivals could also raise anti- competition issues, Merrill Lynch said.

Three Largest

Buyout groups may also be deterred due to a lack of experience with the mining industry, the brokerage said. That could change though as the chief executives of the three largest mining companies are retiring or have retired, providing a potential pool of expertise, the brokerage said.

Tony Trahar retired as chief executive officer of Anglo American, the world's second-largest miner, in March, and in February said he may want to work in private equity and venture capital companies.

BHP, which is dual-listed in Australia and London, posted a 41 percent gain in first-half profit to a record $6.2 billion in February, and said it will buy back $10 billion of shares.

Merrill Lynch is acting as a financial adviser to Kohlberg Kravis Roberts over two possible offers by the buy-out group made to Alliance Boots Plc. and First Data Corp., the report said.

als BHP Aktionär erhalte ich für 2 BHP Aktien 1 Woodside Akie (circa) ??

Under the proposed transaction, Woodside, or a wholly owned subsidiary of Woodside, will acquire 100 per cent of the issued share capital of BHP Petroleum International Pty Ltd in exchange for shares in Woodside which will deliver 48 per cent to BHP shareholders on completion. Woodside shares will be immediately distributed to BHP shareholders. Woodside will remain listed on the ASX with listings on additional exchanges being considered.

Ich blicke nicht mehr durch, welche Aktien ich habe (plc. oder Ltd.? Ich weiß nur, ich habe BHP Group) und welche ich nach welchem Aktientausch auch immer haben werde. Ich verstehe auch nicht, warum der Kurs aktuell nach für mich guten News eingebrochen ist. Ich lasse mich überraschen. Für mich ist entscheidend, dass von der Dividende nach einer Verschiebung nach Australien keine Kapitalertragssteuer runter geht.

ganz einfach, WKN 850 524 hast Du die Ltd in Australien notierten, WKN A2N9WV die PLC in GB notierten. Die Woodside Aktien gibt es "on the top", ich hatte bereits gepostet, dass es wahrscheinlich circa 2:1 sein könnte (?) Nach der Verschiebung nach Australien dürfte es keine KESt geben, da z.Zt. 100% franked.

Danke so weit. Ich habe auf jeden Fall die in GB notierten. Woodside gibt es on top? Das heißt, dass der Kurs meiner ursprünglichen Aktien runtergeht? Und weiter KESt-frei? Ich habe im relevante Depot einen Freistellungsauftrag. Ich hatte schon mal US-Aktien in diesem Depot, kamen nur 85% der Dividende an. Wie gesagt, ich lasse mich überraschen.

Der Eisenerzpreis fällt weiter kräftig. Hauptgrund dafür ist derzeit ein sukzessives Abflachen des konjunkturellen Aufschwungs in China. Generell hat die Konjunktur weltweit in den letzten Monaten "etwas an Dynamik verloren". Hier (Eisenerz) scheint der "Peak" überschritten zu sein ?!

Eisenerz macht 2/3 des operativen Gewinns bei BHP aus und ist damit "für den BHP-Kurs essentiell".
Sicherlich einer der Hauptgründe (neben ex-Dividende heute) , warum der Kurs zuletzt eher schwach war (von 53 AUD auf 42 AUD innerhalb von 4 Wochen).

Der Preis für Eisenerz setzt seine Talfahrt rasant fort und ist bereits unter die Marke von 100 USD je Tonne gefallen, womit er auch ein neues Jahrestief markiert. Damit hat sich der Preis für Eisenerz bereits mehr als halbiert, seit er im Sommer noch sein Hoch bei über 220 USD / Tonne gesehen hat !

Da zu dem einbrechenden Eisenerzpreis (Eisenerz ist für den Großteil des operativen Gewinns bei BHP verantwortlich!) auch noch extrem hohe Ausschüttungen* kamen, die den Cash-Flow bei weitem überstiegen, habe ich bereits meinen ursprünglichen Wiedereinstiegskurs ("buy-limit") von 18,00€ auf 16,00€ reduziert, da sich die Aussichten für BHP (primär wegen des Verfalls beim Eisenerzpreis) spürbar verschlechtert haben ...
und die "Ausschüttung" des Öl-Geschäfts (Fusion mit Woodside Petroleum) zu einem zusätzlichen "Substanzverlust" geführt haben (Dividende + Abspaltung > der operative Cash-Flow).

* 3,01 USD/Aktie Dividende (= über 15 Mrd. USD) zzgl. ca. 10 Mrd. USD Abspaltung des Ölgeschäfts.

3 Tage hat es gedauert bis mein Kaufkursziel erreicht wurde.
Lets go , sobald der Stau beim Transport sich abbaut wird auch mehr gefördert.

Analysten sehen den angemessen Kurs bei 23,90€.
Habe sie heute zum Verkauf gestellt und nun liegt der Kurs bei 24,15€.
Eigentlich wie immer.
Verkaufe ich einen Wert steigt der Kurs weiter.

Nach 20 Jahren an der Börse kannst Du mir glauben das Analysten stets ihr Fähnchen in den Wind hängen. Bilde Dir Deine Meinung selbst. Ich kaufe übrigens nur Werte die ich min 5 Jahre halten werde. Hat sich in 90 % meiner Aktien gelohnt

Für mich steht ein mittel- bis langfristiger Dividendentrag im Vordergrund und dass dies auch zuverlässig erwirtschaftet wird, wenn noch ein kleiner Kursgewinn dazu kommt bin ich voll zufrieden - deshalb habe ich auch BHP

Wir eilen von Hoch zu Hoch, aktuell € 33,315 für BHP Group. Dazu Dividenden ohne Ende. Ein Spitzenwert, gerade in schwierigen Zeiten wie heute. In meinem Commerzbank-Depot wird der Wert ständig mit "verkaufen" bewertet, ich weiß nicht, warum.

Dazu kommt, dass durch die Sanktionen gegen Russland die Eisenerzpreise bereits steigen.
Hätte damals mehr kaufen sollen.

Wer in diesen Zeiten BHP verkauft, dem ist nicht zu helfen.
Egal was der Kurs macht.
Hohe und sichere Dividende ist mittlerweile schwer zu finden.

Für mich geht es auch ohne Dividenden, aber die Dividende der BHP Group ist der Killer. Wenn man schon ein paar Jahre dabei ist, ist sie bezogen auf den Einstieg irre hoch. Und vor allem wurde die Dividende ohne eine australische Quellensteuer ausbezahlt, das was ja nach meinen Verständnis nach der endgültigen Verlagerung nach Australien im Bereich des möglichen war.
