Terms of the LOI

Pursuant to terms of the LOI, the Company will purchase all of the issued and outstanding shares in the capital of NeuroPharm for $6,000,000, payable in common shares in the capital of the Company at a deemed price per share of $0.90. The Company will pay a finder's fee on the Acquisition.

The completion of the Acquisition is subject to a number of conditions, including, but not limited to, the execution of a definitive agreement, completion of satisfactory due diligence, and receipt of applicable regulatory approvals. Mydecine Innovations Group has signed a non-binding letter of intent to acquire NeuroPharm, a Canadian healthcare company, for around USD 6.00 million.

The buyer is paying common shares in the capital of the company at a price of USD 0.90 apiece, as well as also offering a finder’s fee on the purchase.

Completion remains subject to a number of conditions, including a definitive agreement, due diligence and receipt of regulatory approvals.

However, there can be no guarantee the acquisition will be closed as proposed.

Mydecine and Neuropharm will combine to focus on an integrated health and wellness research strategy and development of products to assist veterans with mental health issues.

The target is focused on developing unique pharmaceutical and natural health products for veteran wellness, with a specific focus on the use of psilocybin.

Psilocybin is a naturally occurring psychedelic compound produced by more than 200 species of mushrooms, which once injected is rapid metabolised to psilocin, which then acts on serotonin receptors in the brain.

NeuroPharm has developed a technology to treat various mental health conditions that are frequently experienced by war veterans such as PTSD, depression, addiction and anxiety.

Preliminary studies from institutions such as the Imperial College of London, University of Zurich and Johns Hopkins, suggests that psilocybin-assisted therapy could be a revolutionary treatment for depression and addiction.

Mydecine is the parent company operating innovative product divisions in the naturally sourced therapies space, while controlling a variety of Psilocybin and hemp-derived cannabidiol brands that design, manufacture and distribute cutting edge products.

Pharmaceutical and medicine manufacturers have been targeted in 976 deals announced worldwide in 2020 to date, according to Zephyr, the M&A database published by Bureau van Dijk.

In the largest of these, Sanofi completed a minority stake sale in Regeneron Pharmaceuticals for USD 6.70 billion.

Yunnan Baiyao Group, Shenzhen Kangtai Biological Products and Bayer, among others, have also been targeted in 2020.

The end goal is developing products with clinical applications over a period of three years. Terms of Share Exchange Agreement

The Payment Shares issued for seed shares of NeuroPharm shall be subject to restrictions on resale for a period of 24 months from closing of the Acquistion, and shall be released in four 25% tranches. The balance of the Payment Shares issuable to NeuroPharm shareholders shall be subject to restrictions on resale for a period of 60 days from closing of the Acquisition.

Additionally, Mydecine shall also issue 10,000,000 performance warrants (the "Performance Warrants") that will be provided to designated officers, employees, and consultants of NeuroPharm and shall vest in tranches upon: (i) the successful completion of up to six clinical trials designed to study psilocybin in Veterans suffering from PTSD; and (ii) upon the filing by NeuroPharm of up to five patent applications in Canada and/or the United States relating to the business of NeuroPharm.

Following closing, NeuroPharm shall have the right to immediately nominate one director to the board of directors of Mydecine, and in respect of subsequent three annual meetings of the shareholders of Mydecine following closing, nominate up to two individuals for inclusion on the slate of nominees in the management information circular of Mydecine relating to the election of directors.

Pursuant to the Share Exchange Agreement, Mydecine shall allot and advance operating funds of $500,000 to NeuroPharm upon closing and has agreed to fund further capital requirements of NeuroPharm for the 18-month period following closing.

Mydecine will pay a finder's fee in connection with the Acquisition to an arm's length third party payable in common shares of Mydecine at a deemed price per share equal to $0.70.

DENVER, 13. April 2022 /CNW/ - Mydecine Innovations Group Inc. (NEO: MYCO) (OTC: MYCOF) (FWB: 0NFA) ("Mydecine" oder das "Unternehmen") gibt heute bekannt, dass sein Board of Directors für den Abschluss eines umgekehrten Aktiensplits gestimmt hat, wodurch alle ausgegebenen und ausstehenden Stammaktien ("Stammaktien") des Unternehmens auf der Grundlage einer (1) Stammaktie nach der Konsolidierung für jeweils fünfzig (50) Stammaktien vor der Konsolidierung (die " Konsolidierung").

Es wird erwartet, dass die Konsolidierung dazu führen wird, dass die Anzahl der ausgegebenen und ausstehenden Stammaktien von 268.515.954 Stammaktien vor der Konsolidierung auf etwa 5.370.319 Stammaktien nach der Konsolidierung reduziert wird. Die Gesamtzahl der Stammaktien, auf die ein solcher Aktionär Anspruch hat, wird, wenn der Bruchteil weniger als die Hälfte einer Aktie beträgt, auf die nächstnächste ganze Anzahl von Stammaktien abgerundet und, wenn der Bruchteil mindestens die Hälfte einer Aktie beträgt, auf eine ganze Stammaktie aufgerundet.

Die Konsolidierung steht unter dem Vorbehalt des Erhalts aller erforderlichen behördlichen Genehmigungen, einschließlich der Genehmigung der NEO Exchange. Das Datum des Inkrafttretens der Konsolidierung und der Bekanntgabe der neuen CUSIP- und ISIN-Nummern wird voraussichtlich innerhalb der nächsten Woche abgeschlossen sein, mit einem erwarteten Datum des Inkrafttretens am 20.
