NanoPierce Technologies Forms New Joint Venture with Scimaxx Solutions,LLC.  
 
DENVER, Sep 22, 2003 (BUSINESS WIRE) -- NanoPierce Technologies, Inc., today, announced that it has formed a new joint venture with Scimaxx Solutions, LLC, to better promote the marketing and development activities previously conducted by its subsidiary, NanoPierce Connection Systems, Inc. It is partnered in the joint venture by the other joint venture partner, Scimaxx, LLC, which is owned by Dr. Herbert J. Neuhaus and others. The joint venture is owned 50% by each party.

NanoPierce Technologies, Inc's. contribution to the joint venture are the assets located in the Colorado Springs facility. NanoPierce Technologies also granted a worldwide, non-exclusive, non-royalty bearing license for all applications to the new joint venture. The joint venture agreement provides that once it is operating profitably, cash distributions will be made to the partners. Scimaxx is contributing cash and continuing financial support for the new joint venture.

Dr Herbert J. Neuhaus, while remaining a director and Executive Vice President of Technology and Marketing of NanoPierce Technologies, Inc., will be the Chief Executive Officer of Scimaxx Solutions and responsible for arranging financing for all continuing operations of the new joint venture.

NanoPierce Technologies Inc., retains full ownership of its intellectual property, and will contribute no cash to the joint venture. All improvements based upon the Company's intellectual property, developed by the joint venture, will belong exclusively to the Company. All new intellectual property, not based on the Company's intellectual property, will belong to the joint venture.

Paul Metzinger said: "Confronted with the most challenging market and industry conditions in decades, the Company has been forced to seek creative solutions to continue operations until conditions change and further financing is obtained. Without alternative financing arrangements, such as this new joint venture, we would not be able to sustain the Colorado Springs subsidiary or Dr. Neuhaus' team."

Mr. Metzinger continued: "Through Scimaxx Solutions, the marketing of the Company's intellectual property continues without the need to provide any further financing. This move renews the technology while enhancing the survival of a much leaner NanoPierce Technologies, Inc."

Dr. Neuhaus said: "This joint venture provides a compelling opportunity to NanoPierce's shareholders and to the Scimaxx team. Without this new approach, we would have to face even greater cutbacks in our marketing and development efforts. That would simply be unacceptable, both for my team and for the shareholders. We are fiercely committed to the NanoPierce vision, and this joint venture allows my team to continue what it has begun at NanoPierce Connection Systems, Inc."

Scimaxx Solutions, LLC, will pursue three tightly coupled strategic thrusts: (1) marketing of NanoPierce technology and intellectual property, (2) development of turn-key manufacturing solutions through the customization of the NanoPierce IP and other non-proprietary technologies, and finally (3) providing pilot and medium-scale manufacturing services.

Damit ist Waferpiece wohl beerdigt und Neuhaus zieht sich
mehr oder weniger die Assets rein.
Das müßte doch heute für -20% gut sein oder ?
Wenn jetzt nicht bei Allen -ich betone Allen- die Alarm-
glocken schrillen bis zur Taubheit, dann kämpfen Götter selbst vergebens.

und bei sonem CEO wie Metzinger würd ich die NPCT mit ihrer langen Geschichte von ständigen bezahlten Puschereien und Bestrafungen dafür nicht mit der Zange anfassen
das ist doch die News die Preisfuchs angedeutet hat und natürlich haben wieder etliche Wissende in den Hype bei über 40 verkauft

M.E. ist 50 % von irgendetwas ist besser als 100 % von nichts, hier die falsche Argumentationsschiene. Hier werden wohl langsam die Assets auf die Firmenlenker übertragen. Auf was kann das hindeuten ?;-)

Interessant wäre mal die rechtliche Gestaltung des JV. Z.B.
was wäre mit den Rechten im Falle der Insolvenz von NPCT ?
Offenbar hat NPCT die Rechte + Patente in das JV eingebracht. D.H. im Fall der Insolvenz dürften die Gläubiger (nach deutschem Recht) nur Zugriff auf etwaige
Erträge des JV haben. Die Assets sind futsch. Mmmmhhh ?
Ich schätze mal nach deutschem Recht wäre so ein Move bei
Liquiditätsschwierigkeiten überhaupt nicht zulässig oder ?
Zwar bestehen die übertragenen Assents nur aus dem
Clean-Room und dem was dort drin ist, insofern habe ich mich vertan. Aber nicht im Ergebnis. Wenn das JV eine " worldwide, non-exclusive, non-royalitiy Lizenz" hat,
kannst Du -vorausgesetzt die Lizenz kann im Insolvenzfall nicht gecancelt werden- das Patentasset in der Pfeife rauchen.
Wer will denn das Asset kaufen, wenn schon einer die ultimative Lizenz hat ?"

die interpretation liegt im auge des betrachters  :O)  

...sich halt von simplen Dingen, wie NANO im Firmennahmen
zu Aktienkäufen hinreißen, dass is traurig aber wahr.
Man sollte sich wirklich über die Fundamentaldaten einer
Firma informieren, damit man letztendlich weiß was man kauft.
Zwar geht mit solch spekulativen Werten immer ein gewisses
Risiko einher, aber auch das lässt sich minimieren.
Also, nich blind kaufen sonst sieht euer Depot bald aus
wie ne Leichenhalle.

abwarten, verkaufen, zuschlagen oder gar ganz lassen? Mich würde mal Eure Meinung zu diesen Wert interessieren. Am Freitag ist USA der Umsatz stark angestiegen, über 800.000 Stück wurden gehandelt, normal waren immer so um die 200.000 Stück. Nach einem kurzem hoch ging es dann aber wieder runter. Hier im Board wird von Kurzielen von 1$ gesprochen, kann man das als realistisch betrachten? Danke für Eure Einträge.

,hast du es noch nicht gemerkt das es hier nur um eigene Interesse geht.
Kursziel 1$ ist momentan Utopie, vieleicht in 2 Jahren- OK. Die Firma ist mitten in Überlebungskampf, wie es ausgeht- hängt ja von so vielen Faktoren ab, auf die nur der Zufall ein Einfluss hat. Und der, in dem Falle, kann kommen oder auch nicht!?!

meinten die Bude ist nix Wert und steigt nie! Keiner kann sagen was kommt! Ich halte auch dieses Paket langfristig, denn die Preise ziehen allgemein an den Börsen weiter an. Kommen aus der Rezession step by step raus! Alles wird teurer, auch Schrott! Nanopierce ist für mich kein Schrott, sondern eine riskante interessante Spekulation! Wartet doch mal 1 Jahr ab und springt nicht immer hin und her!

Meine Meinung ist Spekulativ, aber die Chancen sind deswegen umso größer, einen Totalverlust sollte man verkraften können. Von starken Schwankungen sollte man sich nicht beeindrucken lassen, alles ist möglich! Schaut mal hier!
