Pennystockracketen kaufen 5000Stück Wolfden!

Begründung:

Es besteht aktuell ein Übernahmeangebot bei 3,81 CAD (= circa 2,47 Euro). Aktie handelt darunter. Wir rechnen mit einer zweiten Partei, die nach der exklusiven Pahse für Zinifex (erster Übernaheinteressent) in Aktion tritt!
Das Risiko nach unten ist daher in der aktuellen Marktschwäche sehr begrenzt und Wolfden ein "defensives Investment".

werde mich vielleicht bei Gelegenheit mal vorstellen, will in dieser heißen Phase niemanden zutexten.
Meine ganz naive Frage: Wäre nicht folgendes Scenario möglich?
Zinifex übernimmt jetzt zu dem viel zu niedriegen Preis und verkauft anschließend etwas höher an Teck. Zinifex hätte was verdient und Teck käme billger als in einer offenen Bieterschlacht an Wolfden.
Giebt es Vorschriften/Gesetze in Canada, die so etwas verhindern?

Möglich ist alles an der Börse,
ich kann dir hier nur mal meine persönliche Meinung
dazu schreiben!

Ich denke nicht das es so läuft, da die Aktionäre eigentlich nichts von diesem
Angebot haben, und den Begriff "shareholder value" sollte auch Ewan Downie kennen!
Desweiteren kann ich mir nicht vorstellen das z.B. Sabina Silver ihre Anteile
an Wolfden für 3,81CAD hergeben! Hier noch einmal die Auflistung der fünf größten
Shareholders von Wolfden:

15 % Inmet
4% Wolfden Management
4% Sabina ( aufgrund spin-off im letzten Jahr 5% an premier gold mines siehe property-feb2007-SabinaProjectUpdate.pdf)
ca. 3% GoldCorp
ca. 2% Teck Cominco

Wie gesagt, ich kann es mir einfach nicht vorstellen das die zu so einem
nahezu lächerlichen Preis verkaufen!

M.E. nach wäre es das beste Szenario wenn WLF das Angebot ablehnt!
Dann wäre endlich der künstliche Widerstand bei um die 3,80CAD weg und der Kurs
könnte weiter nach oben, denn ich bin mir sicher, ohne diesem Angebot hätten wir die 4,00CAD schon hinteruns gelassen!

Heute Nachmittag, bzw. Abend wissen wir es endlich!

Stimmt, ich habe nicht an die großen shareholder gedacht, die ja auch ein "Wörtchen mitreden" dürften. Deine Gedanken scheinen mir sehr logisch und sinnvoll! So oder so, die 3,81 CAD sind wohl mindestens ´drin. Ich werde keinesfalls vor der Bekanntgabe der Übernahmeverhandlungen verkaufen!!!

enttäuschung aber groß, RT 2,24 EUR!

kein weiterer Bieter weit und breit in Sicht!

Wenn jetzt Downie das Angebot noch ablehnt, gibt es einen freien Fall nach unten! Da werden die 2 EUR nicht halten. Das Übernahmefieber hat die Aktie obengehalten...

negativ denken, es heißt doch nicht das heute noch ein weiterer bieter sich sofort zu wort melden muß. heute ist doch nur die frist für das angebot abgelaufen. wenn man es nicht annimmt heißt das nicht das der kurs fällt. wolfden hat fundamental viel potential das wissen die mitaktionäre wie sabina, ... ganz genau.

denke nächste woche wird´s klarer um die frage bieter 1, 2, oder 3..

gehts erstmal runter, erste anzeichen sind heute bereits ersichtlich...

ich kann mir nicht vorstellen, dass da zinifex noch 2,47 EUR pro stück zahlt, wenn der börsenkurs bei 2,24 steht!

Meiner Meinung nach wäre es gut wenn der Deal zu diesen Konditionen nicht realisiert wird. Das wird der Aktie kein Abruch tun denn die Fundamentalen Daten stimmen einfach. Vieleicht werden einige Paniker (wie Letzau ? ) hektisch und nervös reagieren aber die Aktionäre die Ahnung von der Materie haben fangen an zu schmunzeln und sammeln dann ein.
Die Aktie hat das Potenzial auch bei nicht Übernahme von 3-5 € in den nächsten Monaten

dass wolfden mehr wert ist, wenn downie das übernahmeangebot ablehnt. schließlich kennt er das unternehmen bestens!

die frage hier ist aber, ob es die anleger auch so sehen! und kurzfristig kann ich mir das nicht vorstellen. die aktie ist von etlichen börsenbriefen in letzter zeit fast ausschließlich mit dem übernahmefieber empfohlen worden. wenn die übernahme scheitert gibt es meines erachtens erstmal einen rückschlag! und dann muss man weiter sehen...ich kann mich noch erinnern, als die aktie wochen lang zwischen 1,90 und 2,00 hertümpelte. das werden wir dann wohl wieder sehen, vorausgesetzt die 1,90 hält!

Schon mal darüber nachgedacht warum der Kurs jetzt so nachgibt?
Persönlich erkläre ich mir es so:

Alle, die sich hier positionieren wollten, sind drin. Es gibt also auf kurzfristige Sicht wenig Käufer. Daher vermute ich ein Spread Trading des Maklers, weshalb wir auch gestern zu Can so weit unter pari handelten. Er kann den Kurs mit kleinen Stückzahlen ja momentan hintraden, wo er möchte.

Denn er holt sich die Aktien der letzten Zittrigen oder Abgabewilligen hier, und schmeisst sie in Can ins bid. Und verdient schön was dran.

Es ist genau das was die wollen, ich nenne es mal "Mürbeltaktik", anders kommen sie auch nicht an die Shares heran die sie brauchen, ohne das der Kurs nach oben ausbricht!

Ich denke auch kaum das der Kurs sehr viel abgibt bei einer Ablehnung des Angebots seitens Wolfden, wie es stridde schon geschrieben hat!
Wieso auch, das bestätigt doch dann nur nochmals das es sich hier um hervorragende "Value-Stocks" handelt und das wird wohl auch die Mehrzahl der Anleger so sehen!

Hier nochmal was über einen Fond, der am 09.März 14,6 Millionen, oder 16,10% an Wolfden, gehalten hat und dies immer noch tut, und solange die nicht verkaufen, werd ich es auf jeden Fall auch nicht tun!
Sollte ich was falsch interpretiert haben, bitte ich um Korrektur!

"Hier sind wir ja bei 1,65 Euro und 2 Euro eingestiegen und freuen uns natürlich über den Übernahmepoker,
den wir uns ganz beruhigt ansehen können. Bleiben Sie bei Wolfden unbedingt dabei,
obwohl Zinifex sein Übernahmeangebot gesenkt hat dieses am 16. März abläuft. Wir werden

WOLFDEN RESOURCES INC. AND ZINIFEX LIMITED ENTER INTO SUPPORT AGREEMENT; ZINIFEX TO OFFER $3.81 PER SHARE

Wolfden Resources Inc. (TSX:WLF) announced today that it and Zinifex Limited (“Zinifex”) have entered into a support agreement (the “Support Agreement”) in respect of Zinifex’s intention to make an offer for all of the outstanding common shares of Wolfden at a cash price of $3.81 per share, including shares issued or issuable upon the exercise of Wolfden warrants and stock options (the “Offer”). Under the Support Agreement, a wholly-owned subsidiary of Zinifex (Zinifex Canadian Enterprises Inc., “ZCE”) will, subject to certain conditions, make the Offer pursuant to a take-over bid circular to be mailed to Wolfden’s shareholders on or before April 2, 2007.
 
The Board of Directors of Wolfden, upon a recommendation of the special committee of the Board of Directors, has unanimously determined that the Offer is fair to Wolfden’s shareholders (other than Zinifex and ZCE), that the Offer is in the best interests of Wolfden and the Shareholders, and accordingly, the Board of Directors has approved the entering into of the Support Agreement and recommends that Wolfden’s shareholders (other than Zinifex and ZCE) accept the Offer.  The special committee and the Board of Directors have received the verbal opinion of BMO Capital Markets that the consideration to be provided under the Offer is fair from a financial point of view to such shareholders.  Each member of the Board of Directors and each of Wolfden’s senior officers has entered into a lock-up agreement in respect of the Offer.
 
The Offer will be open for acceptance for a period of not less than 36 days and will be conditional upon, among other things, more than 66⅔% of the outstanding common shares of Wolfden (calculated on a fully-diluted basis) being validly deposited under the Offer and not withdrawn.  As described in Wolfden’s press release dated February 19, 2007 in respect of the non-binding and conditional letter of interest that Wolfden had received from Zinifex, the Offer will also be subject to, among others, the condition that Ewan S. Downie, President and Chief Executive Officer, Steven J. Filipovic, Vice President Finance, and John Begeman, Chief Operating Officer entering into employment agreements with Zinifex.  In addition, the Offer will be subject to certain other customary conditions, including the absence of any material adverse change, the obtaining of any relevant regulatory approvals and the absence of any adverse litigation, proceeding or legal prohibition in respect of the Offer.
 
The Support Agreement provides, subject to its terms, that the Board of Directors of Wolfden will issue a directors’ circular, to be provided with Zinifex’s take-over bid circular, which will contain the above recommendation to shareholders, together with a copy of the written fairness opinion prepared by BMO Capital Markets.  The Support Agreement terms and conditions also provide for, among other things, a break fee provision in the amount of $11 million and the requirement that Wolfden not solicit competing offers and notify Zinifex of the receipt of any alternative proposals from third parties, together with a right of Zinifex to match any such proposal.
 
Inmet Mining Corporation and Goldcorp Inc. have also entered into lock-up agreements to tender, subject to the terms of such agreements, 13,500,000 and 6,000,000 common shares to the Offer, respectively.  Together with the shares held by or issuable to the directors and senior offices of Wolfden, Zinifex has lock-up agreements in respect of approximately 27% of the shares of Wolfden (on a fully-diluted basis).

Zinifex hat erst lächerliche 27% der Shares von Wolfden gesammelt!

Mal sehen wann ein weiteres Angebot ins Haus flattert!

sind 2,44€ bzw. 3,81CAD zu wenig! Aber sicher sind sie!

Dennoch hat Zinifex nur 27% und das sind nun mal nicht genug!

Einfach abwarten und man wird hier mit mehr belohnt werden

vielleicht jetzt wieder einsteigen, nachdem das angebot zum zweiten mal nicht angenommen wurde. das zeigt doch die stellung vom ceo. sehe eher positiven zeiten entgegen!

schau dir mal die Umsätze an seit 14:30Uhr ca 1Mio Aktien umgesetzt, und
das bei steigendem Kurs,
das spricht für sich!

Des weiteren, Zinifex benötigt 66,6% an Wolfden,besitzen aber bis jetzt nur 27%
Ich glaube kaum das in der Spanne 3,70CAD bis 3,81CAD soviele Aktien liegen
das es ihnen reicht!

ich warte erst mal ab, ab jetzt kann man nicht mehr verlieren!
