Long..

Going concern :
The directors have adopted the going concern basis in preparing the annual report and financial statements.
During the year, the business model of the company has changed. During the prior year, the majority of the company's operating expenses were recharged to fellow group companies, however more recently the company has not been able to do this, so it has become loss-making. The company has had significant injections of capital as stated below, but there is uncertainty over whether Steinhoff International Holdings N.V. ("SIHNV") will be able to continue to support the company due to its current situation. As discloseind the Group financial statements of SINHV signed on 18th June 2019, in assessing the Group and ultimate parent company’s ability to continue as a going concern, the Group’s Management Board made several critical assumptions, over which there is material
“uncertainty (see also Basis of preparation note above). The Group has had to renegotiate. the terms and conditions of its borrewing facilities with its lenders. This has resulted in ‘Lock-Up-Agreements’ followed by a Company Voluntary Arrangement which Group management have used as the basis to assess the Group's ability to continue as a going concern in the 2018 financial statements which alsoinclude a numberofmaterial uncertainties.
In arriving at the judgement of preparing the financial statements on a going concern basis, the directors note that on 16 July 2018 the company received a €20 million convertible loan from SIHNV. On 8 July 2019 the company converted €17.5m of the loan to ensure that the company has sufficient funding for the foreseeable future.
Although the above shows that SIHNV has continued to support the company, the directors also recognise the uncertainty of whether SIHNV will be able to support the company to meet its financial obligations in the future. There is also the possibility that SIENV may call upon the company to provide cash to meet shareholder, vendor and regulatory claims in the wider Steinhoff group, although the company has curently received no indication of such a request.
Whilst the directors have instituted measures to preserve cash, the combination of these circumstances create material uncertainties over future cash flows. :
At 30 September 2018, the company had £16,560,000 of cash, and £17,746,000 of borrowings in the form of the convertible loan from STHNV as described above. At 4 October 2019 the company had cash of £8.8 million and borrowings of £2.2 million, on the loan from SIHNV referred to above. The latest cash flow forecast produced by the company covers the period to I January 2021. On the basis of this forecast the company will have net cash balances throughout the forecast period, with a minimum cash balance in the forecast period of £4 million.
The directors havé concluded that the combination of the circumstances referred to above represents a material uncertainty that may cast significant doubt upon the company’s ability to continue as a going concern and that, therefore, the company. may be unable to realise its assets and discharge ils liabilities in the normal course of business. Nevertheless, after making enquiries and considering the uncertainties déscribed above, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foresceable future, namely for 12 months from the date of signing the financial statements. For these reasons, they continue to adopt the going concernbasis of accounting in preparing the annual financial statements.
Bitte Meinungen dazu..
Long..
Long.
