PCCW: Kooperation zwischen "NOW" und China Star ?

Gerüchten zufolge plant China Star Entertainment (0326.hk) eine Kooperation mit der PCCW-Tochterfirma www.now.com (siehe Analyse). Es gehe dabei um die Einrichtung von Online-Entertainment Programmen. Möglichweise werden die Unternehmen aus diesem Grund auch einen Aktientausch durchführen.

Die Aktie von PCCW schloss mit einem Plus von 2,17% bei 14,15 HK-$. (jf)

Cable & Wireless HKT (HKT) gab am Freitag bekannt, dass das Ministerium für Post und Telekommunikation dem japanischen Ableger C&W HKTs, C&W HKT Pacific, eine Telekommunikationslizenz des Types 1 zugesichert hat. Die Lizenz erlaubt das Erbauen, Besitzen und Nutzen eigener Telekommunikationsnetze.(jp)

MELBOURNE (dpa-AFX) - Die Hongkonger Internetholding Pacific
Century CyberWorks  wird sich für 32 Mio. AUD zu 5% an der
SecureNet Ltd beteiligen, einem australischen Anbieter von
Sicherheitssoftware für das Internet. Cyberworks erwirbt gleichzeitig
die Option zur Aufstockung der Beteiligung um weitere 10%, teilte
Secunet am Montag mit. SecureNet betreibt bereits mit der
Hongkonger Telefongesellschaft Cable & Wireless HKT  das
Joint-Venture CWHKT SecureNet. Cable & Wireless HKT wird von Pacific Century CyberWorks übernommen.

Durch die Fusion erhalte CWHKT SecureNet Zugang zu Cyberworks-Kunden in Japan, Südkorea, Taiwan, Singapur, Malaysia,
Macau, Indien und China. CWHKT Securenet entwickelt den Angaben zufolge Systeme für den sicheren Handel und
Geschäftskorrespondenz im Internet. Die Beteiligung bedürfe noch der Zustimmung durch die Cyberworks- und

PCCW verkauft Carpark an Mutterkonzern    
 
PCCW will die 75%-Beteiligung der Tochter PCCW Properties an Quinliven an den Mutterkonzern Pacific Century Regional Development verkaufen. Der Verkaufspreis wird bei 89,2 Mill HK-$ (11,5 Mill US-$) liegen. Die 100%-Tochter PCCW Properities wird damit einen Gewinn von 1,4 Mill HK-$ verbuchen können.

Quinliven betreibt unter dem Namen "Parkade" eine Tiefgarage in der Nähe des Shanghaier Hauptbahnhofs, die allerdings erst im nächsten Monat fertig gestellt sein wird.

PCCW sagt, dass der Focus auf Internet- und Technologiefirmen gerichtet sei und eine solche Beteiligung nicht ins Portfolio passe.

über den Einstieg in den japanischen Breitbandmarkt. Einer der
Partner könnte Fujitsu sein, die in den japanischen Großstädten
Kabelnetzwerke betreiben. Weiter verhandelt Richard Li und sein

Pacific Century Cyberworks kooperiert mit Fujitsu Ltd.  
 
Laut der Hong Kong Economic Times führt Pacific Century Cyberworks Gespräche über eine Allianz mit Fujitsu Ltd..
Dabei will PCCW von Fujitsu Ltd. im Wesentlichen die Anteile an Tomen Mediacom, einer Kabelfernsehgesellschaft, die von Tomen Corp. kontrolliert wird, übernehmen.

PCCW hegt die Hoffnung, sein Broadband - Internetangebot Now durch das Netz von Tomen verbreiten zu können.
PCCW hatte bereits angekündigt durch eine Reihe von Akquisitionen das Angebot von NOW zu stärken und vor allem seine Verbreitung zu sichern.
PCCW und Tomen sind bereits seit letztem Monat in Gesprächen, konnten sich jedoch nicht einigen.

Martkbeobachter weisen darauf hin, dass das IP Jointventure
zwischen Telstra und PCCW früher an die Börse ausgegliedert
werden könnte, als geplant. Entscheidend sei, dass sich C&W
HKT eine Telefonlizenz in Japan erwerbe. Danach könnte auch ein

PCCW will trotz Pleitewelle weiterhin in ICP investieren    
 
Johnson Chen, Director der PCCW-Einheit PCCW Ventures, sagt, dass PCCW trotz der jüngsten Schwierigkeiten bei Hongkonger Webseiten seine Investitionen in Internet Content Provider (ICP) nicht reduzieren werde. Er gehe aber davon aus, dass die Schwierigkeiten in diesem Sektor weiter anhalten und schon in den nächsten Tagen die ersten Seiten wegen Finanzengpässen wieder schließen werden. Durchsetzen werden sich nur Seiten mit sehr guter Qualität. Aber dieser Ausleseprozeß werde seiner Meinung nach auch gut für die Entwicklung des ganzen Sektors sein.

Und obwohl die meisten Seiten, die jetzt schließen müssen, News-Seiten sind, sieht er weiterhin noch Potential auf diesem Markt.

Cable & Wireless HKT and Australia-based Telstra could spin off an Internet protocol (IP) joint venture as early as this year, according to analysts.
A possible listing this year reflected the companies' optimism about creating a regional IP powerhouse after securing a Type 1 licence in Japan last Friday, the analysts said.

But the move would also show the determination of Pacific Century CyberWorks to lower debt after its merger with HKT is finalised in August.

"HKT had an aggressive schedule in listing that part of the business," said Lehman Brothers analyst Peter Milliken, who has met HKT management.

HKT had planned to list the business in the first quarter next year.

"The merged company will surprise the market with the speed and money they are planning to raise," Mr Milliken said.

Sources close to CyberWorks said while the Australian company and HKT had not agreed on a valuation of the business, it was likely to spin off the IP joint venture, rather than the regional mobile business, as it yields a higher valuation.

Edison Lee, a Credit Lyonnais Securities (Asia) telecoms analyst, put a price tag of US$25 billion on the deal.

"Although the valuation of the Australian-Hong Kong joint venture could come lower, I would not be surprised that HKT's stake is close to HK$100 billion."

Analysts said HKT might want to push the listing schedule forward to take advantage of present market sentiment.

In April, Telstra agreed to invest US$3 billion in the merged PCCW-HKT entity, which will not be formed until after August 10.

The two sides also agreed to form an IP-backbone company to provide Internet connectivity in Asia.

The combined company, which aims to provide cable and other infrastructure to carry voice, data and Internet services, will have revenues of US$1.7 billion, the second largest in Asia behind Japanese telecom company KDD.

The two companies said the new business would exclude the local network or domestic wholesale business in Hong Kong and Australia.

The recent award of a Japanese licence to HKT was "crucial", helping it to be seen as a significant player in the Asian market, Mr Millikens said.

Japan's Ministry of Posts and Telecommunications last Friday granted a Type 1 facility-based telecoms licence to HKT, which would enable it to build its own infrastructure.

In another Australian joint venture, CyberWorks has agreed to invest A$32 million (HK$147 million) in Australian e-commerce solutions company SecureNet for a 5 per cent stake. SecureNet will set up a joint venture with HKT to provide smart cards and other Internet security products.

CyberWorks also had an option to acquire a further 10 per cent stake in SecureNet within the next two years at A$101 million.

dpa-afx FRAMINGHAM. Die Untersuchung der International Data Corporation (IDC) kommt außerdem zu dem Schluss, dass die Mehrheit der Kunden im Netz dann außerhalb der USA leben. Die USA dominierten zwar derzeit den elektronischen Handel; mit dem international wachsendem Kundenstamm und einer größeren Routine im so genannten e-commerce zwischen Firmen werde sich dies jedoch bereits 2001 ändern, erläuterte der Analyst David Emberley von IDC.

Laut IDC wird der Anteil der USA am elektronischen Handel von 62 Prozent im Jahr 1999 auf 48 Prozent im Jahr 2001 abnehmen. Bis Ende 2000 würden 29 Prozent aller Internet-Benutzer Waren oder Dienstleitungen online bestellen. 2003 seien es bereits 38 Prozent.

Pacific Century Cyberworks: von Schulden erdrückt oder auf Wachstumskurs?
 

 
Nach Meinung einiger Marktteilnehmer hat PCCW das Potential, eine dominante Macht im asiatisch - pazifischen Internetmarkt werden. Allerdings kann der große Schuldenberg die Entwicklung des neuen Geschäftes verhindern. Allein im nächsten Jahr hat das Unternehmen mit 7 Milliarden US-Dollar Verbindlichkeiten zu kämpfen. Ein großer Teil des Cashflows wird wohl in die Zinsen gehen müssen.



Die Übernahme von Cable & Wireless HKT bringt Cash aus den Verkäufen von Mobiltelefonen und aus internationalen Direktwahldiensten. Des weiteren kann PCCW auf das bereits existierende Netzwerk von C&W HKT zurückgreifen, um sein „Network of the World“ (NOW) zu verteilen.



Nach seinem offiziellen Start am 29. Juni werden im NOW interaktiv Web- und Fernsehcontent angeboten. Dieses Angebot ist das Kerngeschäft von PCCW. Es wurden bereits mehr als 50 Beteiligungen mit Contentpartnern, Kabelfernsehfirmen, Internetdiensten, E-Commerce-Unternehmen und anderen Internet Start-ups gekauft.



Warnende Analysten halten diesem Optimismus entgegen, dass in Ländern wie der VR China Verbote gibt, die das Anbieten von Internet- und Fernsehdiensten durch das gleiche Netzwerk untersagen. Ein Analyst billigt PCCW ein enormes Potential zu, bemängelt aber die geringe Akzeptanzrate des Internets in Asien. Pacific Century Cyberworks starte das NOW zwar sehr früh, könne sich aber kaum behaupten, sobald Medienriesen wie NBC beginnen interaktive Inhalte anzubieten, fügte ein anderer Analyst hinzu.



Es ist aber gerade der zeitige Start, der den Vorsprung sichern soll. Die Haupteinkommensquellen werden Werbung, Abonnentenbeiträge sowie E-Commerce und Merchandising sein. Die größten Erträge erwartet PCCW vom E-Commerce. Man setzt hier auf die vielen erreichbaren Kunden, die dann sofort online kaufen können.



Trotzdem bewerten viele PCCW als Bullenwert. Prudential-Bache Securities sehen die Aktie als „strong buy.“ Es wird erwartet, dass das Unternehmen im nächsten Jahr schwarze Zahlen schreibt. Die Übernahme von Cable & Wireless HKT wird den Kurs in nächster Zeit unter Druck bringen. Cable & Wireless, die britische Mutterfirma, hält nach der Übernahme 19,6 Prozent an CyberWorks. Es sollen mindestens 4,9 Prozent verkauft werden, sobald die Fusion stattgefunden hat. Der Marktwert dieses Anteils beträgt zur Zeit 14 Mrd HK-Dollar (3,7 Mrd DM).



Richard Li, CEO von Pacific Century Cyberworks äußerte sich heute zum Börsengang der Tochter I-link und den Aussichten der Firma. I-link verhandelt über einen Börsengang am Growth Enterprise Market, dem neuen Markt in Hong Kong. Unterstützung wird vom Berater BNP Prime Peregrine kommen.



Auch die Diskussionen mit der Regierung Hong Kongs um den Preis des Bodens für das Cyberport – Projekt, einem Technologiepark, können Herrn Li nicht aus der Ruhe bringen. Solche Ausgaben hätten einen „minimalen Einfluss auf den Zeitplan der Firma, den Break-Even-Punkt zu erreichen.“ Dieses Projekt werde auch keine Haupteinkommensquelle sein.



Die Zukunft von PCCW sei höchst ungewiss, orakelt ein Fondsmanager. Das nächste, dritte oder vierte Quartal bedeute Durchbruch oder Fall.

Pacific Century Cyberworks wird vorraussichtlich in den Hong Konger Hang Seng Index aufgenommen werden und dabei Cable&Wireless HKT ersetzen. Sobald PCCW seine Übernahme beendet hat, wird C&W HKT somit Anfang nächsten Monats aus dem Index genommen werden. Die Meldung ist bisher noch unbestätigt. (jf)

HKT loses place to PCCW in key index overhaul

HSI Services is to announce today it will replace Cable & Wireless HKT with Pacific Century CyberWorks on the Hang Seng Index in a series of moves to change the make-up of the index, according to sources.
Vincent Kwan, general manager at HSI Services, yesterday refused to disclose ahead of the announcement details of the company's plans to alter the blue-chip index.

However, Mr Kwan said the market would be given enough time "to adapt to the changes before the [CyberWorks-HKT] merger becomes effective".

He pointed out HSI Services had said in March the merged entity PCCW-HKT would replace a delisted HKT and it "should come as no surprise to the market". Li & Fung, Legend Holdings and Cosco Pacific would also be added to the index, sources said.

Recent market rumours suggest newly listed PetroChina, China United Communications (China Unicom) and Hong Kong Exchanges and Clearing would also be included to the index.

However, HSI services guidelines say companies have to be listed for two years before they can be added to the index.

Analysts said First Pacific, Great Eagle Holdings and Hang Lung Development were most likely to be dropped.

Mr Kwan refused to comment on the speculation.

Brokers said they expected today's announcement to bolster CyberWorks' share price because fund managers would need to adjust their portfolios according to the revised HSI weighting.

Based on yesterday's CyberWorks and HKT closing prices, the combined market capitalisation of the merged entity would be about HK$391.36 billion and account for 9.68 per cent of the index's weighting.

HKT at present accounts for 5.61 per cent of the weighting.

Meanwhile, the recent trend of retrenchment in the Internet sector would not affect Pacific Century CyberWorks, even after the company's pending merger with HKT, chairman Richard Li Tzar-kai said yesterday.

Mr Li said the posting of management at the merged entity, and such matters as HKT chief executive Linus Cheung Wing-lam's title, would be finalised after the deal's closure in mid-August.

He said lay-offs at some companies could be the result of overstaffing and overcrowding in sectors such as portals.

"Right now for investors as well as participants, it is wise for them to invest in [Internet operator-related] sectors rather than overcrowding in a particular sector," Mr Li said.

He said the Internet-enabling and hardware-device sectors had growth potential.

In other matters, Mr Li said CyberWorks was still engaged in talks with the Government on the cost of a land premium for the CyberPort project. He said the land premium cost would not affect CyberWorks' cash-flow as the project would account for only a small portion of the company's income.

Wir werden einen Marcsh in Richtung Norden sehen, wenn die Sache mit Cable & Wireless HKT endgültig über die Bühne gegangen ist.
Da diese Übernahme der Grundstein für die meisten Projekte von PPCW ist !!!

PCCW-C&W HK mit 100 %-Gewicht im MSCI?    
 
Nach Berichten der "Ming Pao Daily" soll der neue Merger von PCCW und C&W HK mit 100 % des neuen Wertes in den Morgan Stanley Capital Index (MSCI) aufgenommen werden. Bisher ging man nur von 50 % aus. Berichten des "Hongkong Economic Journal" zufolge soll das neue Unternehmen ein Gewicht von 8,6 % im Hang Seng Index haben. C&W HK hat momentan eine Gewichtung von 5,6 % im Index.

Das Hongkonger Büro von Morgan Stanley dementierte aber den Bericht über die 100% Gewichtung von PCCW-C&W HK im MSCI. Ihnen ist bisher nichts über eine solche Entscheidung bekannt. Die Entscheidung über diese Sache wird im Firmenhauptquartier in Genf getroffen.

Der neue Merger soll erstmals am 15. August an der Börse notiert werden.  


Ab dem 15. August werden die eh schon üppigen Nachrichten eine neue Qualität
bekommen, denn einige Fonds müssen sich dann mit Aktien entspechend der HSI-Gewichtung eindecken. Was das bedeutet wissen sogar ein "Analysten", z.B. vom Kalieber eines Foertsch oder wie der heißt !

Die Gerüchte, dass Pacific Century Regional Development 300 Mio. Aktien von PCCW zu einem Preis von 15 HK$ veräußern wolle, wurden heute von PCCW dementiert.

Es bestehen jedoch immernoch Gerüchte, dass auch BNP Prime Peregrine und HSBC Securities PCCW-Aktien auf den Markt werfen wollen.(fs)

Hong Kong stocks sunk into negative water (13/7/2000) when Index Futures was attacked fiercely. The strategic sell orders moved in aggressively when the broader index hit a day's high at 17834. Pushing down July Futures sharply from 17945 to as low as 17501 in early session, which definitely dampened the market sentiment and triggered profit taking. Thus the market reversed the direction at once and entered a technical correction mode. Three more attacks in the afternoon session sent the Hang Seng index down 103 points to 17450 while the turnover of HSI constituents was $8.1 billion. Analyzing from the massive turnover, small amounts of solid buying interest moved in while the strategic sell orders were working aggressively. Therefore, if buying interest from investment institutions sidelines or there is no counterparts within the market, the strategic sell orders would probably send down the market further, heading towards 16800 level again. The July Futures regaining strength to a premium can be a leading indicator to a northward direction. But the Futures ended sharply lower with 30-point discount, which totally represented the strong determination of pushing down the market. Eventually July Futures dropped 218 points to 17420 with 13415 lots changed hands. The increasing trading volume of Index Futures also indicated the aggressiveness of strategic sell orders from U.S. institutions. But the turnover on the short selling board shrank to $232 million where Hutchison topped the list with $113 million. There is no sign that the strategic sell orders will increase their strength. Hence the market is likely to extend the upward trend heading towards 18000 after consolidation. If the market sentiment improves further, investment institutions as well as funds will probably move back in and will generate a good momentum to send the market into a typical major upward trend. Meanwhile the lower reference of the HSI is 17200. Whenever it gains support again, the market will shoot up to break 17800 level.

PCCW <1186> bounced to $16.75, breaking the resistance at $16.50 level, which signified the end of the correction. By technical analysis, the share price is likely to ride on an upward trend whenever it manages to penetrate $16.50 again. Obviously there is no significant resistance below the psychological $20 level. Therefore it is likely to reach the critical point $18.60 by the end of this month before the merger. Since the market sentiment improved, some of the selling pressure from arbitrage activities was eliminated. Moreover huge short-sell positions on both PCCW and CWHKT would probably cause to trigger a large scale of short covering on both counters. Therefore the two counters set to jump whenever their share price gain support again. Meanwhile, PCCW is likely to gain support at $16 level and sets to test $17.20 in the coming days.

UPDATED NEWS,Technology NewsFri, 14 Jul 2000, 9:09am EDTBy Mike YeeHong Kong, July 14 (Bloomberg) -- Hong Kong's benchmark Hang Seng Index will add three companies that rallied as they pushed into Internet businesses and remove a landlord and a hotelier.Pacific Century CyberWorks Ltd., the Internet investment vehicle for tycoon Richard Li, will join on Aug. 2 after it bought Cable & Wireless HKT Ltd., the city's dominant telephone company. Also added were Legend Holdings Ltd., China's biggest computer maker, and Li & Fung Ltd., a trading company that is spending $200 million on a system to link buyers and manufacturers online.Great Eagle Holdings Ltd. and Shangri-la Asia Ltd. will be dropped from index, which has had 33 members since its inception in 1969, said HSI Services Ltd., which compiles the index.``The change today basically adds more of a technology element to the index, making it more reflective of the economy,'' said Steven Leung, senior vice president at Daiwa Securities SBCM Hong Kong Ltd. ``However, I don't think those shares being included will see their price being boosted a lot, as the news is more or less expected and they are all very liquid.''Stocks that are included in a benchmark index often rise because fund managers who measure their performance against such indexes are likely to buy the new shares. The change in the index will also be matched by the manager of Tracker Fund units sold by the government last year. The fund is backed by stocks the government bought in August 1998 to protect the Hong Kong dollar from speculators.Cyberwork's purchase of HKT, a 129-year-old company that owns more than one phone line for every two Hong Kong people, was designed to further plans by Li's start-up Internet investment company to deliver a range of electronic commerce and multimedia services.The jury is still out on the ambitious bid, which came after CyberWorks stock rose 24-fold last year. CyberWorks shares fell 11 percent this year. HKT will suspend trading on Aug. 2 and delist on Aug. 10. The newly formed company will start trading Aug. 15.Legend rose 61 percent this year as it branched out from making computers to Internet businesses. They include a newly launched Web site, FMM365.com, which recorded 3 million pageviews per day in May. The company also provides Internet access to its computer users in collaboration with China Telecommunication Corp., operator of the nation's largest fixed-line network.Li & Fung is up 94 percent this year. It announced plans in March to put its textiles and toys trading business online. The company expects lifung.com to generate $2 billion of annual sales by 2004, almost equaling the company's current business. Li & Fung will invest about $200 million in the online business and may eventually consider listing it separately, he said.Shangri-La was hit hard by the Asian crisis as fewer guests stayed at its five-star hotels and room rates fell. Great Eagle suffered as too much development left the city with an oversupply of office space.Cyberworks fell 15 cents, or 0.9 percent, to HK$15.95 before the announcement. Legend fell 4.3 percent to HK$7.75, while Li & Fung rose 2.7 percent at HK$37.8. CyberWorks und C&W HKT wollen nach Fusion Notierung im Hang Seng


vwd HONGKONG. Das japanische Internet-Unternehmen Pacific Century CyberWorks Ltd und die Telefongesellschaft Cable & Wireless (C&W) HKT Ltd wollen nach vollzogener Fusion am 2. August in den Hang Seng Index aufgenommen werden. Diese Ankündigung erfolgte am Freitag im Anschluss an die Zustimmung der C&W HKT-Aktionäre durch HSI Service Ltd. Sollte der Oberste Gerichtshof in Hongkong am 25. Juli seine Zustimmung zu der geplanten Fusion geben, werden die C&W-Aktien, die schon als Index-Komponente im Hang Seng notieren, am 2. August planmäßig vom Handel ausgesetzt.
Die Bekanntgabe des exakten Volumens der auszugebenen CyberWorks-Aktien erfolgt zwischen dem 8. und 14. August und hängt maßgeblich von der Entscheidung der C&W-Aktionäre für einen reinen Aktientausch oder eine kombinierte Aktien- und Barofferte ab. HSI rechnet nach eigenen Angaben mit der Wahl der kombinierten Aktien- und Barofferte. CyberWorks hatte zuvor 0,7116 neue CyberWorks-Aktien zuzüglich 7,23 HK-$ in bar oder alternativ 1,1 neue CyberWorks-Aktie je C&W-Aktie geboten.

PCCW/HKT merger hearing postpones to Aug 1

The hearing concerning the merger between PCCW <1186.HK> and C & W HKT <0008.HK> was scheduled for July 25, 2000.

However, the hearing was postponed by the Court to August 1, 2000, seven days after the scheduled date.

Trading in HKT will be suspended after August 8, 2000 given that the merger was approved by the court. The merger will go into effect from August 17, 2000. The share certificates will be despatched on August 22, 2000.
