DRAPER, Utah -(Dow Jones)- Headwaters Inc. (HDWR) said it knows of no adverse issue relating to its operations that would cause the recent price volatility and increased trading volume of its shares on Nasdaq.
The company's shares closed at $12.33, down $1.98, or 13.8%. Volume reached 1, 762,800 shares, compared to a daily average of 344,656.
Separately, Headwaters said in a press release Thursday that it expects record revenue for the third quarter ended June 30. The company is due to report its quarterly statements on July 25.
Headwaters also reaffirmed fiscal 2002 earnings expectations of 85 cents to 90 cents a share.
For the year ended Sept. 30, Headwaters earned 87 cents a diluted share on revenue of $45.5 million.
For the year-ago third quarter, the company earned 20 cents a diluted share on revenue of $10.7 million.

Income Taxes. As of March 31, 2002, Headwaters had net operating loss ("NOL") carryforwards for tax purposes of approximately $20,000,000 and does not anticipate actually paying any substantial amounts of income taxes until these NOL carryforwards are fully used.
Working Capital. Headwaters' working capital increased from $9,725,000 at September 30, 2001, to $25,569,000 at March 31, 2002. The primary reasons for this increase in working capital were the significant increase in cash and cash equivalents, short-term investments and trade receivables, all resulting from increased revenue, profitability and realization of deferred income taxes. Headwaters expects operations to produce positive cash flows in future periods, which, combined with current working capital, will be sufficient for Headwaters' needs for the next 12 months.

China's Shenhua To Build $2 Billion Coal Liquefaction Plant

BEIJING -(Dow Jones)- Shenhua Group Corp., China's largest coal company, will begin construction next year on a $2 billion plant that will use U.S. technology to transform coal into liquid diesel and gasoline fuel.
The plant will license a system developed by Hydrocarbon Technologies Inc., a unit of Headwaters Inc. (HDWR, news, msgs), with support from the U.S. Department of Energy, the companies said in a joint statement. It will be the first commercial use of that coal liquefaction technology.
Kirk Benson, chairman and chief executive of Headwaters, said in a statement that the technology's use in China will "make a significant contribution to future revenues in the form of annual royalties and license fees."
The plant, to be located in Majata, Inner Mongolia, will have a capacity of 50,000 barrels per day of diesel and gasoline when it is fully completed in 2005. Shenhua Group, which owns a 15% interest in the technology, is also planning three more coal liquefaction facilities.
All of the plants will use coal from the massive Shenfu Dongsheng coalfield that the state-owned Shenhua Group was set up to exploit. Shenhua has coal reserves of more than 220 billion metric tons and an annual production capacity of nearly 60 million tons.
