WASHINGTON (dpa-AFX) - Ansys Inc (ANSS) reported earnings for second quarter that declined from the same period last year.

The company's profit totaled $93.7 million, or $1.06 per share. This compares with $96.6 million, or $1.11 per share, in last year's second quarter.

Excluding items, Ansys Inc reported adjusted earnings of $162.6 million or $1.85 per share for the period.

Der Umsatz für das Quartal, das am 31. März endete, lag bei 509,4 Millionen Dollar, verglichen mit 425,1 Millionen Dollar im Vorjahr.

(MT Newswires) -- ANSYS (ANSS) meldete am späten Mittwoch für das 2. Quartal einen Non-GAAP-Gewinn von 1,60 Dollar je verwässerter Aktie, gegenüber 1,77 Dollar je Aktie im Vorjahr.
Die von Capital IQ befragten Analysten hatten 1,52 $ pro Aktie erwartet.

Der Umsatz für das am 30. Juni zu Ende gegangene Quartal stieg auf 496,6 Millionen Dollar von 473,9 Millionen Dollar im Vorjahr. Die Schätzung der Analysten lag bei $490,1 Millionen.

Für das 3. Quartal erwartet das Unternehmen ein bereinigtes EPS von 1,18 bis 1,31 $ bei einem Umsatz von 453,7 bis 473,7 Millionen $. Der Konsens geht von einem normalisierten EPS von $1,90 bei einem Umsatz von $526,5 Millionen aus.

Für 2023 erwartet ANSYS nun ein bereinigtes EPS von 8,39 bis 8,88 $ bei einem Umsatz von 2,26 bis 2,33 Milliarden $. Im Mai hatte das Unternehmen die Erwartung eines bereinigten Gewinns je Aktie von 8,39 bis 8,91 $ bei einem Umsatz von 2,24 bis 2,32 Mrd. $ bekannt gegeben.

Analysten erwarten ein normalisiertes EPS von $8,65 bei einem Umsatz von $2,29 Milliarden.

(MT Newswires) -- Synopsys (SNPS) hat ein Angebot für die Übernahme von Ansys (ANSS) vorgelegt, aber es ist nicht sicher, dass das Unternehmen den Zuschlag erhält, berichtete Reuters am Freitag unter Berufung auf mit der Angelegenheit vertraute Personen.
Finanzielle Details des Angebots wurden nicht genannt.

Ansys hat Angebote erhalten, die das Unternehmen mit mehr als 400 Dollar pro Aktie bewerten. Ein Abschluss könnte in den kommenden Wochen bekannt gegeben werden, wenn die Gespräche nicht scheitern, berichtete Reuters unter Berufung auf die Quellen.

Ansys und Synopsys reagierten nicht sofort auf Anfragen für einen Kommentar, berichtete Reuters.

Synopsys kauft Design-Software-Hersteller Ansys für 35 Milliarden Dollar, um von KI und anderen Megatrends zu profitieren

(MT Newswires) -- Synopsys (SNPS) hat zugestimmt, Ansys (ANSS) in einem Cash-and-Stock-Deal im Wert von etwa 35 Milliarden Dollar zu übernehmen. Das Unternehmen erklärt, dass es durch den Kauf des Design-Software-Unternehmens einen größeren Spielraum erhält, um technologische Megatrends wie künstliche Intelligenz anzugehen.
Die Übernahme des Herstellers von Simulationssoftware und 3D-Designsoftware wird voraussichtlich in der ersten Hälfte des Jahres 2025 abgeschlossen sein. Ansys-Aktionäre erhalten 197 Dollar in bar und 0,3450 Synopsys-Aktien für jede Aktie, die sie besitzen. Dies entspricht einem impliziten Wert von 390,19 Dollar pro Aktie, wie aus einer gemeinsamen Erklärung vom Dienstag hervorgeht.

Die Konditionen entsprechen einem Aufschlag von etwa 29% auf den Schlusskurs der Ansys-Aktie am 21. Dezember, dem letzten Handelstag vor dem Aufkommen der Spekulationen über das Geschäft. Die Aktien von Synopsys stiegen am Dienstag im Mittagshandel um 3,9%, während Ansys um 3,8% fiel.

Der Chipdesign-Softwarehersteller Synopsys plant, den Baranteil von 19 Milliarden Dollar durch eine Kombination aus Barmitteln und Fremdfinanzierung zu finanzieren. Synopsys verfügt über eine "vollständig zugesagte" Fremdfinanzierung in Höhe von 16 Milliarden Dollar, so das Unternehmen. Die Vereinbarung ist der "logische nächste Schritt" nach einer siebenjährigen Partnerschaft mit Ansys, sagte Synopsys Chief Executive Sassine Ghazi in der Erklärung.

"Die Megatrends KI, Siliziumvermehrung und softwaredefinierte Systeme erfordern mehr Rechenleistung und Effizienz angesichts der wachsenden systemischen Komplexität", sagte Ghazi. "Durch die Zusammenführung der branchenführenden Lösungen von Synopsys (Electronic Design Automation) mit den erstklassigen Simulations- und Analysefähigkeiten von Ansys können wir einen ganzheitlichen, leistungsstarken und nahtlos integrierten Innovationsansatz von Silizium zu Systemen liefern, der die Fähigkeiten von Technologie-F&E-Teams in einer Vielzahl von Branchen maximiert."

Es wird erwartet, dass der gesamte adressierbare Markt (TAM) von Synopsys um das 1,5-fache auf ca. 28 Milliarden Dollar ansteigen wird, so die Erklärung. Es wird erwartet, dass der kombinierte TAM mit einer durchschnittlichen jährlichen Wachstumsrate von etwa 11% wachsen wird, "angetrieben durch Megatrends, die den Bedarf an der Verschmelzung von Elektronik und Physik in allen Branchen beschleunigen", so die Unternehmen.

Durch den Zusammenschluss dürfte sich die Non-GAAP-Betriebsmarge von Synopsys im ersten vollen Jahr nach Abschluss der Transaktion um etwa 125 Basispunkte und die unverschuldete freie Cashflow-Marge um 75 Basispunkte erhöhen. Außerdem wird erwartet, dass der Zusammenschluss den Non-GAAP-Gewinn pro Aktie im zweiten vollen Jahr nach Abschluss der Transaktion steigern wird und danach einen "erheblichen Wertzuwachs" darstellt. Es wird erwartet, dass die Ansys-Aktionäre auf Pro-forma-Basis etwa 16,5% des kombinierten Unternehmens besitzen werden.

Ansys übertraf am Mittwoch die Umsatz- und Gewinnschätzungen der Wall Street für das vierte Quartal, angetrieben durch die wachsende Nachfrage nach seinen Softwarelösungen für das Ingenieurwesen, die für die Herstellung einer Reihe von Produkten wie Flugzeuge und Tennisschläger verwendet werden.
Die Aktien des Unternehmens aus Pittsburgh, Pennsylvania, stiegen im erweiterten Handel um fast 2%.

Die Ergebnisse kommen mehr als einen Monat nachdem Synopsys, der größte Hersteller von Software für das Design von Chips, angekündigt hatte, Ansys in einem 35 Milliarden Dollar schweren Bar- und Aktientausch zu übernehmen.

Ansys stellt Simulationssoftware her, die von Ingenieuren, Chipdesignern und Forschern in verschiedenen Branchen genutzt wird, um Produkte für die reale Welt zu analysieren.

Die Produkte des Unternehmens konkurrieren mit Fusion 360 von Autodesk, AutoCAD und Solidworks von Dassault Systems.

hne Berücksichtigung von Sonderposten verdiente das Unternehmen 3,94 $ pro Aktie, verglichen mit einer Schätzung von 3,71 $ pro Aktie.

Ansys, das mit dem Chipdesigner Nvidia zusammenarbeitet, teilte am Dienstag mit, dass Rachel Pyles mit Wirkung vom 22. Februar Nicole Anasenes als CFO ablösen wird.

Ich beabsichtige eine weitere tranche in eine der beiden aufzustocken. Mit dem Ziel die Posi auch länger zu halten und letztlich zu entscheiden, wie ist es unter welchen Marktnanahmen günstiger.
Folgende Annahmen habe ich durchgerechnet.

Heutiger Ansypreis $ 351  Heutiger Synopipreis $ 604

Annahme 1

Würde der Synopipreis in 2025 zum Übernamezeitpunkt gleich dem heutigen sein und ich den
Zuschlag quasi zur Ansigröße "hinzurechne", käme ein Ansipreis von ca. $ 405 heraus. -Wären $ 54 Bruttogewinn für Ansi. Würde ich heute Synopi aufstocken und letztlich vom gleichen Kurs 2025  ausgehen, wäre die Entscheidung klar: Ansi kaufen.  Denn Zugewinn Ansi ~ 15%  Zugewinn synopi 0%

Annahme 2

Synopipreis in 2025 bei $ 700
Ansipreis (nach Tausch) von ca. $ 438 heraus. -Wären $ 87 Bruttogewinn für Ansi.  also  + ~24%
Synopipreis von ca. $ 700 heraus. -Wären $ 96 Bruttogewinn für Synopi. Also  +~15%
Die Differenz wäre trockene 9%.
Soll heißen, rechne ich die Transaktionskosten des Zuschlages  in den dann sicher in 2025 "letzten" höheren Ansipreis hinzu, werden aus den trockenen 9% wesendlich weniger.
Für mich verbietet es sich unter der Annahme hier und heute Ansi zu kaufen. Es sei denn der Synopipreis würde ein ganzes Sück unter $ 700 liegen.

Anahme 3
Synopipreis in 2025 bei $ 500
Ansipreis (nach Tausch) von ca. $ 369 heraus. -Wären $ 87 Bruttogewinn für Ansi.  also  + ~5%
Synopipreis von ca. $ 500 heraus. -Wären $ 104 Bruttoverlust für Synopi. Also  -~17%
Die Differenz wäre trockene 22%
Gehe ich dann von dieser Annahme aus, wäre die Entscheidung klar. Ansi kaufen.


Fazit für MICH, der in beide Werte investiert ist.
a)  beim nächsten +Dip Ansi verkaufen
b) beim nächsten -Dip Synopi tranche und Ansierlös nachkaufen.
